Stan dard Mag netic Compasses in with all n ecessary parts and
materials provided by Party A under the following terms and conditions:
1 •来料加工和来件装配的商品和数量
(1 )商品名称一一标准磁罗经。

(2)数量 --- 共计台。

1. Commodity and quantity for processing with provided materials and parts
(1) Name of Commodity --------Stan dard Magn etic Compasses.
(2) Qua ntity --------- sets in total.

3. Processing Charge for each model is as follows

4. The main parts and consumables and materials required for processing shall by Party A. In case of any shortage or
deteriorati on ， Party A shall be held resp on sible for suppl ying replaceme nt.
5.甲方应于成品交运前一个月，开立信用证或电汇全部加工费用及由乙方在
或 购买零配件、消耗品及原料费用。

5. Party A shall pay Party B by L/C or T/T covering the full amount of processing charges and costs of parts
, consumables and materials purchased by Party B in

6. 乙方应在双方同意的时间内完成 GLC-1型标准磁罗经的加工和交运，不得延迟，凡 发生无法控制的和不可预见的情况例外。

7 •零件及原料的损耗率
加工时零件及原料损耗率为％，其损耗率由甲方免费供应，如损耗率超
过％，应由乙方补充加工所需之零件和原料。

7. Attrition Rate of Parts and Materials
Attriti on rate of parts and materials in process ing is % and shall be provided by Party A for free. In case attrition rate exceeds % Party
B shall supplement the additional parts and materials required for processing.
8若甲方误运原料及零件，或因大意而将原料及零件超运，乙方应将超运部分退回，
其费用由甲方承担，若遇有短缺，应由甲方补充。

8. In case the shipment of parts and materials by Party A is wrong or in excess ,
Party B shall return the excessive portion at Party A ' s expenses. In case of short shipme nt , Party A shall make up the shortage.
9. 甲方提供加工GLC- 1型标准磁罗经的零件及原料，乙方应严格按规定的设计加工，不得变更。

9. Parts and materials provided by Party A for Standard Magnetic CompassesGLC-1 shall be manu factured by Party B in strict accorda nee with desig n without
modificati on.
10•技术服务：甲方同意乙方随时提出派遣技术人员到的要求，协助培训乙方
的技术人员，并允许所派技术人员留在乙方检验成品。

为此，乙方同意支付每人日薪美元，其他一切费用(包括来回旅费)概由甲方负责。

10. Technical Service: Party A agrees to send technicians to to help training Party B' s technicians at the request of Party B at any time，and allows the tech nicians sent by Party A to rema in with Party B for in spect ion of the
finished products. As such，Party B agrees to pay a daily wage of $ U.S. for each person ， all other expenses (including round trip tickets) will be borne by Party A.
11. 与本合同有关的一切进出口手续应由乙方予以办理。

11. All import and export formalities concerning this con tract shall be effected by Party B.
12. 加工后的标准磁罗经，乙方应运交给甲方随时指定的国外买方。

12. All Standard Magnetic Compasses processed shall be shipped by Party A to
the foreig n purchasers appo in ted by Party A at any time.
13•其他条件
(1)标准磁罗经的商标应由甲方提供，若出现法律纠纷，甲方应负完全责任。

(2 )若必要时乙方在或购买加工标准磁罗经的零
件及原料，其品质必须符合标准并事先需甲方核准。

(3 )为促进出口业务，乙方应储备标准磁罗经样品，随时可寄往甲方所指定的国外买主，所需的零件和原料，由甲方所运来的零件及原料地报销。

13. Other Terms and Con diti ons
(1) Party A shall provide the trademark of Standard Magnetic Compassesand shall be held fully respon sible for legal disputes if any.
(2) The quality of parts and materials purchased by Party B in
or for processing Standard Magnetic Compasses if necessary，
shall be in conformity with the standard and approved by Party A in advanee.
(3) For promotion of export，Party Bshall prepare and store samples of Standard Magn etic Compasses and send them to foreig n purchasers appo in ted by Party A.
All parts and materials required shall be provided out of the stock provided
by Party A.
14. 本合同一式三份，甲方与乙方在鉴字后各执一份，另一份呈送有关部门备案。

14. This con tract is made out in triplicate. Party A and Party B shall retain
one copy after signing all copies , and submit one to the authorities concerned in (place) for registrati on.
