Engineering Construction Contract
1. Introduction
This Engineering Construction Contract (hereinafter referred to as "the Contract") is entered into between [Contractor's Name], with its principal place of business at [Contractor's Address], and [Client's Name], with its principal place of business at [Client's Address], collectively referred to as "the Parties."
2. Scope of Work
2.1 The Contractor agrees to provide all necessary labor, equipment, materials, and services required for the execution and completion of [Project Name] (hereinafter referred to as "the Project") in accordance with the specifications, drawings, and schedules attached as Annex A.
2.2 The scope of work includes but is not limited to:
- Site preparation and clearing
- Excavation and earthworks
- Construction of structural elements
- Installation of mechanical, electrical, and plumbing systems
- Finishing works and interior decoration
- Testing, commissioning, and handover of the Project
- Other tasks as agreed upon by the Parties
3. Contract Price and Payment Terms
3.1 The total contract price for the Project is [Contract Price] (hereinafter referred to as "the Contract Price"). The detailed breakdown of the Contract Price is provided in Annex B.
3.2 The payment terms are as follows:
- [Percentage]% of the Contract Price shall be paid as an initial deposit upon signing this Contract.
- Progress payments will be made on a monthly basis, with each payment corresponding to the percentage of completion of the Project.
- The final payment, representing the remaining balance of the Contract Price, shall be made upon successful completion and acceptance of the Project.
4. Project Schedule

5. Quality Assurance and Inspection
5.1 The Contractor shall ensure that all work performed under this Contract meets the highest industry standards and complies with all relevant laws, regulations, and codes.
5.2 The Client reserves the right to inspect and test the completed work at any stage during the construction process. Any deficiencies or non-compliance identified shall be promptly rectified by the Contractor, at no additional cost to the Client.
6. Change Orders and Amendments
6.1 Any changes to the scope of work or specifications must be made in writing and approved by both Parties. Such changes may result in adjustments to the Contract Price and/or project schedule.
6.2 In the event of unforeseen circumstances or variations in the work required, the Parties shall negotiate in good faith to reach a mutually agreed-upon solution.
7. Termination
7.1 Either Party may terminate this Contract by providing a written notice of termination if:
- The other Party fails to fulfill its obligations under the Contract and such failure continues for a specified period after written notice is given.
- Force majeure events or circumstances beyond the reasonable control of either Party prevent the execution or completion of the Project.
7.2 In the event of termination, the Parties shall settle any outstanding payments, costs, or liabilities in accordance with the provisions of this Contract.
8. Governing Law and Dispute Resolution
8.1 This Contract shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any disputes arising out of or in connection with this Contract shall be submitted to [Arbitration/Court] in [Jurisdiction].
8.2 The language of arbitration or legal proceedings shall be [Language].
9. Entire Agreement
