This Engineering Construction Contract (the "Contract") is entered into as of [Date], by and between [Owner], located at [Address] (the "Owner") and [Contractor], located at [Address] (the "Contractor").

WHEREAS, the Owner desires to engage the Contractor to perform certain construction work on [Project Name] (the “Project”), and the Contractor desires to undertake such work, in accordance with the terms and conditions set forth herein.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties hereto agree as follows:

1. Scope of Work

The Contractor agrees to provide all labor, materials, equipment, and services necessary to complete the construction work described in Exhibit A (the "Work") in compliance with the plans, specifications, and other contract documents (the "Contracts Documents") provided by the Owner.

2. Time Schedule

The Contractor shall complete the Work within the time frame set forth in Exhibit B (the "Schedule"). The Schedule may be adjusted by written agreement of the Owner and the Contractor.

3. Payment

The Owner agrees to make payment to the Contractor in accordance with the payment schedule set forth in Exhibit C. The total contract price for the Work shall not exceed [Amount] and shall be payable as follows: [Payment Schedule].

4. Changes

Any changes to the Work or the Contract Documents must be requested in writing by the Owner and agreed to in writing by the Contractor. Any additional compensation for changes to the Work shall be agreed upon by the parties in writing before such changes are implemented.

5. Performance and Quality

The Contractor agrees to perform the Work in a professional and workmanlike manner and in accordance with good construction industry practices. The Contractor warrants that all work performed shall be free from defects in materials and workmanship for a period of one year from the date of final acceptance of the Work by the Owner.

6. Insurance and Indemnification

The Contractor shall maintain insurance coverage in accordance with the requirements set forth in Exhibit D. The Contractor agrees to indemnify and hold harmless the Owner from and against any and all claims, damages, losses, and expenses, including attorney's fees, arising from the Contractor’s performance of the W ork.

7. Termination

The Owner and the Contractor may terminate this Contract for any reason by mutual agreement in writing. In the event of termination, the Contractor shall be entitled to payment for Work completed prior to the date of termination and any additional costs incurred as a result of the termination.

8. Dispute Resolution

Any disputes arising under or in connection with this Contract shall be resolved in accordance with the dispute resolution provisions set forth in Exhibit E.

9. Governing Law

This Contract shall be governed by and construed in accordance with the laws of the state of [State].

10. Entire Agreement

This Contract constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous communications, understandings, and agreements, whether oral or written.
