汽车英文质保协议书模板AUTOMOBILE LIMITED WARRANTY AGREEMENT
THIS AUTOMOBILE LIMITED WARRANTY AGREEMENT (the "Agreement") is made and entered into as of the ______ day of ______, 20__ (the "Effective Date"), by and between ______ (the "Manufacturer"), a ______ corporation with its principal place of business at ______, and ______ (the "Purchaser"), a ______ with an address at ______.
WHEREAS, the Manufacturer is in the business of manufacturing and selling automobiles; and
WHEREAS, the Purchaser desires to purchase an automobile from the Manufacturer and the Manufacturer is willing to sell such automobile to the Purchaser on the terms and conditions set forth herein; and
WHEREAS, the Manufacturer wishes to provide a limited warranty on the automobile sold to the Purchaser, subject to the terms and conditions set forth herein.
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:
1. Warranty Coverage.
1.1 The Manufacturer warrants to the Purchaser that the automobile identified on the face hereof (the "Vehicle") is free from defects in material and workmanship under normal use and service for a period of ______ years or ______ miles, whichever comes first, from the date of the original purchase (the "Warranty Period").
1.2 The warranty set forth in Section 1.1 shall cover the following components of the Vehicle: ______ (the "Covered Components"). The Manufacturer shall, at its option, repair or replace any Covered Component that, during the Warranty Period, is found to be defective in material or workmanship. All repairs or replacements made under this warranty shall be performed using new or refurbished parts that are equivalent to the original parts in performance.
2. Exclusions.
2.1 The warranty set forth in Section 1.1 does not cover any of the following:
2.1.1 Normal wear and tear, including but not limited to brake pads, rotors, tires, and batteries;
2.1.2 Damage caused by accident, misuse, abuse, neglect, or alteration of the Vehicle;
2.1.3 Damage caused by improper maintenance or repair by anyone other than an authorized service center;
2.1.4 Damage caused by external forces, including but not limited to fire, flood, or vandalism;
2.1.5 Damage caused by the use of fuel, lubricants, or other fluids that do not meet the Manufacturer's specifications;
2.1.6 Any software or electronic components that are not part of the standard equipment of the Vehicle;
2.1.7 Any costs related to the diagnosis of a problem that is not covered by this warranty.
3. Warranty Claim Procedure.
3.1 To make a claim under this warranty, the Purchaser must:
3.1.1 Notify an authorized service center of the defect
within a reasonable time after discovering it;
3.1.2 Provide the service center with proof of purchase and
the Vehicle's identification number;
3.1.3 Allow the service center to inspect the Vehicle and determine the cause of the defect.
3.2 If the service center determines that a defect is covered by this warranty, the Manufacturer will authorize the necessary repairs or replacements at no cost to the Purchaser.
4. Limitation of Liability.
4.1 The Manufacturer's liability under this warranty is limited to the repair or replacement of the Covered Components as set forth in Section 1.1. The Manufacturer
shall not be liable for any incidental, consequential, or special damages, including but not limited to loss of use, loss of time, inconvenience, or diminished value.
4.2 The remedies provided in this warranty are exclusive and in lieu of all other remedies, warranties, or liabilities, whether oral or written, express or implied.
5. Duration of Warranty.
5.1 This warranty shall commence on the date of the original purchase of the Vehicle and shall continue for the Warranty Period as set forth in Section 1.1.
6. Transfer of Warranty.
6.1 This warranty is transferable to subsequent owners of the Vehicle, provided that the transfer is registered with the Manufacturer within ______ days of the transfer.
7. Governing Law.
7.1 This Agreement shall be governed by and construed in accordance with the laws of the ______ without giving effect to any principles of conflicts of law.
8. Entire Agreement.
8.1 This Agreement constitutes the entire agreement between the parties with respect to the warranty of the Vehicle and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written.
9. Severability.
9.1 If any provision of this Agreement is held to be illegal, invalid, or unenforceable, such provision shall be severed from this Agreement and the remaining provisions shall remain in full force and effect.。
