英文承揽工程合同范本
ENGLISH CONSTRUCTION CONTRACT
This Construction Contract ("Contract") is made and entered into as of the __________ day of __________, 20__, by and between:
[Company Name], a company incorporated under the laws of [Country/State], with its registered office at [Address] (hereinafter referred to as "Contractor"), and
[Client Name], an individual residing at [Address], with identification number [Identification Number] (hereinafter referred to as "Client").
WHEREAS, the Client desires to engage the Contractor to perform certain construction work, and the Contractor agrees to perform said work in accordance with the terms and conditions set forth herein.
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows:
1. Scope of Work
The Contractor shall perform the construction work as described in the attached "Scope of Work" ("SOW"), which is incorporated herein by reference.
2. Payment
The total contract price for the work described in the SOW is [Amount] ("Contract Price"). The Client shall make payments to the Contractor as follows:
- A deposit of [Percentage]% of the Contract Price upon execution of this Contract.
- [Percentage]% of the Contract Price upon completion of [Milestone].

3. Commencement and Completion

4. Changes and Variations
Any changes or variations to the SOW must be agreed upon in writing by both parties and shall be subject to additional charges if they result in increased costs or time.
5. Warranties and Representations
The Contractor warrants that the work will be performed in a professional and workmanlike manner, in accordance with applicable laws, and will meet the specifications set forth
in the SOW.
6. Delays
The Contractor shall not be liable for any delay or failure to perform its obligations under this Contract if such delay or failure arises from causes beyond its reasonable control.
7. Termination
Either party may terminate this Contract by written notice if the other party breaches any material term of this Contract and fails to cure such breach within [Number] days after receipt of written notice.
8. Indemnification
The Contractor shall indemnify and hold the Client harmless from any and all claims, damages, and expenses arising out of or in connection with the work performed under this Contract, except to the extent such claims, damages, or expenses arise from the Client's negligence or willful misconduct.
9. Dispute Resolution
Any disputes arising out of or in connection with this Contract shall be resolved by arbitration in accordance with the rules of the [Arbitration Institution], and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
10. Governing Law

All notices, requests, demands, and other communications required or permitted hereunder shall be in writing and shall be deemed given when delivered personally or by overnight courier service, or three (3) days after being sent by registered or certified mail, postage prepaid, return receipt requested, to the respective addresses of the parties set forth above, or to such other address as either party may designate in writing.
14. Assignment
The Contractor shall not assign this Contract or any of its rights or obligations hereunder without the prior written consent of the Client.
