工程施工协议英文版This Construction Agreement (the "Agreement") is made and entered into as of [Date], by and between [Owner Name], (the "Owner"), and [Contractor Name], (the "Contractor"). 1. Scope of WorkThe Contractor agrees to perform all work necessary for the construction of [Description of Project] (the "Project") in accordance with the plans and specifications provided by the Owner. This includes, but is not limited to, site preparation, foundation work, framing, roofing, insulation, drywall, electrical, plumbing, and finishing work.2. Time of PerformanceThe Contractor agrees to commence work on [Start Date] and to complete the Project by [Completion Date]. In the event of any delay, the Contractor will provide prompt notice to the Owner and make all reasonable efforts to complete the Project as soon as possible.3. Payment TermsThe Owner agrees to pay the Contractor the sum of [Total Contract Amount] for the completion of the Project. The payment will be made in installments as follows: 20% upon commencement of work, 40% upon reaching the midway point of the Project, and the remaining 40% upon completion. The Contractor will submit invoices for each installment and the Owner agrees to make payment within 30 days of receipt.4. Changes and Extra WorkThe Owner may request changes or extra work to be performed during the course of the Project. Any such changes or extra work will be subject to approval by both parties in writing and will result in adjustments to the contract price and timeline.5. Inspection and AcceptanceUpon completion of the Project, the Owner will have the opportunity to inspect the work and make any reasonable punch list items. The Owner agrees to provide a written notice of acceptance within 10 days of completion, and the Contractor agrees to promptly address any outstanding items on the punch list.6. WarrantiesThe Contractor warrants that all work will be performed in a professional and workmanlike manner and will comply with all applicable building codes and regulations. The Contractor also warrants that all materials used in the Project will be of good quality and free from defects. The Contractor further warrants that all work will be free from defects for a period of one year from the date of completion.7. Indemnity and InsuranceThe Contractor agrees to indemnify and hold harmless the Owner from any claims, damages, or liabilities arising from the Contractor’s work on the Project. The Contractor also agrees to maintain general liability insurance with a minimum coverage of $1,000,000 and to provide proof of insurance to the Owner upon request.8. DefaultIf the Contractor fails to perform the work in accordance with this Agreement, the Owner may, after providing written notice to the Contractor, terminate the Agreement and engage another party to complete the Project. In such event, the Contractor will be liable for any additional costs incurred by the Owner and may forfeit any unpaid amounts under this Agreement.9. Dispute ResolutionAny disputes arising under this Agreement will be resolved through mediation. If mediation is unsuccessful, the parties agree to submit the dispute to binding arbitration. The prevailing party will be entitled to recover its reasonable attorney’s fees and costs.10. Governing LawThis Agreement will be governed by the laws of the state of [State] and any legal action arising under this Agreement will be brought in the courts located in [County], [State].11. The Team leader for Zulu Burrow Limited, CGC representatives and the Regional Engineer for Southern Province will visit the quarry at earliest convenience to determine the requirements for CGC regarding the crushing plant, stockpiling and asphalt plant area. From the contractor‘s assessment the blasting area is sufficient for both Raubex and CGC operations. However no exclusive right shall be given to CGC to operate the quarry.承包人需尽快获得进入料场的权利.RDA为使中地集团获得进入料场的许可与料场的出租方Raubex进行商讨. RDA shall assist the contractor by requesting Lafarge Cement Company of Chilanga to supply sufficient cement. Then CGC should submit to RDA its requirement upon which RDA will base its request to Lafarge.按照投标文件所列的条款,水泥必须使用赞比亚本地生产的水泥.RDA 会帮助承包人向Lafarge水泥公司提出充足的供货要求.中地集团需把水泥的用量提交给RDA, RDA将要求Lafarge水泥公司按需供货.3.6Camp, Laboratory, Engineer‘s Offices and Vehicles宿舍,实验室,工程师办公室,交通工具Contractor informed the meeting that the Camp will be located at Zimba;承包人在会上提出宿舍需要建设在津巴布韦;Prefabricated building are specified hence it will take 2 to 3 months to import these facilities into the country. However, CGC shall provide a container office and rented accommodation for the Engineer while the prefabricated building are being awaited;清单所列活动房将在2到3个月后进口到国内.但在活动房没有安装使用前,中地集团将提供集装箱办公室并为工程租赁宿舍.Engineer shall approve the location of all facilities before any work is done任何设施进入现场需在工作完成前获得工程师批准进入No works requiring testing shall take place until the laboratory equipment is in place.实验室设备进入需进行测试The Contractor to place orders for the Engineer‘s vehicles.
