Goods transportation agreement contract
This Goods Transportation Agreement Contract (hereinafter referred to as "the Contract") is made and entered into on [Date] by and between:
[Name of the Shipper], a company organized and existing under the laws of [Country], with its principal place of business at [Address], hereinafter referred to as "the Shipper",
and
[Name of the Carrier], a company organized and existing under the laws of [Country], with its principal place of business at [Address], hereinafter referred to as "the Carrier".
The Shipper and the Carrier shall collectively be referred to as "the Parties" and individually as "Party".
1. Scope of Agreement
1.1 The Shipper agrees to engage the Carrier for the transportation of goods as outlined in this Contract.
1.2 The Carrier agrees to provide transportation services in accordance with the terms and conditions set forth in this Contract.
2. Transported Goods
2.1 Description of Goods: The Shipper shall provide a detailed description of the goods to be transported under this Agreement.
2.2 Packaging: The Shipper shall ensure that the goods are properly packaged and secured for transportation to prevent any damage or loss during transit.
2.3 Liability: The Carrier shall not be held liable for any loss, damage, or delay in the transportation of goods caused by improper packaging or labeling by the Shipper.
3. Transportation Services
3.1 Mode of Transportation: The Parties shall agree on the mode of transportation to be used for the delivery of goods, such as road, rail, air, or sea.
3.2 Transit Time: The Carrier shall provide an estimated transit time for the transportation of goods. However, the Parties acknowledge that unforeseen circumstances may cause delays, and the Carrier shall not be held liable for any such delays beyond its reasonable control.
3.3 Insurance: The Carrier shall have insurance coverage in place to protect against loss, damage, or theft of goods during transportation. The Shipper shall be responsible for providing any additional insurance coverage if required.
4. Compensation and Payment
4.1 Freight Charges: The Parties shall agree on the freight charges for transportation services, including any additional charges for special handling, customs clearance, or other applicable fees.
4.2 Invoicing and Payment: The Carrier shall provide an invoice to the Shipper for the agreed-upon charges. Payment shall be made by the Shipper within [number of days] days of receipt of the invoice.
4.3 Late Payment: In the event of late payment, the Shipper shall be liable to pay interest on the outstanding amount at a rate of [percentage] per month from the due date until the date of payment.
5. Termination
5.1 Termination for Convenience: Either Party may terminate this Contract for convenience by providing written notice to the other Party [number of days] days prior to the desired termination date.
5.2 Termination for Breach: Either Party may terminate this Contract in the event of a material breach by the other Party. The non-breaching Party shall provide written notice of the breach and allow a reasonable period for the breaching Party to cure the breach.
6. Governing Law and Jurisdiction
6.1 Governing Law: This Contract shall be governed by and construed in accordance with the laws of [Country].
6.2 Dispute Resolution: Any disputes arising out of or in connection with this Contract shall be resolved through amicable negotiations between the Parties. If a resolution cannot be reached, the dispute shall be submitted to the exclusive jurisdiction of the courts of [Country].
7. Entire Agreement
This Contract constitutes the entire agreement between the Parties and supersedes all prior discussions, negotiations, and agreements, whether oral or written, relating to the subject matter hereof.
