英文合同买方延期付款的违约条款
Buyer's Default Provision for Delayed Payment in an English Contract.
Article 1: Definitions.
For the purposes of this Agreement, the following definitions shall apply:
1. "Buyer" shall mean the party named as the buyer in the contract.
2. "Seller" shall mean the party named as the seller in the contract.
3. "Due Date" shall mean the date specified in the contract for the payment of the purchase price by the Buyer to the Seller.
4. "Delayed Payment" shall mean any failure by the
Buyer to make the payment of the purchase price on or before the Due Date.
Article 2: Obligation of the Buyer.
The Buyer shall make the full payment of the purchase price to the Seller on or before the Due Date as specified in the contract. Failure to do so shall constitute a breach of this Agreement.
Article 3: Consequences of Delayed Payment.
In the event of Delayed Payment, the Seller shall have the right to exercise any one or more of the following remedies:
1. Charge interest on the outstanding amount at the rate specified in the contract, which shall be payable by the Buyer to the Seller.
2. Suspend further performance of its obligations under the contract until the full payment is made.
3. Terminate the contract and retain any sums already paid by the Buyer as compensation for any losses suffered by the Seller.
Article 4: Notice of Default.
If the Buyer fails to make the payment on or before the Due Date, the Seller shall have the right to give a written notice of default to the Buyer. The notice shall specify the nature of the breach, the amount due, and the date by which the Buyer must make the payment.
Article 5: Waiver of Rights.
Failure by the Seller to exercise any of its rights under this Agreement in the event of Delayed Payment shall not constitute a waiver of those rights. The Seller shall reserve the right to exercise any or all of its rights at any time.
Article 6: Governing Law and Jurisdiction.
This Agreement shall be governed by and construed in accordance with the laws of [Insert jurisdiction]. Any dispute arising out of or in connection with this Agreement shall be subject to the jurisdiction of the courts of [Insert jurisdiction].
Article 7: Entire Agreement.
This Agreement constitutes the entire agreement between the parties relating to the subject matter hereof and supersedes any previous agreements, representations, or understandings, whether written or oral.
Article 8: Severability.
If any provision of this Agreement is held to be
invalid or unenforceable, such invalidity or unenforceability shall not affect the validity or enforceability of the remaining provisions of this Agreement.
Article 9: Assignment.
Neither party shall assign any of its rights or obligations under this Agreement without the prior written consent of the other party.
Article 10: Notices.
All notices and other communications required or permitted to be given under this Agreement shall be in writing and shall be delivered to the addresses specified
in the contract or to such other address as may be designated by the receiving party in writing.
Article 11: Amendments.
No amendment or modification of this Agreement shall be valid unless it is in writing and signed by both parties.
Article 12: Waiver.
No waiver by any party of any term or condition of this
Agreement shall be deemed a waiver of any subsequent breach of the same or any other term or condition.
Article 13: Headings.
The headings in this Agreement are for convenience only and shall not affect the interpretation of any provision of this Agreement.
Article 14: Counterparts.
This Agreement may be executed in any number of counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same agreement.
By executing this Agreement, the parties hereby agree to be bound by its terms and conditions.
