This Ocean Freight Contract (the "Contract") is entered into on [Date] by and between [Shipper Company], hereinafter referred to as the “Shipper," and [Carrier Company], hereinafter referred to as the “Carrier," for the transportation of goods by sea.
1. Scope of Services
1.1 The Shipper agrees to engage the Carrier to transport the goods specified in the Bill of Lading attached hereto, from the port of [Origin Port] to the port of [Destination Port].
1.2 The Carrier agrees to provide the necessary vessels, equipment, and personnel to transport the goods in accordance with the terms and conditions of this Contract.
2. Rates and Charges
2.1 The rates and charges for the transportation of the goods shall be as set forth in the Freight Quote provided by the Carrier to the Shipper. The Shipper agrees to pay the Carrier the total amount due in accordance with the terms and conditions of this Contract.
2.2 The Carrier reserves the right to adjust the rates and charges at any time with prior notice to the Shipper.
3. Obligations of the Shipper
3.1 The Shipper shall provide the Carrier with accurate and complete information regarding the goods to be transported, including the weight, quantity, and description of the goods.
3.2 The Shipper shall ensure that the goods are properly packed and labeled in accordance with international shipping standards.
3.3 The Shipper shall be responsible for obtaining all necessary permits, licenses, and documentation required for the transportation of the goods.
4. Obligations of the Carrier
4.1 The Carrier shall transport the goods in a safe and timely manner, using reasonable care and skill.
4.2 The Carrier shall provide the Shipper with updates on the status of the goods in transit, including any delays or changes to the scheduled delivery date.
4.3 The Carrier shall be responsible for any loss, damage, or delay in the delivery of the goods caused by the Carrier’s negligence or fault.
5. Bill of Lading
5.1 The Shipper shall provide the Carrier with a completed Bill of Lading for the goods to be transported.
5.2 The Bill of Lading shall serve as evidence of the contract of carriage and shall include the terms and conditions of this Contract.
6. Insurance
6.1 The Shipper shall be responsible for obtaining marine insurance coverage for the goods to be transported.
6.2 The Carrier shall not be liable for any loss, damage, or delay in the delivery of the goods that is covered by the Shipper’s insurance policy.
7. Force Majeure
7.1 Neither party shall be liable for any delay, failure, or inability to perform its obligations under this Contract due to circumstances beyond its control, including but not limited to acts of God, war, terrorism, strikes, accidents, or natural disasters.
8. Governing Law
8.1 This Contract shall be governed by and construed in accordance with the laws of [Country], without regard to its conflict of law principles.
9. Dispute Resolution
9.1 Any disputes arising under this Contract shall be resolved through arbitration in accordance with the rules of the [Arbitration Association]. The decision of the arbitrator shall be final and binding on both parties.
10. Entire Agreement
10.1 This Contract constitutes the entire agreement between the parties with respect to the transportation of the goods and supersedes all prior agreements, representations, and understandings, whether oral or written.
