Construction Contract Template
THIS AGREEMENT is made this __ day of __________, 20__, between __________ (hereinafter referred to as "Owner"), and
__________ (hereinafter referred to as "Contractor").
WHEREAS, the Owner desires to have certain construction work done on the premises described in Exhibit A attached hereto, and the Contractor has submitted a bid to perform such work.
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows:
1. Scope of Work:
The Contractor shall perform all work necessary to complete
the construction project as described in Exhibit A, including but not limited to the following: site preparation,
foundation work, framing, roofing, siding, electrical work, plumbing, heating and air conditioning, and interior finishes.
2. Contract Price:
The total price for the work to be performed by the
Contractor under this Agreement is $ __________ (the
"Contract Price"). The Contract Price is based on the plans and specifications set forth in Exhibit A and is inclusive of
all labor, materials, and equipment necessary to complete the work.
3. Payment Terms:
The Owner shall make payments to the Contractor as follows:
- A deposit of __% of the Contract Price upon execution of
this Agreement.
- Progress payments based on the percentage of work completed, as verified by the Owner or its representative.
- The final payment upon substantial completion of the work and approval by the Owner.
4. Change Orders:
Any changes to the scope of work must be documented in
writing and signed by both parties. Such changes may result
in adjustments to the Contract Price and the completion date.
5. Warranties and Guarantees:
The Contractor warrants that all work performed under this Agreement will be of high quality and in accordance with the plans and specifications. The Contractor shall provide a warranty for a period of __ years from the date of
substantial completion.
6. Delays:
The Contractor shall not be liable for any delay caused by factors beyond its control, including but not limited to acts of God, labor disputes, or delays by the Owner in providing necessary approvals. In the event of a delay, the completion date shall be extended by a period equivalent to the delay.
7. Termination:
Either party may terminate this Agreement upon written notice if the other party materially breaches any term of this Agreement and fails to cure such breach within __ days after receipt of written notice.
8. Dispute Resolution:
Any disputes arising out of or relating to this Agreement shall be resolved by arbitration in accordance with the rules of the American Arbitration Association.
9. Governing Law:
This Agreement shall be governed by and construed in accordance with the laws of the State of __________.
10. Entire Agreement:
This Agreement, including the attached Exhibits, represents the entire agreement between the parties and supersedes all prior negotiations, representations, and understandings.
