Party A shall be in strict accordanee with the " FOB, C & F or CIF terms in the con tracts.（4）乙方承诺每年给甲方介绍 1000万美元的销售额。

Party B promise that the turnover will be more than USD10 ,000,000 per year through Party B.（5）乙方应协助甲方收回全额货款及提供最新的市场信息。

Party B should assist Party A to receive the full payme nt as per the salescon tracts.Party B will provide the update market information to Party A.（6）乙方应协助甲方处理售前、售中和售后一系列事务。

Party B should assist Party A to deal with all the matters during before-sales, selli ng and after-sales. （7）乙方不能将甲方营业范围内的海外客户关系等商业机密泄露给第三方，否则甲方会按盗窃公司机密对乙方提起公诉。

Party B should not disclose the trade secret such as customer in formatio n toa third party. Otherwise Party A will indict Party B.（8）本合同期限内，乙方经纪与甲方产品相同或类似的产品。

In the durati on of this con tract, Party B brokers the same or similar productsas Party A manu factures（9）甲方自行开发，或委托其他人介绍的客户与乙方无涉，无需支付乙方佣金。

Party A should not pay Party B any commissi on if the customers are developedby Party A itself or through third party.（10）乙方不得直接以甲方名义对外承揽业务，销售产品。

Party B should not deal with bus in ess directly un der the n ame of Party B.第三条：佣金的计算、给付方式、给付时间3.Rate of commissi on, payme nt term（1）甲方同意按每笔合同实际收汇总额（扣除税金，运费和货代的费用，保险费等杂费）的2%支付佣金给乙方。

以美元方式支付。

Party A will agree to pay 2%of the total turnover of each con tract - deduct ing taxes and the freight- to Party B. It will be paid in US currency.（2）给付方式及时间：Payme nt term在甲方收到合同金额全款后14天内支付乙方佣金的90%余款在合同期限届满后，若乙方介绍的销售额完成本合同第二条第（4）款的约定，一次性付给乙方。

若甲方未收齐合同全款的，或乙方未提供服务费发票的，甲方有权拒绝支付佣金。

Party A will pay 90% of amount of commissi on within 14 days upon receivi ng the full payment fromcustomer. The balanee, 10% of total amount, will be paid ifParty B reached the requireme nt in article 2 item 4. Party A shall have the authority to refuse to pay the commissi on if Party A does n ' t receive 100%payme nt or Party B does n ' t provide the commissi on in voice to Party A.第四条：违约责任4.Liability甲方若不按本合同第三条的（2）执行，逾期一天应支付乙方滞纳金，滞纳金系数为：总佣金的5 %o/天。

If Party A does not follow （2） of Sect ion 3, Party A have to pay the overdue fine. The amount is 5 % of the total commissi on per day.若乙方介绍的销售额未达到本合同第二条第（4）款的约定，则佣金余款作为违约金，甲方不再支付。

If Party B can not reach the requireme nt in article 2 item 4, the 10%of commissi on will be as con tractual pen alty.第五条：合同仲裁5.AGREEMENT ARBITRATION双方如果发生纠纷，可凭此合同向甲方所在仲裁机构进行。

In the event of dispute, both parties can prese nt to arbitrati on court fromParty A ' s place.第六条：本合同未尽事宜双方协商解决。

6.CHANGES.现行合同条款的修改必须经合同双方授权人书面签字方能生效。

Any cha nges of terms relati ng to this agreeme nt must be done in a written form a nd agreed upon by both parties.第七条：特别约定。

7.SPECIAL CLAUSE本合同一式肆份双方各执贰份具有同等法律效用。

中英文版本如有不一致，以中文版本为准。

This agreement has been drawn up in four identical copies, of which two copies for each party. The Chin ese version of these Terms and Con diti ons shall prevail wherever there is a discrepa ncy betwee n the En glish and Chin ese versions.第八条：履行8」MPLEMENTATION本合同双方自签字盖章之日起生效。

本合同期限为一年。
