CHARTERPARTY AGREEMENT
This Charterparty Agreement ("Agreement") is made and entered into as of the ____________ day of __________, 20__, by and between:
[Charterer's Name], a company incorporated under the laws of [Charterer's Jurisdiction], with its registered office at [Charterer's Address] (hereinafter referred to as "Charterer"), and
[Shipowner's Name], a company incorporated under the laws of [Shipowner's Jurisdiction], with its registered office at [Shipowner's Address] (hereinafter referred to as "Shipowner").
WHEREAS, Charterer desires to charter the Vessel described herein for the transportation of cargo, and Shipowner is willing to charter the Vessel to Charterer upon the terms and conditions set forth herein.
NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:
1. Vessel Description:
The Vessel to be chartered is the [Vessel Name], with IMO number [IMO Number], gross tonnage [GT], net tonnage [NT], and carrying capacity [DWT].
2. Charter Period:
The Charterer has the right to use the Vessel for a period commencing on the [Commencement Date] and ending on the [Expiration Date], subject to the terms of this Agreement.
3. Cargo and Trade:
The Vessel is to be used for the transportation of [Type of Cargo] from [Loading Port(s)] to [Discharge Port(s)], in accordance with the trade terms [Incoterms], as applicable.
4. Hire Rate and Payment:
The Charterer shall pay to the Shipowner a hire rate of [Hire Rate] per [Unit of Time], calculated on the basis of the Vessel's operating time. Payment shall be made [Frequency of Payment], without any deduction or set-off.
5. Vessel Condition:
At the commencement of the Charter Period, the Vessel shall be in class with [Classification Society], and in every way fit and ready for the service.
6. Charterer's Responsibilities:
The Charterer shall be responsible for the cargo, including loading, stowage, and discharge, and shall indemnify and hold the Shipowner harmless from any loss or damage arising from the cargo.
7. Shipowner's Responsibilities:
The Shipowner shall provide a seaworthy Vessel, properly manned, equipped, and supplied for the intended voyage.
8. Navigation and Management:
The Shipowner shall have the right to navigate and manage the Vessel, and to determine the route and sailing speed.
9. Insurance:
The Shipowner shall maintain insurance coverage for the Vessel as required by law and customary practice, and the Charterer shall obtain insurance for the cargo.
10. Termination:
This Agreement may be terminated by either party upon [Notice Period] days' written notice in the event of a material breach by the other party that remains uncured.
11. Force Majeure:
Neither party shall be liable for any failure or delay in performing its obligations under this Agreement to the extent that such failure or delay is caused by circumstances beyond its reasonable control.
12. Governing Law and Jurisdiction:
This Agreement shall be governed by and construed in accordance with the laws of [Governing Law Jurisdiction]. Any disputes arising out of or in connection with this Agreement shall be resolved by arbitration in [Arbitration Location] in accordance with the rules of [Arbitration Institution].
13. Entire Agreement:
