买方必须在合同签定后10天内，将相当于合同总金额(即本合同第１页图表中所载明的总价,下称“货款”）的___ %的预付款,即_______＿＿_＿元以________＿＿方式支付给卖方，余下的货款必须在交货前以＿_________＿方式付清。

Ｂ. L/C teｒm 信用证付款
在货物装运前4５天，买方应由买方银行开立以卖方为受益人的不可撤消的100%信用证，卖方凭以下规定的装运单据递交到买方银行后议付款。

全份正本空运／海运提单
2.ﻩInvoice indｉｃａtiｎg coｎｔract number and shipｐｉng mark．(four cｏpies)
ﻩ发票四份, 注明合同号, 唛头。

３. Ｐａckinｇ List ｉn ｄuplicate with inｄiｃation of both gross and neｔ weiｇhts, meaｓuremｅnts anｄ quantｉｔy of eaｃh ｉtem packed.
ﻩ装箱单两份,注明毛、净重、尺码和所装货物每项的品名数量。

８.Liａbｉlities for Bｒeaｃhing of thｅ Contrａcｔ违约责任
1) Iｆｔhｅ Buｙｅr faｉlｓｔo paｙ tｈｅ down-ｐayｍenｔto theＳeｌler ｗitｈin 15 days afｔe ｒthe ｄａte of ｓigning oｆtｈe Contraｃt, the Seｌler sｈalｌ hａve the rigｈt to ｔermiｎａte the Contｒacｔuｐｏn noｔifying thｅ Buｙer in writiｎg．
合同签订后1５日内，如买方仍未将合同规定的预付款支付给卖方,卖方有权在书面通知买方后终止合同。

2) If the Sｅｌleｒ fails ｔｏsｈip the Ｇoodｓiｎ accordancｅwitｈtｈｅshｉpping daｔe speｃified in Article 4ｏｆ thｉs Cｏntｒａct and the Bｕｙer hａs ｐaｉd ａll amountｓｄue to thｅ Seｌler,tｈｅＳelｌer sｈaｌl pay0.0２%ｏｆ tｈｅ vａｌuｅ of ｔhｅ delａｙｅd Goods to the Ｂuyｅｒ as aｃomｐeｎsａｔioｎ feｅfor each day that sｈｉｐmeｎt ｉs ｏvｅｒdｕe, ｐrovi ｄｅd thaｔｔhe ｍaｘｉmum ａmount of compensatiｏｎ sｈａｌｌ not excｅed 5% of thｅ Pｕrchａｓｅ Price.Ｉf tｈｅ delay iｓ causｅd bｙ thｅBuｙｅr’s Ｃustomｓ clearance， tｈｅｎ the Sell ｅr wｉll not bｅ rｅsｐｏnsibｌe to pay ｔhe compｅｎｓation.
如卖方未能在合同第四条规定的交货日期内发货,且买方已支付了全部货款，每推迟一个天,卖方应向买方支付迟延交付的货物的价值的0.02%作为赔偿，但赔偿额最多不超过货款的５％．如果由于买方清关原因引起的延误交货，则卖方不需要支付赔偿.
3) If tｈｅ Buyer fails tｏ make ｐａymｅｎt withｉn the pａyｍｅnt terms of the Ｃoｎｔract aｎｄwithｏut conｓｅnt from tｈe Ｓeｌler ｉn writinｇ， tｈe Ｇoods ｓhall stay ｉn thｅ Seller’s invent ｏry. In such case,the Sｅｌｌer will chargｅthｅ Buyer 0．０2% oｆ the purchaｓe pricｅ as a storagｅfee for tｈe dｅlａyeｄGoodｓｅach daｙ thａt shipｍenｔ is ｏverdue, ｐrovided ｔｈａt ｔhｅ maximum stｏrage feｅ sｈａll not eｘceed5%oｆ the PurｃhaｓeＰrｉce. If the actual shipmeｎt date is ３０ｄａyｓ latｅr tｈan thｅ sｈipｍent ｄate specifiedｉn tｈe Contract ｄue t ｏthe Buｙer’sｆaｕlt, the Ｓeller reserves the ｒight ｔo re-aｄjust the sellｉｎg pｒicｅｉｎeffeｃｔ on the ａctual ｓｈippiｎg daｔe．
如果买方未在合同规定的期限内支付货款，且该逾期支付并未征得卖方书面同意,那么货物仍应在卖方的存货目录下。

在此情况下，按合同交货期,每逾期一天，卖方将向买方收取相当于合同价值0.０2％的金额作为延期付款货物的仓储费,但仓储费最多不超过合同总金额的5％。

当由于买方的过错导致卖方超过合同规定的交货日期30天后交货,卖方保留按卖方在实际发运日的公司统一价格重新调整售价的权利。

9. Ｏwnｅrｓhip ｏf the Goods anｄ Riｓk of Ｌｏss货物所有权与灭失风险
The Ｓelｌer reservｅsｔhｅ Ownｅrship ofｔhe Goods delivereｄuｎtil the Ｂuyeｒ hａs paid ｆｕlly to thｅ Sｅｌler the PurｃｈaｓeＰｒｉce anｄall relaｔed coｓｔs （shipping cosｔs， c ｕstom ｄuty，ＶAT, insuｒａｎｃe cｏsts, etc) as sｔａted iｎ thｅ Conｔract for ｓuｃh Gｏodｓ. The risk of loｓｓ of thｅGoods sｈaｌｌ be ｂｏrｎeｂｙ tｈe Buyｅr ｕpoｎ delｉｖery.
在买方未付清合同所规定的全部货款及全部相关费用（包括运费、关税、增值税、保险费等)以前, 所发运货物的所有权归卖方所有。

货物灭失的风险自发运之时起由买方承担。

10. Waｒｒanty质量担保
Ｔｈe Seller ｗarrants that ｔhe Gooｄs manuｆacｔureｄ by the Seller ｏr ｉts affiliaｔe(s) (colleｃｔively, “Ｉngersoｌl-Rand”) and ｄeliveｒｅd hｅreｕndeｒｃoｎforｍ to Ingersoｌl-Rａnd’s quality stan ｄard in materiaｌ aｎd workｍａnshｉp for a ｐeriod of __＿___ｍonthsｆｒom ｔhe ｄａtｅ o ｆ pｌaciｎg ｔhe Ｇoods in oｐeｒａtｉon or_____＿＿＿_mｏｎｔｈs fｒom tｈe datｅ oｆsh ｉｐｍent, whicｈeｖｅrｓhaｌｌfirｓｔoｃｃｕr. THE SELLEＲMAKＥSＮＯOTHEＲWARRANTＹ OF ANY KIND WHAＴSOEVEＲ, EXPRＥSS OＲ IMPLIED.
卖方担保由卖方或其关联公司（以下合称“英格索兰”)制造并且在本合同项下交付的货物的材质及制造工艺均符合英格索兰的质量标淮，保证期为自货物投入运营日起_＿_＿_＿个月或自货物发运日起_＿___＿个月, 以先到期者为准。

除此以外, 卖方不再提供任何其他明确或隐含的担保。

１1.Confｉdenｔialｉty保密
The parｔiｅs herｅｔo acknowｌedｇｅthａt ｃonfidentｉal iｎforｍation (ｉnｃlｕding traｄe secrets）(“Infｏrmatｉon”）shaｌl be pｒｏｖｉded exclｕｓiｖely ｔo eacｈｏthｅｒ．The pａrtieｓａnd tｈｅiｒrespective ｅmployees ａnd diｒectorｓ sｈａｌｌmａiｎtain confidentiaｌity of thｅ Infｏrmatｉon and sｈaｌl use the Informaｔion exclusively ｆoｒ the puｒposｅ oｆ the Contrａc ｔ.
双方承认机密信息（包括商业秘密）（下称“信息”）只能向彼此提供。

双方及其各自的雇员和董事应维持信息的秘密性并且仅为本合同的目的而使用该类信息。

12． Foｒce Ｍaｊｅurｅ不可抗力
Ｐerｆormanｃｅ iｓ excuseｄ when there ｉs anｙ contｉngeｎcy ｂｅｙｏnd the reａsonａｂleｃｏｎtrｏl ｏf the Seller oｒtｈｅ Buyｅｒ (for ｅxample, eaｒtｈｑuakｅ，ｔyphoon, stoｒｍ， fire dｉsastｅr, waｒ，rebelｌion, bｒeａkａge ｏｆeｑｕiｐmｅｎt, governｍeｎtaｌactionｓｏr lｅgislatiｏn, labor ｄiffiｃulｔiｅｓ, anｄｏthｅr ｕnｐrediｃtable Force Ｍajeurｅeｖeｎｔs) ａnd such coｎtｉngencｙｈａｓ preventｅd the Sellerｏr tｈe Bｕyer,aｓａpplicable, ｆroｍ peｒf ｏrｍing ｉts obliｇａtiｏns underｔhiｓ Contｒact..
当出现为卖方或买方所不能合理控制的意外事件（如地震、台风、暴风雨、火灾、战争、叛乱、设备损坏、政府行为或立法、劳工争议，以及其他不可预见之不可抗力事件)而且该意外事件已阻止卖方或买方(视情况而定)履行其在本合同项下的义务，遭遇不可抗力之一方可以免除其履行合同的义务。

１3. Disｐutes Setｔlｅment争议的解决
All ｄｉspｕtes arｉsiｎg froｍ the eｘecutｉonｏf or in ｃonnectｉｏｎ with thｅ Conｔract shall
ｂe settleｄｔhｒough frｉeｎｄｌy ｃonsultａtiｏｎ betｗeen ｔhe ｐartiｅs. Iｎ cａse no agreemeｎｔcan be reacｈed throｕgh consｕlｔations， sｕｃh diｓpute ｓhaｌl bｅ governed ｂｙ Cｈｉnｅse ｌaw anｄ shａllｂe submit tｏＣhｉna Internaｔiｏnal Eｃｏnoｍic ａnd TrａdeＡrｂｉtｒatio ｎ Coｍmｉssioｎ (CIEＴＡC) for aｒｂiｔratioｎ at Shａnghai. Thｅ CIETAC Arｂｉtratiｏn Rules in effecｔ on ｔhe daｔe of the sｉgninｇ of ｔhis Cｏntract sｈall ａppｌy. .
对由于履行合同而引起的或与合同有关的任何争议, 双方应友好协商解决。

如经协商仍达不成协议,该争议适用于中国法律，并应递交在上海的中国国际经济贸易仲裁委员会进行仲裁。

仲裁程序应适用合同签订时有效的中国国际经济贸易仲裁委员会仲裁规则。

1４．Limitaｔioｎ of Liａbiｌｉｔy责任限制
1）The liabｉｌity ofＳeｌlｅr shaｌl not exceｅｄ the ｐｕｒｃｈasｅprice oｆ the Goods upon which suｃｈliaｂiliｔy arises, ｗｈether tｈe clａim ｉs ｂased on ｃｏｎtract,warrａｎtｙ，ｔｏrｔ, ｎeglｉｇeｎce, striｃt liａbiｌitｙ, iｎdeｍnｉｔy,statute orｏｔｈｅrwise.
卖方因货物所产生的责任不应超出此货物购买价格，无论索赔依据为合同、保证责任、侵权、疏忽、严格责任、赔偿责任、法令（条例）或其他。

2) IＮNO EＶEＮT SＨAＬＬＴHＥSELLER BE LIＡBLＥ FORＡNY CONSEQUENTIＡL, IＮCIDENTAL， INＤＩRECＴ, SPECIAL OR PUNITIVE LＯSSES OＲ DAMAGES ARＩSING OUT OF ＴHIＳ CONTRACT, WＨEＴHEＲＢＡSED ＯN CONTRACT, WARＲAＮTＹ， TORＴ, NE ＧLIGＥＮCE，STRICＴＬIＡBILＩTY, INＤEMＮITＹ, STATＵＴＥＯＲ OＴHERWISＥ，ＥVEＮ IF IＴHＡS BEEN ＡＤVISＥD ＯF TＨＥＰOＳSＩBIＬＩＴY ＯF SUCH ＬOSSEＳ
OR DＡＭＡＧES.
卖方不对因本合同发生的任何非直接的、间接的、附带的、特殊的、或惩罚性损失或损害负责，无论对该损失或损害之索赔是依据合同、保证责任、侵权、疏忽、严格责任、赔偿责任、法令(条例)或其它，即使这种损失或损害发生的可能性已经被预先告知。

15．NＯTIＣE ＯＦCLAIMS 索赔通知
TｈｅＢuyeｒｓhaｌl notｉfy tｈe Selｌer in wriｔing oｆａnｙ claｉm fｏｒ damａgeｓ with ｉn ｓｉxty （60)dayｓafｔer the Buｙer leaｒns or should ｈaveｌearneｄｓｕｃh damagｅ. Withoｕt delivery ofｓuｃh writtｅｎnｏtice ｗiｔhin the sixty（60)－dａy pｅriod, the Buyer shall hａveｎo rｉｇｈt ｔo clａｉmａny dａmages ａgainst theＳeｌler．
买方应在知道或应当知道损害发生之日起六十（６0)日内将索赔事项以书面形式通知卖方。

未在该六十(60）日的期限内提交书面通知的，买方将无权向卖方提出任何索赔。

16. Lａnguａges of ｔhe Cｏnｔract 合同使用的语言
Thｅ Cｏnｔｒact ｉs wrｉtten botｈin Enｇｌiｓh and Ｃｈiｎeｓe, aｎｄ bｏtｈ vｅrsiｏｎs

本合同以中英文两种文本缔结，两种文本具有相同的法律效力。

如果对中英两种文本的解释存在差异,以中文文本为准。
