Construction Contract
This Construction Contract (the "Contract") is made and entered into as of [Date], by and between [Contractor's Name], a [Contractor's Jurisdiction] corporation ("Contractor"), and [Owner's Name], a [Owner's Jurisdiction] corporation ("Owner").
Recitals
WHEREAS, the Owner desires to have certain construction work (the "Work") completed by the Contractor, as more fully described in Exhibit A attached hereto;
WHEREAS, the Contractor is willing and able to perform the Work in accordance with the terms and conditions set forth herein;
NOW, THEREFORE, in consideration of the mutual promises contained herein, the parties hereto agree as follows:
Article 1: Scope of Work
1.1 The Contractor agrees to perform the Work in accordance with the plans and specifications set forth in Exhibit A, which is incorporated herein by reference.
1.2 The Contractor shall complete the Work within the time frames specified in Exhibit A.
Article 2: Payment
2.1 The Owner agrees to pay the Contractor the total contract price set forth in Exhibit A, less any applicable discounts, allowances, or rebates, upon the completion of the Work in accordance with the terms of this Contract.
2.2 Payment shall be made by the Owner to the Contractor in accordance with the payment schedule set forth in Exhibit A.
2.3 The Contractor shall be entitled to interest on any late payments made by the Owner at the rate of [Interest Rate] per annum, calculated from the date such payment was due until the date of actual payment.
Article 3: Change Orders
3.1 The Owner and Contractor may agree to changes in the scope of Work, time frames, or prices by means of a written change order ("Change Order").
3.2 A Change Order shall be effective upon execution by both the Owner and Contractor.
3.3 The Contractor shall be entitled to additional compensation for any additional work required to be performed as a result of a Change Order, and the Owner shall be responsible for any additional costs incurred by the Contractor due to such Change Order.
Article 4: Warranties
4.1 The Contractor warrants that the Work shall be performed in a workmanlike manner and in accordance with the plans and specifications set forth in Exhibit A.
4.2 The Contractor warrants that all materials used in the Work shall be of good quality and free from any defects.
4.3 The Contractor shall repair or replace any Work that is found to be defective or non-conforming to the plans and specifications within a reasonable time after written notice of such defect or non-conformity is given to the Contractor by the Owner.
Article 5: Default
5.1 If the Contractor fails to perform the Work in accordance with the terms of this Contract, the Owner may declare the Contractor in default and terminate this Contract.
5.2 If the Contractor becomes the subject of bankruptcy, insolvency, or receivership proceedings, the Owner may declare the Contractor in
default and terminate this Contract.
Article 6: Dispute Resolution
