Contract for Engineering Renovation
This Contract (the "Contract") is entered into as of ____________ (the "Effective Date"), and between ____________ (the "Client"), a pany organized and existing under the laws of ____________, with a registered address at ____________, and
____________ (the "Contractor"), a pany organized and existing under the laws of ____________, with a registered address at ____________.
RECITALS:
WHEREAS, the Client is the owner of the property located at ____________ (the "Property");
WHEREAS, the Client desires to renovate the Property, and the Contractor is willing to perform the renovation services in accordance with the terms and conditions set forth herein;
NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth herein, the parties hereto agree as follows:
1. Engagement: The Client here engages the Contractor to perform the renovation services described in Exhibit A attached hereto (the "Renovation Services"), and the Contractor here accepts such engagement, subject to the terms and conditions set forth herein.
2. Term: The term of this Contract shall mence on the Effective Date and shall continue until the pletion of the Renovation Services, unless earlier terminated in accordance with the terms hereof.
3. Compensation: In consideration for the performance of the Renovation Services, the Client shall pay the Contractor the fees set forth in Exhibit B attached hereto (the "Fees"). The Fees shall be pd in accordance with the payment schedule set forth in Exhibit B.
4. Scope of Work: The Contractor shall perform the Renovation Services in a professional and workmanlike manner, in accordance with the plans and specifications provided the Client and attached hereto as Exhibit C (the "Plans
and Specifications"). The Contractor shall plete the Renovation Services on or before the pletion date set forth in Exhibit A (the "Completion Date").
5. Changes to Scope of Work: If the Client requests any changes to the scope of the Renovation Services, the Contractor shall provide a written proposal detling the proposed changes, including any additional fees and any impact on the Completion Date. The Client shall have the option to accept or reject the proposed changes in writing. If the Client accepts the proposed changes, the Contractor shall proceed with the performance of the Renovation Services in accordance with the revised scope, and the Client shall pay the additional fees, if any, in accordance with the payment schedule set forth in Exhibit B.
6. Warranty: The Contractor warrants that the Renovation Services shall be free from defects in materials and workmanship for a period of ____________ (the "Warranty Period") from the Completion Date. If any缺陷 in materials or workmanship arise during the Warranty Period, the Contractor shall, at its sole expense, correct such缺陷.
7. Indemnification: The Contractor shall indemnify, defend, and hold harmless the Client from and agnst any and all clms, liabilities, damages, losses, and expenses (including reasonable attorneys' fees and costs) arising out of or related to the performance of the Renovation Services the Contractor or its agents or employees.
8. Termination: This Contract may be terminated either party upon written notice to the other party in the event of a material breach the other party that is not cured within ____________ days after written notice thereof. In addition, the Client may terminate this Contract for convenience upon written notice to the Contractor, in which case the Contractor shall be end to receive payment for the Renovation Services performed up to the date of termination, in accordance with the payment schedule set forth in Exhibit B.
9. Governing Law: This Contract shall be governed and construed in accordance with the laws of ____________, without giving effect to principles of conflicts of law.
10. Dispute Resolution: Any disputes arising out of or related to this Contract shall be resolved through binding arbitration in accordance with the rules of the ____________ Arbitration Association, and the decision of the arbitrator(s) shall be final and binding upon the parties.
