in the event of any objection, Party B may consult Party A’s human resource department.第5条（社会保险及其它）Article 5 Social Insurance and Other Matters（1）甲方单位按照国家和上海市的有关规定,为乙方单位交纳社会保险和住房公积金.5.1 Party A shall pay social insurance premium and housing accumulation funds for PartyB in accordance with the relevant regulations of the State and Shanghai municipality.（2）乙方单位原意按照国家和上海市的有关规定,由个人承担的社会保险、住房公积金部分由甲方单位在工资中代扣代缴.5.2 Party B agrees that Party A may, from the remuneration payable to Party B, withhold the part of social insurance premium and public remuneration fund to be borne by Party B and Party A may pay such withheld part on behalf, in accordance with the relevant regulations of the State and Shanghai municipality.（3）乙方单位因病或非因工负伤期间,享有上海市规定的医疗期和疾病休假待遇.5.3 If Party B suffers sickness or non-work-related injury, Party B is entitled to medical treatment period and sick leave treatment provided by Shanghai municipality.（4）符合计划生育政策的乙方单位（女职工）享有本市规定的产假和其它特殊待遇,事前乙方单位须提出申请,经甲方单位（但不限于甲方单位,如果需要政府有关机构审核批准的）核准后执行.5.4 Party B (if Party B is a female employee) is entitled to maternity leave and other special treatment provided by this local municipality, provided that she must be in compliance with the State’s family planning policy and Party B shall submit an application to Party A (if the approval of the government is necessary, Party B shall submit such application to competent authorities) for approval in advance.（5）乙方单位享有甲方单位按国家或本市政府及甲方单位的规定设定的福利待遇,具体按甲方单位的有关办法执行.5.5 Party B is entitled to the welfare provided by Party A in accordance with the relevant provisions made by the State, the local muni cipal government or Party A; Party A’s relevant implementation rules shall apply to the welfare.（6）如遇国家或本市政府调整社会保险、住房公积金的政策,甲方单位相应调整乙方单位的社会保险、住房公积金的,本协议合同不作变更处理.5.6 If, in the event of the readjustment made by the State or local municipal government of the policy on social insurance or housing accumulation fund, Party A readjusts the social insurance and housing accumulation fund for Party B accordingly, this Agreement may not be deemed as being altered.第6条（劳动保护、劳动条件和职业危害防护）Article 6 Labor Protection, Working Condition and Prevention against Occupational Hazard（1）乙方单位享有甲方单位提供的相应的劳动保护和劳动条件.（2）乙方单位享有甲方单位执行的国家劳动标准提供的职业危害防护条件.6.1 Party B is entitled to the corresponding labor protection and working condition by provided by Party A.6.2 Party A shall provide Party B with preventing conditions against occupational hazard in accordance with the State’s labor standard.第7条（劳动纪律和规章规章）Article 7 Labor Discipline and Regulations and Rules （1）甲方单位应根据国家有关法律、法规,依法制定各项规章规章.（2）乙方单位应诚实守信,自觉遵守国家的法律、法规和社会公德、职业道德,自觉维护甲方单位的声誉和利益,保守甲方单位秘密.（3）甲方单位有权根据乙方单位的表现或行为,依据国家的法律、法规、行政规章和甲方单位的规章规章,给予乙方单位相应的奖励或处理.其中：1、乙方单位如发生符合甲方单位《职工奖励办法》规定的积极行为的,甲方单位可以按照《职工奖励办法》给与乙方单位奖励；2、乙方单位如发生违反甲方单位规章规章的消极行为的,甲方单位有权按《职工违规处理办法》给与处理.7.1 Party A shall formulate various regulations and rules in accordance with the State’s laws and regulations.7.2 Party B shall deport himself with sincerity and good faith, abide by the State’s laws and regulations and social ethics and professional ethics, maintain Party A’s reputation and interests initiatively and keep secret Party A’s confidential information.7.3 Party A may award or treat Party B as follows in the light of Party B’s performance and acts and in accordance with the State’s laws, regulations and administrative rules and Party A’s regulations and rules.1) If Party B has any positive actions deserving award as provided in Party A’s Rules of Awarding Employees, Party A may award Party B in accordance with the Rules of Awarding Employees.2) If Party B has committed any actions in breach of Party A’s regulations or rules, Party A may treat him or her in accordance with the Rules for Treatment of Employees in Breach of Regulations.第8条（教育与培训）Article 8 Education and Training（1）甲方单位可以根据工作需要不定期地对乙方单位进行所必须的教育与培训.（2）乙方单位应参加甲方单位的各项教育与培训安排.（3）凡由甲方单位出资培训乙方单位,双方另行签订《培训/教育协议合同》,因乙方单位原因而提前解除劳动协议合同,乙方单位应赔偿甲方单位的培训等费用,具体赔偿标准执行《培训/教育协议合同》的约定.8.1 Party A may educate or train Party B irregularly when necessary in the light of the working requirements.8.2 Party B shall participate in all the education and training courses arranged by PartyA.8.3 Where Party A invests in training of Party B, the two parties shall conclude agreement for education/training separately; if this Employment Agreement is terminated earlier than originally stipulated for reasons attributable to Party B, Party B shall compensate Party A the training fee in accordance with the stipulations in such agreement for education/training.第9条（保密约定）Article 9 Confidentiality（1）双方签订本协议合同后,乙方单位应遵守甲方单位《保密条例》,不得泄露甲方单位秘密,不得在协议合同期内再受聘其他任何单位从事与甲方单位相同或类似或有竞争冲突的业务.不得引诱甲方单位的其他在职职工离职.9.1 Party B shall, after signing of this Agreement, observe Party A’s Confidentiality Rules, and may not disclose any of Party A’s confidential information; during the validity term hereof, Party B may not engage in any business similar with or in competition with Party A’s business for any other employer, and Party B may not induce other employees working for Party A to resign from Party A.（2）乙方单位在协议合同期内,属其岗位职务行为或主要利用甲方单位的物质技术条件所产生的所有专利、版权和其他知识产权归甲方单位所有,乙方单位无权进行商业性开发.9.2 Any and all patents, copyrights and other intellectual property rights produced by Party B as his or her work duty or mainly by utilizing Party A’s material during the validity term of this Agreement shall be Party A’s property, and Party B is not entitled to any commercial rights pertaining thereto.（3）合约双方另订《保密协议合同》,具体确定双方的权利义务.乙方单位在本协议合同存续期间和终止解除后承担甲方单位《保密协议合同》中规定的保密义务.9.3 Party A and Party B are to enter into Non-disclosure Agreement separately, so as to stipulate the obligations and rights of the two parties. During the validity term of this Agreement and after the termination hereof, the confidentiality obligation stipulated in the Confidentiality Agreement has binding force upon Party B.（4）乙方单位如在本协议合同存续期间,违反《保密协议合同》约定的,视作违纪行为,按《职工违规处理办法》有关规定处理.9.4 If, during the validity term of this Agreement, Party B breaches the Confidentiality Agreement, Party B shall be deemed as having breached Party A’s disciplines and is to be treated in accordance with the Rules for Treatment of Employees in Breach of Regulations.（5）乙方单位因违约给甲方单位造成经济或名誉损失的,应承担侵权赔偿责任,甲方单位有权利向乙方单位追偿经济损失.9.5 If Party B breaches this Agreement and thereby causes any economic loss or reputation loss, Party B shall bear the liability therefor and Party A may have the right of recourse against Party B for any economic loss.。

第一条：合同双方甲方：乙方：第二条：甲乙双方经友好协商就乙方向甲方派遣临时性服务人员（以下简称乙方劳务人员）事宜，特签定本合同。
第三条：本合同自年月日起，至年月日止。
合同期满前一个月双方协商续签或终止事宜，如未续签，本合同期满自动终止。
第四条：双方的权利、义务、责任1、甲方有权要求乙方组织的劳务人员符合甲方提供的工作岗位要求，且身体健康，无慢性病史，并持有本年度卫生防疫站所发健康证。
2、甲方有权根据预定情况，要求乙方及时派出劳务人员，并要求乙方保证人员数量。
3、甲方要求乙方派遣的劳务人员需要具备一年以上工作的工作经验，且年轻在20-25岁之间。
4、乙方劳务人员的各项社会保险（包括医疗保险及人身伤害保险）的缴纳及人事档案及相关事宜的办理由乙方负全部责任，乙方违反该约定而造成的一切后果均由乙方负全部责任。
5、甲方有义务对乙方派出的劳务人员进行与岗位相适应的专业培训和教育。
6、甲方有义务对乙方劳务人员的工作表现通知乙方，并协调处理相关事宜。
7、乙方有权要求甲方按劳动法和相关政策、法规，维护乙方劳务人员的合法权益。
8、乙方劳务人员如在工作中发生较重工伤事故，甲方应给予及时、积极的抢救，并及时通知乙方。
需做工伤鉴定的，应由乙方请有关部门做工伤鉴定，并由乙方处理善后事宜。
乙方劳务人员的工伤事故甲方负有直接责任的，甲方按照责任的比例负责善后事宜。
9、乙方有责任按甲方要求及时提供符合甲方要求的劳务人员，所派劳务人员应无违纪和犯罪记录，品行良好。
对于乙方派出的劳务人员，甲方一旦发现其有不良记录或在工作中违反劳动纪律、违反甲方的规章制度或不能胜任甲方工作要求的，甲方可要求乙方随时更换。
10、甲方在有临时变动或突发事件发生前，需在提前至小时内通知乙方。
如不能在规定的时间内通知乙方，给乙方造成的经济损失，由甲方全部负责。
第五条：劳务费用及相关事宜1、甲方按乙方劳务人员在甲方的服务总小时数支付乙方劳务费用。
支付标准为：服务每人每小时元人民币。
国家法定节假日期间甲方应支付三倍费用，即每人每小时元人民币。
2、甲方应保证乙方服务人员到点用餐。
3、甲方负责乙方劳务人员的考勤记录并经乙方劳务人员的签字认可。
4、甲方每月月初结算上月乙方劳务费用，经甲乙双方确认后，支付乙方实际发生人员的劳务费。
每月20号前以支票或现金形式支付给乙方。
5、乙方劳务人员所产生的个人所得税，由乙方劳务人员本人全部负担，并由乙方代扣代缴。
6、乙方劳务人员的上岗工服根据工作需要由甲方提供。
7、乙方应确保甲方要求的人数和工作时间派遣劳务人员。
8、乙方为保证服务质量每三个月一周期对员工进行一次培训。
第六条：其他1、乙方劳务人员应遵守甲方的各项规章制度和纪律，服从甲方的领导、管理和教育。
2、乙方劳务人员如有违反劳动纪律，甲方有权进行必要的批评教育，并通知乙方，如造成经济损失，则视情况由乙方劳务人员当事人承担赔偿责任，同时乙方对于该损失承担连带赔偿责任。
3、如订立本合同所依据的客观情况发生重大变化，致使协议无法履行时，经甲乙双方协商一致，本合同可以解除。
4、本合同未尽事宜以及对本合同任何条款的变更、修改或补充，须由双方协商并签订书面合同方可生效。
5、本合同履行过程中发现其内容与国家或北京市有关规定相悖时，应按国家或北京市有关规定执行。
6、凡因履行本合同时或发生与本合同有关的一切争议，双方应友好协商解决，如协商不能解决，则甲乙双方均有权向法院提起诉讼。
7、本协议一式两份，甲、乙双方各执一份，具有同等效力。

Party A has power to request Party B’s organized service workers competent for their work， healthy， free of chronic disease， with health certificate issued by the hygiene epidemic prevention station this year.2. Party A have the power to request Party B to send out service workers timely according to the schedule and shall ensure the quantity.3. Party A requests Party B that service workers shall have at least one year of work experience， and between 20-25 years old.4. Party B shall fully be responsible to pay for service workers' each item of social insurances (include medical treatment insurance and Human body injuryinsurance) and personnel file and related affairs， any breach of Party B on this clause would result in Party B’s fully responsibilities.5. Party A has an obligation to carry on professional training and education for service workers for their posts.6. Party A has an obligation to notice Party B on service workers’ performances，and to coordinate related affairs.7. Party B has power to request Party A for service workers’ legal rights according to the labor law， relevant policy and regulations.8. Party A shall give timely and initiative rescue to service workers in heavy industrial accidents， and shall notice Party B in time. Party B shall have competent authorities to do industrial injury authentication if necessary， and shall deal with aftermaths. In case Party A has direct responsibility in industrial accidents， Party A shall be responsible for the dealing of aftermaths according to the proportion of its responsibility.9. Party B has responsibility to provide service workers timely as requested by Party， and such service workers shall have good conducts without disobedient or criminal records. In case Party A finds out that they have such records or they disobey labor discipline or Party A 's regulations， or not competent for Party A’s work requirements during their work， Party A can request Party B to replace them at any time.10. Party A shall notice Party B for temporary changes or abrupt occurrences to hours in advance. Any fail to notice causing economic losses to Party B would result in Party A’s fully responsibility;Article 5: Service charges and related affairs1. Party A shall pay Party B service charges according to the total working hours of service workers for Party A. Payment standard: yuan hourly per service worker for service. During national legal holidays， PartyA shall pay triple charges， i.e. yuan hourly per service worker.2. Party A should ensure service workers to have meals on time.3. Party A shall be responsible for service workers’ attendance records， signed and approved by Party B.4. Party A shall settle service charges of last month to Party B at the beginning of each month， and shall pay service workers charges according to actual occurrence after confirmed by both parties. Party A shall pay Party B in form of the check or cash before the 20th each month.5. Service workers shall be fully responsible for their own income taxes， and Party B shall be responsible to withhold individual income taxes.6. Service workers’ working wears shall be provided by Party A according to working requirements.7. Party B should ensure quantity and time in sending out service workers as required by Party A.8. Party B shall train service workers every three months to ensure service quality.Article 6: Others1. Service workers shall obey Party A’s regulations and disciplines， and comply with Party A’s leadership， management and education.2. For service workers’ disobedience， Party A has power to carry on necessary education， and notice Party B， for economy loss caused by such disobedience，the concerned party shall take the indemnification responsibility， and PartyB shall take joint responsibility.3. In case great changes of objective circumstance of this contract occur，causing this contract can't be implemented， this contract can be terminated through both parties’ agreement.4. Any unfinished problem of and any changes rectification or amendment to this contract shall be thorough both parties’ consultation and in writing form to take effect.5. Any content contrary to national or Beijing regulations during implementing this contract， national or Beijing regulations shall prevail.6. For any dispute during implementing this contract or relating to this contract， both parties should solve it through friendly negotiation， if negotiation cannot solve it， both parties have power to initiate public prosecution toward the court.7. This contract shall have two originals and each party will have one. Both copies shall be equally valid.。
