HIH-4000系列测湿传感器作为一个低成本、可软焊的单个直插式组件(SIP)提供仪表测量质量的相对湿度(RH)传感性能。

澳洲HIH破产案调查委员会调查过程介绍葛云华上海财经大学保险精算研究中心2003年4月4日,历时18个月的澳洲HIH保险公司破产案调查工作暂时告一段落。

负责此次调查的HIH事件皇家调查委员会(HIH Royal Commission)向澳大利亚联邦司法部提交了长达1100多页的调查报告。

报告几乎涵盖了2001年3月15日之前的所有与HIH保险公司破产相关的问题。

由于针对的是澳洲有史以来最大的破产案件,牵涉到方方面面的利益,调查难度可想而知。

本文的目的不是详细介绍HIH的破产原因和各种问题,而是择重介绍对HIH的破产清算调查过程,目的在于借鉴保险公司的退出机制。

一、HIH案件的简述HIH Insurance Limited (以下简称HIH)是澳大利亚第二大非寿险保险公司。

2001年3月15日,澳大利亚新南威尔士(New South Wales,NSW)地方高等法院勒令HIH及其在澳大利亚当地的十七家子公司进行临时清算,并指定毕马威咨询事务所(KPMG)的Tony McGrath先生和Alex Macintosh 先生为临时清算人。

在经过初步调查之后,发现HIH 账面亏损可能高达36-53亿澳元。

在确信HIH无力清偿债务的情况下,澳大利亚高等法院于2001年5月17日正式宣布HIH破产,这是澳大利亚历史上最大的破产案件。

二、调查委员会的成立2001年6月,澳大利亚政府决定成立HIH事件皇家调查委员会(以下简称调查委员会),任命来自西澳大利亚州(West Australia)高等法院的Justice Neville Owen为调查委员会专员,着手调查在2001年3月15日指定临时清算人之前,一切与HIH破产相关的情况。

皇家调查委员会是根据澳大利亚联邦宪法及皇家调查委员会法(1902)而成立的特别机构,专门负责调查在澳洲有重大影响的事件,拥有特别的权限。

由于HIH破产事件牵涉到众多方面,为了避免可能的利益冲突,使调查更为客观公正,澳洲政府指派的调查委员会专员来自HIH公司总部所在地新南威尔士州之外的西澳。

其总部设在悉尼,并在英国、新西兰、美洲和亚洲等多个国家和地区都设有分公司及子公司。

HIH业务范围广阔,包括承保非寿险、管理承保代理人和管理投资基金等,其中非寿险承保的领域几乎无所不包:普通非寿险、公众和专业责任保险、机动车辆险、工程保险、海事保险、强制性第三者责任险和雇员补偿险、旅行保险以及不动产和商业资产保险等。

根据HIH 保险集团2000年12月公布的合并财务报表披露,HIH在2000年6月前的毛保费收入达28亿澳元,总资产80亿澳元,总负债71亿澳元,净资产9亿澳元。

据统计,HIH在澳大利亚至少有200万份非寿险保单和超过100万保单持有人,大约30%的澳洲上市公司购买了HIH的保单。

Thermal Hysteresis
Total Error Band should not be confused with “Accuracy”, which is actually a component of Total Error Band. Many competitors simply specify the accuracy of their device; however, the specification may exclude hysteresis and temperature effects, and may be calculated over a very narrow range, at only one point in the range, or at their absolute best accuracy level. It is then up to the customer to calibrate the device to make sure it has the accuracy needed for the life of the application. HIH公司破产的原因❖(一)公司治理结构存在严重缺陷:❖正常的公司治理结构应该是:管理层就公司经营战略提出建议,董事会的职责则是理解、测试并决定公司经营战略。

❖HIH公司董事会基本流于形式,议程由管理层决定,董事会中的非执行董事完全依赖来自管理层的信息进行决策。

HIH公司的管理层从不就公司的经营策略对董事会进行说明,董事会无从了解公司的战略方向,缺乏独立性的董事会在公司业绩恶化时也无法对经理层的表现进行客观的评估。

❖由于对公司的中长期发展战略缺乏了解,董事会对投机性的投资决策没有正确的判断,这直接导致了海外扩张(英国、美国)和公司收购(FAI)等事项的错误决策。

作为公司创立人之一的罗伊·威廉从公司创立以来直到2000年10月退休前一直是公司的CEO,在投资决策、捐赠、员工薪酬等方面拥有无限的授权(甚至他不再担任CEO 之后也是如此)。

(二)利益冲突的问题没有得到解决❖当公司进行与某些董事利益有关的交易时,董事并未主动披露其在交易中的利益,而董事会也没有处理有关涉及利益冲突的关联交易的适当程序。

三)离奇的会计方法掩盖了偿付能力问题作为战略计划工具的预算控制完全失效,HIH采用了日历年度一次性会计方法,掩盖了糟糕的经营业绩。

但董事会和审计委员会并没有对这种会计方法提出异议。

(四)缺乏独立的审计机构HIH有内部审计委员会和外部审计机构,内部审计委员会并未考虑风险管理和内部控制等重要因素。

从组织结构看,审计委员会委员本应完全由非执行董事担任,但HIH的审计会议往往由包括执行董事在内的全体董事参加,使审计委员会完全丧失了独立性。

(五)致命的交易直接导致HIH进入清算程序❖:1993年开始在英国的业务:存在缺陷的管理信息和会计系统使总部对英国业务缺乏有效的监控,最后的结果是,HIH在英国损失17亿澳元。

❖美国的并购案:董事会未对可能的风险进行认真评估,导致了美国并购案的完成和6.2亿澳元的损失。

❖收购FAI公司:关于收购FAI公司的董事会议是在这样的情况下召开的:12位董事中有5位缺席,剩下的7位中有4位是以通讯投票的方式参加的,也就是说,12位董事中只有3位董事亲自出席了总部的会议。
