OW, THEREFORE, in consideration of the mutual promises contained herein and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows:

1.Sale and Purchase of Shares.Subject to the terms and conditions of this Agreement, Transferor agrees to sell, convey, transfer, and deliver to Transferee, and Transferee agrees to purchase, accept, and acquire from Transferor, all of Transferor"s right, title, and interest in and to the shares of Target capital stock specified in Exhibit A, in exchange for the consideration set forth in Section 2 below.
