Sales Agency Contract Agreement。

本代销合同协议书（以下简称“本协议”）由以下双方签署：
This Sales Agency Contract Agreement (hereinafter referred to as "this Agreement") is signed by the following two parties:

鉴于：
Whereas:
1. 甲方是一家具有独立法人资格的企业，拥有一定的市场资源
和销售网络；
Party A is an enterprise with independent legal personality, who owns certain market resources and sales network;
2. 乙方是一家生产销售（产品/服务）的企业，希望通过甲方的销售网络进行销售；
Party B is an enterprise that produces and sells (products/services), and hopes to sell them through Party A's sales network;
3. 双方经协商，达成以下协议：
After consultation, the two parties have reached the following agreement:
第一条代销产品/服务。

Article 1 Sales Products/Services。

1.1 甲方同意代理乙方的（产品/服务），并通过其销售渠道销售。

Party A agrees to act as an agent for Party B's (products/services) and sell them through its sales channels.
1.2 甲方应当按照乙方的要求，对（产品/服务）进行推广和销售，并保证销售数量和销售额达到一定的要求。

Party A shall promote and sell (products/services) according to Party B's requirements, and guarantee that the sales volume and sales amount meet certain requirements.
1.3 甲方应当对乙方的（产品/服务）进行妥善保管，确保其质
量和数量不受损失。

Party A shall properly keep Party B's
(products/services), ensuring that their quality and
quantity are not damaged.
1.4 乙方应当按照约定的价格和条件向甲方提供（产品/服务）。

Party B shall provide (products/services) to Party A at the agreed price and conditions.
1.5 乙方应当对其提供的（产品/服务）质量和数量负责，并保
证其符合国家相关法律法规的要求。

Party B shall be responsible for the quality and
quantity of the (products/services) it provides, and ensure that they meet the relevant laws and regulations of the country.
第二条销售价格。

Article 2 Sales Price。

2.1 甲方应当按照乙方的要求，制定（产品/服务）的销售价格，并在销售过程中严格执行。

Party A shall formulate the sales price of
(products/services) according to Party B's requirements,
and strictly implement it during the sales process.
2.2 甲方在销售过程中，不得私自调整（产品/服务）的销售价格。

Party A shall not adjust the sales price of
(products/services) without authorization during the sales process.
2.3 乙方应当及时通知甲方（产品/服务）的价格调整情况，并与甲方协商确定新的销售价格。

Party B shall promptly inform Party A of the price adjustment of (products/services), and negotiate with Party A to determine the new sales price.
第三条销售渠道。

Article 3 Sales Channels。

3.1 甲方应当尽最大努力拓展销售渠道，提高（产品/服务）的销售量和市场份额。

Party A shall make every effort to expand sales channels, increase the sales volume and market share of (products/services).
3.2 甲方在拓展销售渠道时，应当遵守国家相关法律法规的要求，不得采取违法违规的手段进行销售。

Party A shall comply with the relevant laws and regulations of the country when expanding sales channels, and shall not adopt illegal means to sell.
3.3 乙方应当积极支持甲方的销售渠道拓展工作，提供必要的支持和协助。

Party B shall actively support Party A's sales channel expansion work, and provide necessary support and assistance.
第四条佣金和结算。

Article 4 Commission and Settlement。

4.1 甲方应当按照约定的佣金比例，从销售收入中扣除佣金，并及时向乙方结算。

Party A shall deduct the commission from the sales revenue according to the agreed commission ratio, and settle with Party B in a timely manner.
4.2 乙方应当及时向甲方提供销售收入的明细和结算单据。

Party B shall provide Party A with details of sales revenue and settlement documents in a timely manner.
4.3 甲方应当按照乙方的要求，提供销售收入的相关报表和数据。

Party A shall provide relevant reports and data on sales revenue according to Party B's requirements.
第五条保密条款。

Article 5 Confidentiality。

5.1 双方应当对本协议涉及的商业秘密和机密信息进行保密，不得向第三方泄露。

Both parties shall keep confidential the commercial secrets and confidential information involved in this Agreement, and shall not disclose them to third parties.
5.2 双方应当采取必要的技术和管理措施，确保保密信息不被泄露、丢失或被盗用。

Both parties shall take necessary technical and management measures to ensure that confidential information is not disclosed, lost or misused.
第六条违约责任。

Article 6 Liability for Breach of Contract。

6.1 如果甲方未按照本协议的约定推广和销售乙方的（产品/服务），或者未按照约定的时间和方式向乙方结算佣金，应当承担违约责任。

If Party A fails to promote and sell Party B's (products/services) according to the agreement of this Agreement, or fails to settle the commission with Party B according to the agreed time and method, it shall bear the liability for breach of contract.
6.2 如果乙方未按照本协议的约定向甲方提供（产品/服务），或者未按照约定的时间和方式提供销售收入的明细和结算单据，应当承担违约责任。

If Party B fails to provide (products/services) to Party A according to the agreement of this Agreement, or fails to provide details of sales revenue and settlement documents according to the agreed time and method, it shall bear the liability for breach of contract.
第七条争议解决。

Article 7 Dispute Resolution。

7.1 双方应当通过友好协商解决协议履行过程中的争议。

Both parties shall resolve disputes arising from the performance of this Agreement through friendly consultation.
7.2 如果无法通过协商解决，应当提交有管辖权的仲裁机构进
行仲裁。

If the dispute cannot be resolved through consultation, it shall be submitted to an arbitration institution with jurisdiction for arbitration.
第八条适用法律和管辖法院。

Article 8 Applicable Law and Jurisdiction Court。

8.1 本协议适用中华人民共和国法律。

This Agreement shall be governed by the laws of the People's Republic of China.
8.2 本协议的履行和解释，应当以甲方所在地的人民法院为管
辖法院。

The performance and interpretation of this Agreement shall be subject to the jurisdiction of the people's court where Party A is located.
第九条协议生效。

Article 9 Effectiveness of Agreement。

9.1 本协议自双方签署之日起生效，有效期为（时间）。

This Agreement shall come into effect on the date of signing by both parties and shall be valid for (time).
9.2 本协议有效期届满前，如有需要延长，双方应当在有效期届满前达成书面协议。

If an extension is required before the expiration of this Agreement, both parties shall reach a written agreement before the expiration of the validity period.
