鉴于甲方是具备合法资质的商品生产商和销售商，拥有良好的商业信誉；乙方愿意购买甲方的产品，经双方友好协商，特订立本合同，以便共同遵守。

In view of the fact that Party A is a manufacturer and seller of goods with legal qualifications and good business reputation; Party B is willing to purchase Party A's products; both parties have negotiated amiably and have concluded this Contract in order to abide by it together.
第一条产品名称、规格、数量和质量
Article 1: Name, Specification, Quantity and Quality of the Product
1.1 本合同产品名称、规格、数量和质量详见附件一。

第二条价格和支付方式
Article 2: Price and Payment Method
2.1 产品单价为人民币【元】（大写：【人民币】整），详见附件一。

2.1 The unit price of the product is RMB【Yuan】(in Chinese: 【RMB】整), as detailed in Attachment 1.
2.2 乙方应按照本合同约定的付款方式，向甲方支付产品价款。

第三条交付及运输
Article 3: Delivery and Transportation
3.1 甲方应按照本合同约定的时间、地点和方式，向乙方交付产品。

3.1 Party A shall deliver the product to Party B at the time, place, and manner agreed upon in this Contract.
3.2 产品运输费用由【甲方/乙方】承担，具体金额和支付方式详见附件一。

3.2 The transportation costs for the product shall be borne by【Party

第四条验收和质量保证
Article 4: Acceptance and Quality Assurance
4.1 乙方应在收货后【天数】内对产品进行验收，并将验收结果通知甲方。

4.1 Party B shall accept the product and notify Party A of the acceptance results within【number of days】after receipt.
4.2 甲方保证产品符合国家相关法律法规和行业标准，自验收合格之日起【保修期限】内，对产品实行保修。

4.2 Party A guarantees that the product meets the relevant national laws, regulations, and industry standards, and provides a warranty for the product for a period of【warranty period】from the date of acceptance.
第五条违约责任
Article 5: Breach of Contract
5.1 任何一方违反本合同的约定，应承担相应的违约责任，向对方支付违约金，并赔偿因此给对方造成的损失。

5.1 Any party that breaches the terms of this Contract shall bear the corresponding liability for breach of contract, pay liquidated damages
to the other party, and compensate for any losses caused thereby.
第六条争议解决
Article 6: Dispute Resolution
6.1 对于因本合同引起的或与本合同有关的一切争议，双方应友好协商解决；协商不成的，任何一方均有权向合同签订地人民法院提起诉讼。

6.1 For any disputes arising from or related to this Contract, the parties shall resolve them amicably; if the consultation fails, either party has the right to file a lawsuit with the People's Court in the place of contract signing.
第七条其他约定
Article 7: Other Agreements
7.1 本合同自双方签字（或盖章）之日起生效，有效期为【年数】，至合同约定的权利义务履行完毕之日止。

7.1 This Contract shall take effect from the date of signature (or seal) by both parties, with a validity period of【number of years'], until the performance of the rights and obligations stipulated in the Contract is completed.
