1. Background 背景
This Quality Testing Technical Service Agreement ("Agreement") is entered into by and between Party A and Party B (collectively referred to as the "Parties") to outline the terms and conditions governing the quality testing services provided by Party B to Party A.
本质量检测技术服务协议（以下简称“协议”）由甲方和乙方（以下统称为“双方”）签订，旨在规定乙方向甲方提供的质量检测服务的条款和条件。

2. Scope of Services 服务范围
2.1 Party B shall provide quality testing services to Party A for the following products: (List of products).
乙方应为甲方提供以下产品的质量检测服务：（产品清单）
2.2 The quality testing services shall include, but are not limited to:
- Product testing and analysis
- Material inspection
- Quality control and assurance
- Technical consultation
2.3 Party B shall utilize appropriate equipment, facilities, and methodologies to conduct the quality testing services.
3. Obligations of Party B 乙方责任
3.1 Party B shall perform the quality testing services in a professional and timely manner, adhering to industry standards and regulations.
乙方应以专业和及时的方式执行质量检测服务，并遵守行业标准和法规。

3.2 Party B shall allocate qualified personnel with relevant expertise to carry out the quality testing services.
3.3 Party B shall keep all information obtained during the provision of services confidential and shall not disclose such information to any third party without the prior written consent of Party A.
4. Obligations of Party A 甲方责任
4.1 Party A shall provide accurate and complete product samples, necessary documentation, and any other relevant information required by Party B for conducting the quality testing services.
4.2 Party A shall promptly notify Party B of any changes to the products or services that may affect the quality testing process.
4.3 Party A shall ensure the products provided for testing comply with applicable laws, regulations, and industry standards.
5. Fees and Payment 费用和付款方式
5.1 Party A shall pay Party B the agreed-upon fees for the quality testing services as outlined in the attached fee schedule.
5.2 Payment shall be made within a specified timeframe upon receipt of an invoice from Party B.
6. Intellectual Property Rights 知识产权
6.1 Any intellectual property rights arising from the quality testing services provided by Party B shall belong to Party B unless otherwise agreed in writing by the Parties.
6.2 Party A shall not infringe upon any intellectual property rights of Party B related to the quality testing services.
7. Limitation of Liability 责任限制
7.1 Party B shall not be liable for any damages or losses incurred by Party A arising from the use or reliance on the quality testing services, except in cases of gross negligence or willful misconduct.
7.2 The liability of Party B shall be limited to the amount paid by Party
A for the specific quality testing services that have directly caused the damages or losses.
8. Term and Termination 期限和终止
8.1 This Agreement shall become effective on the Agreement Date and shall remain in effect for a period of (Duration in Years) years, unless terminated earlier in accordance with the provisions of this Agreement.
8.2 Either Party may terminate this Agreement by providing (Notice Period) written notice to the other Party in the event of a material breach of this Agreement by the other Party.
8.3 Upon termination of this Agreement, Party B shall promptly return to Party A any confidential information or materials provided by Party A.
9. Governing Law and Dispute Resolution 法律适用和争议解决
9.1 This Agreement shall be governed by and construed in accordance with the laws of (Jurisdiction).
9.2 Any disputes arising out of or in connection with this Agreement shall be resolved through good faith negotiations between the Parties. If the Parties are unable to reach a resolution, the dispute shall be submitted to arbitration in accordance with the rules of (Arbitration Institution).
10. Entire Agreement 整个协议
This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, and representations.
本协议构成双方就相关事项订立的完整协议，取代了之前的所有协议、了解和陈述。

In Witness Whereof, the Parties hereto have executed this Quality Testing Technical Service Agreement as of the Agreement Date.
甲方和乙方已于协议日期签署本《质量检测技术服务协议》。
