Subject: Template for a tripartite contract of entrustment
This tripartite contract of entrustment (the "Contract") is made and entered into on this ______ day of ____________, 20____, by and between: Party A: ____________________________ (the "Client")
Party B: ____________________________ (the "Agent")
Party C: ____________________________ (the "Service Provider")
RECITALS:
WHEREAS, Party A desires to engage the services of Party B as an agent to facilitate the performance of certain services by Party C on behalf of Party A;
WHEREAS, Party B is willing to act as an agent for Party A in accordance with the terms and conditions set forth herein;
WHEREAS, Party C is willing to provide the services to Party A upon the terms and conditions set forth herein;
OW, THEREFORE, in consideration of the mutual promises contained herein, the parties hereto agree as follows:
1.Appointment of Agent
1.1 Party A hereby appoints Party B as its exclusive agent for the purpose of engaging the services of Party C.
1.2 Party B hereby accepts such appointment and agrees to act as Party A"s agent in accordance with the terms and conditions of this Contract.
2.Services to be Provided by Party C
2.1 Party C agrees to provide the services (the "Services") to Party A in accordance with the terms and conditions set forth in this Contract.
2.2 The specific scope, nature, and details of the Services shall be further determined and agreed upon by the parties hereto in writing.
3.Duties and Responsibilities of Party B
3.1 Party B shall use its best efforts to facilitate the performance of the Services by Party C in a timely and efficient manner.
3.2 Party B shall negotiate with Party C on behalf of Party A and ensure that Party C performs the Services in accordance with the terms and conditions of this Contract.
3.3 Party B shall be responsible for the proper performance of Party C"s obligations under this Contract and shall indemnify Party A for any losses or damages suffered by Party A as a result of Party C"s breach of this Contract.
4.Duties and Responsibilities of Party C
4.1 Party C shall perform the Services in accordance with the terms and conditions set forth in this Contract.
4.2 Party C shall be responsible for any delays or failures in the
performance of the Services and shall indemnify Party A for any losses or damages suffered by Party A as a result of such delays or failures.
5.Payment and Pricing
5.1 The pricing for the Services shall be as agreed upon by the parties hereto in writing.
5.2 Party A shall make payment to Party B for the Services performed by Party C, and Party B shall be responsible for the payment of any fees or expenses incurred by Party B in connection with the performance of its duties under this Contract.
erning Law and Dispute Resolution
6.1 This Contract shall be governed by and construed in accordance with the laws of the jurisdiction specified by the parties hereto.
6.2 Any disputes arising out of or in connection with this Contract shall be resolved by arbitration in accordance with the rules of the arbitration institution specified by the parties hereto.
7.Miscellaneous
7.1 This Contract may not be assigned by any party hereto without the prior written consent of the other parties.
7.2 This Contract constitutes the entire agreement between the parties hereto and supersedes all prior agreements and understandings, whether written or oral, between the parties with respect to the subject matter hereof.
