Cooperation Agreement

This Cooperation Agreement (the "Agreement") is made and entered into on [date] (the "Effective Date") by and between:

[Party A], a [legal entity/natural person] organized under the laws of [country], having its registered office at [address] (hereinafter referred to as "Party A"); and

[Party B], a [legal entity/natural person] organized under the laws of [country], having its registered office at [address] (hereinafter referred to as "Party B").

Collectively referred to as the "Parties."

WHEREAS, Party A and Party B desire to enter into a cooperative relationship for [purpose of cooperation], and desire to set forth the terms and conditions governing such cooperation.

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the Parties agree as follows:

1. Disclosure of Information

1.1 Each Party may disclose to the other party certain confidential information. All such confidential information shall be treated as confidential by the receiving party, and shall be used solely for the purpose of this Agreement.

1.2 The Parties shall not disclose any confidential information to any third party without the prior written consent of the other Party.

1.3 Upon request, each party shall return or destroy such confidential information received from the other party.

2. Roles and Responsibilities

3. Term and Termination
