This Engineering Contract (hereinafter referred to as the "Contract") is made and entered into on this [Date] (hereinafter referred to as the "Effective Date"), and between the following parties:

And
[Client's Name] (hereinafter referred to as the "Client").
WHEREAS, the Client desires to engage the Contractor to provide certn engineering services (hereinafter referred to as the "Services") in connection with the [Project Name] (hereinafter referred to as the "Project"); and
WHEREAS, the Contractor is willing to provide such Services to the Client, subject to the terms and conditions set forth herein;
NOW, THEREFORE, in consideration of the mutual covenants and agreements contned herein, the parties agree as follows:
1. Definitions
1.1 "Contractor" refers to the party providing engineering services as specified in this Contract.
1.2 "Client" refers to the party engaging the Contractor to provide the Services.
1.3 "Services" refers to the engineering services to be provided the Contractor to the Client, as described in Exhibit A attached hereto.
1.4 "Project" refers to the project for which the Services are to be provided the Contractor.
1.5 "Project Site" refers to the location where the Services are to be performed.
1.6 "Project Schedule" refers to the agreed-upon timeline for the performance of the Services.
1.7 "Deliverables" refers to the tangible or intangible items to be provided the Contractor to the Client as part of the Services.
2. Scope of Work
2.1 The Contractor agrees to perform the Services as described in Exhibit A, attached hereto and made a part of this Contract. The Services include, but are not limited to, the following:
a. Detled engineering design
b. Preparation of technical specifications
c. Construction supervision
d. Quality assurance and control
e. Project management
2.2 The Contractor shall provide all necessary labor, materials, equipment, and expertise required to plete the Services.
3. Term of Contract
3.1 The term of this Contract shall mence on the Effective Date and continue until the pletion of the Services, as specified in the Project Schedule, unless terminated earlier in accordance with the provisions of this Contract.
4. Compensation
4.1 The Client agrees to pay the Contractor for the Services rendered in accordance with the following terms:
a. The total pensation for the Services shall be [Amount], which shall be pd in [Number] installments as specified in Exhibit B attached hereto.
b. The Client shall make payments within [Number] days of receiving an invoice from the Contractor.
c. Any additional expenses incurred the Contractor in the performance of the Services, including but not limited to travel,住宿, and meals, shall be reimbursed the Client upon presentation of proper receipts.
5. Confidentiality
5.1 The Contractor agrees to keep confidential any information disclosed to it the Client in connection with the Services, and not to use or disclose such information for any purpose other than the performance of the Services.
6. Termination
6.1 This Contract may be terminated either party upon written notice to the other party, subject to the following conditions:
a. In the event of termination the Client, the Contractor shall be end to receive payment for the Services rendered up to the date of termination, less any expenses already reimbursed the Client.
b. In the event of termination the Contractor, the Client shall be end to retn any payments made to the Contractor, less the cost of any work pleted and accepted the Client.
7. Indemnification
7.1 The Contractor shall indemnify and hold harmless the Client agnst any clms, damages, or expenses arising out of or in connection with the Services, including but not limited to any clms for infringement of intellectual property rights.
8. Dispute Resolution
8.1 Any disputes arising out of or in connection with this Contract shall be resolved through binding arbitration in accordance with the rules of the [Arbitration Association].
9. Governing Law
9.1 This Contract shall be governed and construed in accordance with the laws of [Jurisdiction].
10. Entire Agreement
10.1 This Contract constitutes the entire agreement between the parties and supersedes all prior agreements, negotiations, and understandings, whether written or oral.
