外贸佣金英文合同范本
This Commission Agreement ("Agreement") is made and entered into as of this ______ day of _______, ______, and between _______("Client"), and
_______("Agent").
1. Appointment: Client here appoints Agent as its exclusive representative for the sale of Client's products in the territory of _______ ("Territory"). Agent agrees to use its best efforts to promote and sell Client's products in the Territory.
2. Commission: Client agrees to pay Agent a mission of _______% (%) of the net sales price of all products sold Client in the Territory through Agent's efforts. The mission shall be payable within _______ days after the end of each calendar month.
3. Term: This Agreement shall mence on the date hereof and shall continue for a period of _______, unless terminated earlier in accordance with the provisions of this Agreement.
4. Termination: Either party may terminate this Agreement upon written notice to the other party in the event of a material breach the other party, which is not cured within _______ days after written notice. Upon termination, Client shall pay Agent all missions earned through the date of termination.
5. Exclusivity: During the term of this Agreement, Agent shall not represent or promote any products that pete with Client's products in the Territory. Client shall not sell its products in the Territory through any other representative or agent.
6. Confidentiality: Agent acknowledges that it will have access to confidential information of Client, including but not limited to pricing, sales strategies, and customer information. Agent agrees to mntn the confidentiality of such information and not to use or disclose such information for any purpose other than the performance of its duties under this Agreement.
7. Indemnification: Client agrees to indemnify and hold harmless Agent agnst any clms, losses, or damages arising out of or in connection with the
performance of this Agreement, except to the extent caused Agent's negligence or willful misconduct.
8. Governing Law: This Agreement shall be governed and construed in accordance with the laws of _______.
9. Dispute Resolution: Any disputes arising out of or in connection with this Agreement shall be resolved arbitration in accordance with the rules of the International Chamber of Commerce.
10. Amendment and Modification: This Agreement may only be amended or modified in a writing signed both parties.
