鉴于（以下简称“投标人”）已于
年月日收到了招标编号为关于
项目的投标邀请，并将参加相关的招标，我行，即银行有限公司（以
下简称“我行”），在投标人的请求下，同意就投标人履行投标文件项下的义务向贵
公司提供不可撤销的连带责任保证。

为此特承诺如下：
Whereas (hereinafter referred to as the “Bidder”) has
received the invitation for bid No. for the project on / / [DD/MM/YY] and will submit its bid, we, Bank Limited Branch (hereinafter
referred to as the “Bank”or “our Bank”), upon the request of the
Bidder, hereby agrees to issue this irrevocable Bid Guarantee in connection
with the performance of the Bidder’s obligations under the bid documents,
and hereby guarantee as follows:
1. 我行在本保函项下支付的担保金额累计不应超过(币种/金额)

The aggregate secured amount payable by the Bank shall not exceed

2. 在本保函有效期内，我行将在收到贵公司递交的声明投标人发生以下任一情形的
书面索赔通知后 [ ] 个工作日内，在本保函担保范围内将贵公司索赔的款
额支付至贵公司索赔通知中指定的账户：
At all times when this guarantee is effective, the Bank shall pay such
amount(s) claimed by your company not exceeding the aggregate secured amount
as stated above to the account as stipulated in the notice of claim within
[ ] business days upon receipt of your written notice of claim which sets
out any of the followings:
a.投标人在开标后和投标有效期满之前撤销投标的；
The Bidder has withdrawn its bid after the bid is opened and
before the expiration of its bid;
b.投标人在收到中标通知后，未能在中标通知书规定的时间内与贵公司签订
合同；
The Bidder, after receiving the notification of contract award
(hereinafter referred to as the “Notification”), fails to enter
into contract with your company within the time limit stipulated
thereunder;
c.投标人在收到中标通知后，未能在中标通知书规定的时间内向贵公司提交
履约保函；
The Bidder fails to deliver to your company a performance
guarantee after the receipt of the Notification within the time
limit stipulated thereunder;
d.投标人在签订合同后，未能在中标通知书规定的时间内支付中标服务费。

The Bidder fails to pay the bid service fee within the time limit
stipulated in the Notification after the execution of the
relevant contract.
3. 贵公司的任何书面索赔通知必须经贵公司开户银行向我行提出。

索赔通知应当由
贵公司法定代表人或授权签字人签字并加盖公司公章，并由贵公司开户银行核实
上述签章（通过加盖相应的银行业务章或SWIFT系统进行确认）后向我行提交。

Any notices of claim issued by your company under this guarantee shall
be filed with our Bank through your account-opening bank, signed by
the legal representative or authorized person of your company and
affixed with the company chop. Your account-opening bank shall
confirm the authenticity of the abovementioned signature and chop (by
affixing its business stamp on the notice of claim or through SWIFT)
before filing your notice of claim with us.
4. 除非经我行事先书面同意，本保函不可转让。

This guarantee shall not be transferred or assigned without the
Bank’s prior written consent.
5. 本保函自年月日起生效，并于年月
日到期，任何索赔通知需在到期日之前由我行实际收到。

到期后本保函自动失
效。

This guarantee shall come into force on / / [DD/MM/YY] and expire on / / [DD/MM/YY].
Any notice of claim must be actually received by the Bank before the
expiry date. This guarantee will become null and void automatically
upon expiry.
6. 本保函到期后，贵公司应将本保函正本退回我行注销，但是不论本保函正本到期
后是否退回我行，我行在本保函项下的义务和责任均将于到期日之后自动解除。

Once this guarantee expires, your company shall return the original of
this guarantee to the Bank for cancellation. However, regardless of
whether the original of this guarantee is returned to the Bank after
expiry date or not, the B ank’s obligation s and responsibilities under
this guarantee shall be released automatically upon expiry.
7. 本保函受中华人民共和国法律管辖并据以解释。

因履行本保函所发生的或与本保
函有关的一切争议，双方应协商解决。

协商不能解决时，任何一方可以依法向我
行所在地有管辖权的人民法院提起诉讼，并且不可撤销地接受上述法院的管辖。

This guarantee shall be governed by and construed in accordance with
the laws of the People’s Republic of Chi na. Any disputes arising out
of or in connection with this guarantee shall be resolved through
friendly negotiation by the parties to this guarantee. If such
negotiation fails, the parties herein agree that the competent
people’s court in the Bank’s place of business shall have the
exclusive jurisdiction to settle the disputes.
8. 本保函项下或与本保函相关的任何通知、要求或其他文件应以书面形式作出，并
通过SWIFT系统或者快递发送至以下地址或我行不时通知贵公司的任何替代地
址：
Any notice, request or other documents under or relating to this
guarantee shall be in writing and sent to our Bank through SWIFT or
delivered by courier to the address hereinafter or any other
substitute address as notified by the Bank from time to time:
