Sample of an International Trade Contract in English.
Contract for the Sale and Purchase of Goods.
This Contract is made by and between:
Seller: [Full Name of the Seller], a company incorporated under the laws of [Country of Incorporation], with its registered office at [Address of Registered Office], hereinafter referred to as "the Seller".
Buyer: [Full Name of the Buyer], a company incorporated under the laws of [Country of Incorporation], with its registered office at [Address of Registered Office], hereinafter referred to as "the Buyer".
1. Definitions.
For the purposes of this Contract, the following terms
shall have the meanings assigned to them below:
"Goods" shall mean the [specific goods or products] described in Schedule A attached hereto.
"Price" shall mean the price for the Goods as specified in Schedule B attached hereto.
"Terms of Payment" shall mean the terms specified in Schedule C attached hereto.
"Terms of Delivery" shall mean the terms specified in Schedule D attached hereto.
"Place of Delivery" shall mean the place specified in Schedule E attached hereto.
2. Sale and Purchase of Goods.
The Seller agrees to sell and the Buyer agrees to purchase the Goods in accordance with the terms and conditions set out in this Contract.
3. Price and Payment.
3.1 The Price shall be paid by the Buyer to the Seller in accordance with the Terms of Payment.
3.2 Unless otherwise agreed in writing, the Price shall be paid in [currency] and shall be due and payable in full on or before the date specified in Schedule C.
3.3 In the event of any delay in payment, the Buyer shall pay interest on the overdue amount at the rate of [specified rate] per annum from the due date until the date of actual payment.
4. Delivery and Risk of Loss.
4.1 The Seller shall deliver the Goods to the Buyer in accordance with the Terms of Delivery specified in Schedule D.
4.2 Risk of loss and damage to the Goods shall pass to
the Buyer upon delivery to the carrier or upon delivery to the Buyer, whichever occurs first.
5. Title to the Goods.
Title to the Goods shall remain with the Seller until
full payment of the Price has been made by the Buyer.
6. Quality and Warranty.
6.1 The Seller warrants that the Goods shall be of the quality and specifications described in Schedule A and
shall be free from any defects in materials and workmanship.
6.2 If the Goods do not comply with the warranty in Clause 6.1, the Buyer shall have the right to reject the Goods and claim a refund of the Price paid.
7. Force Majeure.
The Seller shall not be liable for any delay or failure in performance under this Contract due to Force Majeure
events, which shall include but not be limited to acts of God, war, riots, embargoes, strikes, labor disputes, fire, explosions, floods, earthquakes, or any other event that is beyond the reasonable control of the Seller.
8. Termination.
This Contract may be terminated by either party with immediate effect upon written notice to the other party if the other party commits a material breach of any term of this Contract and fails to remedy such breach within [specified period] after receipt of notice specifying the breach.
9. Governing Law and Jurisdiction.
This Contract shall be governed by and construed in accordance with the laws of [Country of Governing Law]. Any dispute arising out of or in connection with this Contract shall be subject to the exclusive jurisdiction of the courts of [Country of Jurisdiction].
10. Entire Agreement.
This Contract constitutes the entire agreement between the parties relating to the subject matter hereof and supersedes any and all prior agreements, understandings, or representations, whether oral or written, between the parties hereto.
11. Amendments and Waivers.
No amendment or waiver of any provision of this Contract shall be valid or binding unless in writing and signed by both parties.
12. Severability.
If any provision of this Contract is held to be invalid or unenforceable, such invalidity or unenforceability shall not affect the validity or enforceability of the remaining provisions of this Contract.
13. Notices.
Any notice required or permitted to be given under this Contract shall be in writing and shall be delivered personally, sent by registered mail, or transmitted by email to the addresses specified in Schedule F attached hereto or to such other address as may be designated by a party from time to time by written notice to the other party.
14. Language.
This Contract may be executed in English and shall be binding on the parties hereto in English.
15. Headings.
The headings used in this Contract are for convenience only and shall not affect the construction or
interpretation of any provision of this Contract.
16. Counterparts.
This Contract may be executed in any number of counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
