MUTUAL NONDISCLOSURE AGREEMENT

双边保密协议

THIS MUTUAL NONDISCLOSURE AGREEMENT (this “Agreement”) is entered into and effective as of the date of the last signature below (the “Effective Date”), between China Construction Bank Corporation having its principal place of business at No. 89 Chaoyang East Street, Dawukou District, Shizuishan City, Ningxia, China 753000 and its majority owned worldwide subsidiaries (the “Company”) and SunEdison, Inc., a Delaware corporation having its principal place of business at 13736 Riverport Drive, Maryland Heights, MO 63043, and its majority owned worldwide subsidiaries (“SunEdison”). 双边保密协议（以下简称“协议”）由以下双方于协议结尾注明日期（“生效日”）签订：

1. Confidential Information . “Confidential Information” means all confidential and/or proprietary information disclosed or made available by one party to the other, including but not limited to, (a) business plans, financial reports, financial data, employee data, customer lists, forecasts, strategies, and all other business information; and (b) product designs and/or specifications, algorithms, computer programs, mask works, inventions, unpublished patent applications, manufacturing or other technical or scientific know-how, specifications, technical drawings, diagrams, schematics, software or firmware code, semiconductor or printed circuit board layout diagrams, technology, processes, and any other trade secrets, discoveries, ideas, concepts, know-how, techniques, materials, formulae, compositions, information, data, results, plans, surveys and/or reports of a technical nature or concerning research and development and/or engineering activity. Confidential Information may be that of the disclosing party or of third parties to whom the disclosing party has an obligation to treat the disclosed information as confidential. Confidential Information also includes copies, notes, abstracts and other tangible embodiments made by the receiving party that are based on or contain any of such information, as well as the existence and progress of the Purpose (described in Section 4 below). 1. 保密信息。“保密信息”指协议一方向协议另一方披露或告之的一切机密和/或所有信息，包括但不限于：（1）商业计划、财务报告、金融数据、员工资料、客户名单、公司预报、发展战略和所有其他业务信息；（2）产品设计和/或规格、运算法则、计算机程序、掩膜作品、发明、未公布的专利申请书、制造或其他科技诀窍、规范、技术图纸、

图表、原理图、软件或硬件代码、半导体或印制电路板布置图、技术、工艺和任何其他商业秘密，技术性或与研发和/或工程活动相关的发现、想法、概念、诀窍、专项技术、材料、公式、成分表、信息、资料、结果、方案、勘察和/或报告。“保密信息”还指披露方或第三方有义务进行保密的信息。“保密信息”还包括接受方基于该等保密信息制作的或包含任何该等保密信息的复印件、笔记、索引和其他切实体现物，以及该目的的存在及延伸（详见下边第4条）。

2 Identification of Confidential Information . Information will be considered to be Confidential Information and protected under this Agreement if it is identified as “confidential” or “proprietary” at the time of disclosure or if the information should reasonably be considered to be confidential or proprietary due to its nature or the context of its disclosure.
