This Triple Partnership Agreement (the "Agreement") is made and entered into as of [Date], by and between the following parties:1. DRAFT JOINT RESEARCH AND DEVELOPMENT AGREEMENTThis Joint Research and Development Agreement (“Agreement”) is entered into as of _________ ____, 2007 (“Effective Date”), by and between Shinshu University, with offices located at 4-17-1 Wakasato, Nagano-City, Nagano 380-8553, Japan (hereinafter “Shinshu”) and __________________, a corporation with offices located at _________________ (hereinafter referred to as “__________________”).SECTION 1CONTENTS OF THE RESEARCH AND DEVELOPMENTArticle 1 (Purpose)1.1 Shinshu and __________________ desire to work together to better develop and refine one ormore products and or technologies (hereinafter collectively the “Products” and/or “Technologies”) based, inter alia, on the patents and patent applications and other technicalknow-how conceived, developed and owned by Shinshu, as more fully identified in Exhibit“A” which is attached to and made a part of this Agreement (hereinafter referred to as “Research and Development”).Article 2 (Scope of the Research and Development, Etc.)2.1 __________________ shall develop the Research and Development into (i) one or moreperfected Products ready to be mass -produced and marketed in a form that substantially meetsShinshu’s requirements; and/or (ii) one or more advanced, improved and perfected Process orProcesses, which Products or Process(es) are capable of being documented, replicated, mass produced, marketed and/or licensed by Shinshu in accordance with Shinshu’s current and futureneeds and directions. Shinshu shall evaluate and test the Research and Development and propose any reasonable improvements it believes are warranted to the Product(s) or Process(es).Shinshu shall otherwise provide reasonable assistance to __________________ in the development of the Research and Development to produce perfected Products and/or Process(es) ready to be mass -produced and marketed in a form that substantially meets Shinshu’s requirements© 2007 Masuda, Funai, Eifert & Mitchell, Ltd. All rights reserved.DRAFT2.2 Except as provided in this Agreement, the scope of the Research and Development, technicalproblems to be resolved in the course of the Research and Development, and issues involved with the Research and Development, Products and/or Processes shall be determined in accordance with discussions between Shinshu and __________________.2.3 In the event of a dispute over the Research and Development, Products and/or Processes bothparties will use good faith efforts to resolve the dispute amongst themselves. If an agreement cannot be reached, then Shinshu will have the final authority as to the course of the Research and Development, Products and/or Processes.SECTION 2IMPLEMENTATION OF THE RESEARCH AND DEVELOPMENTArticle 3 (Implementation of the Research and Development)3.1 The Research and Development shall be performed by a project team consisting of therespective employees and other representatives to be designated respectively by Shinshu and __________________. Both parties shall jointly produce a Research and Development Plan that allocates responsibilities between the parties and establishes milestones to be met in the course of the Research and Development.Article 4 (Exchange of Materials and Information )4.1Both parties shall promptly disclose any information, data and any other technical information,whether or not embodied in documents, things, or electronic media arising out of or relating to the Research and Development. All rights reserved.DRAFT4.2 Notwithstanding the foregoing, neither party shall be obligated to disclose to the other anyinformation or technology which:a) is outside the scope and purpose of this Agreement; and/orb) is subject to limitation or restriction upon disclosure or use by reason of public policy,third party agreements or licenses, or other limitations.Article 5 (Progress Report of Status)5.1 Shinshu and __________________ shall promptly report to each other the current status ofitems each party is designated to complete. All rights reserved.DRAFT Product(s) are identical, or substantially similar to, and/or which are closely related to those of the Research and Development and/or the Products or Processes (hereafter collectively referred to as "Competitive Research and Development"), unless Shinshu consents in writing.__________________ agrees to report the details of such Competitive Research and Development and __________________ shall grant to Shinshu a royalty free, perpetual, worldwide non-exclusive right and license in and to the results of such Competitive Research and Development.Article 9 (Restriction on Co-mingling Competitive Research and Development with a Third Party)9.1 If __________________ conducts any Competitive Research and Development with a thirdparty, __________________ shall devise proper methods to distinguish and segregate between the procedures, personnel and results of the Research and Development and any such Competitive Research and Development.9.2 If __________________ conducts any Competitive Research and Development with a thirdparty, __________________ shall not disclose the following information to such third party:(a) The fact that this Joint Research and Development Agreement was executed between__________________ and Shinshu and any of the details of this Agreement.(b) The details of Shinshu's business or other plans regarding the Research and Development, theProduct(s) or Processes.(c) The details of the parties’ plans with respect to the Research and Development, the scope of theResearch and Development, the technical problems to be solved in the Research and Development and the Research and Development items.(d) Any of the technical and business information for the Research and Development, theProduct(s), Processes or other technology or concepts disclosed by Shinshu.(e) The current progress and problems of the Research and Development.(f) The results of the Research and Development including, but not limited to those providedelsewhere in this Agreement.© 2007 Masuda, Funai, Eifert & Mitchell, Ltd. All rights reserved.DRAFT(g) Any application plans for (or any actual application with respect to) national or internationallegal protection for the Intellectual Property Rights regarding the results or any other aspects of the Research and Development, including, but not limited to, those provided elsewhere in this Agreement, and the details of any such plan or actual application.(h) Any technical and business information obtained from Shinshu during the process of theResearch and Development.9.3 __________________'s duties and obligations based on this Article 9 shall survive and remainin effect notwithstanding any termination or expiration of this Agreement.Article 10 (A Third Party's Participation in the Research and Development)10.1 Shinshu may allow a third party to participate in the Research and Development, assign one ormore parts of the Research and Development to one or more third parties, obtain a license required for the Research and Development from any such third party, or have any such license transferred to Shinshu from such third party, or from Shinshu to such third party.Article 11 (Confidentiality)11.1 Except as may be expressly permitted elsewhere in this Agreement, with regard to thefollowing information (hereinafter referred to as "Designated Information"), during the effective period of this Agreement and after any termination or expiration of this Agreement, __________________ shall keep the Designated Information confidential, and shall not release or disclose the Designated Information to a third party without the prior written consent of Shinshu:(a) The execution of this Joint Research and Development Agreement and the details ofthis Agreement.(b) The details of Shinshu's business and other plans regarding the Research andDevelopment.© 2007 Masuda, Funai, Eifert & Mitchell, Ltd. All rights reserved.DRAFT(c) The details of the Research and Development plan, the scope of the Research andDevelopment, the technical problems to be solved in or through the Research andDevelopment, the Research and Development items.(d) All the technical and business information for the Research and Developmentdisclosed by Shinshu.(e) Progress and problems of the Research and Development.(f) Any application plan for (or any actual application with respect to) national orinternational protection for the Intellectual Property Rights regarding the results of theResearch and Development, including, but not limited to, those provided elsewhere inthis Agreement and any of the details of the application.(g) All the technical and business information of Shinshu and obtained during the processof the Research and Development regardless of whether or not it pertains to theResearch and Development, Products and/or Processes.11.2 During the effective period of this Agreement, and after any expiration or termination of thisAgreement, Shinshu and __________________ shall use their best efforts to make their respective employees (and others engaged by them) comply with the obligations to keep the Designated Information of the other party confidential and to prevent such employees or others from improperly using, releasing or disclosing such Information to any unauthorized third party.11.3 The confidentiality of the Designated Information provided in this Article 11 shall not beapplied to specific information, but only with respect to such specific information, in any of the following cases where, or if:(a) Such specific information disclosed by the other party has already been made public at the timeof disclosure;(b) Such specific information becomes public legally through a source, other than a receiving partyof such information or a party to whom the receiving party might have otherwise properly disclosed such information and beyond the receiving party’s control, after the disclosure wasmade by the disclosing party to the receiving party;© 2007 Masuda, Funai, Eifert & Mitchell, Ltd. All rights reserved.DRAFT(c) Such specific information had already been obtained legally from a third party with legalauthority for disclosure without any restriction or confidentiality agreement; or(d) Disclosure is required by a governmental authority, or a court order, but only with opinion ofcounsel, and then only if, prior to such disclosure by the receiving party, notice is given to the disclosing party so that the disclosing party has an opportunity to seek and obtain an appropriate protective order.11.4 Both parties agree that, in the event of any breach of the provisions of this Section 3 (Articles7-13), either party shall be entitled to equitable relief, including in the form of an injunction without the need to post a bond, in addition to all other remedies available to such party at law or in equity.11.5 Shinshu's and __________________’s rights, duties and obligations under this Article 11 shallsurvive and remain in effect notwithstanding any termination or expiration of this Agreement.Article 12 (Prohibition of Use of Information for Any Purposes Other than the Research and Development)12.1 __________________shall not use the information disclosed by Shinshu for any purposesother than the Research and Development without the prior written consent of Shinshu.12.2 Shinshu’s and __________________’s rights, duties and obligations under this Article 12 shallsurvive and remain in effect notwithstanding any termination or expiration of this Agreement.Article 13 (No Contests)13.1 Neither Shinshu nor __________________ shall contest the validity of the other's IntellectualProperty Rights with respect to technical, business or any other confidential, proprietary information obtained from the other party, nor shall they assist any third party in any dispute regarding such Rights or information.© 2007 Masuda, Funai, Eifert & Mitchell, Ltd. All rights reserved.DRAFTSECTION 4RESULTS OF THE RESEARCH AND DEVELOPMENTArticle 14 (Definition of the Results of Research and Development)14.1 The results of the Research and Development shall be Products, equipment and/or Processesand technologies, including, but not limited to, a prototype or useful machinery and/or processes for manufacture of the Product(s) or replication or use of any Process(es) developed by Shinshu and/or __________________, or an invention or development or plan, a design, know how and any other technical creation and all technical data which may be obtained by Shinshu and/or __________________ within the scope of the Research and Development, and based upon technical problems to be solved by the Research and Development and the Research and Development items assigned to each party under Article 3 of this Joint Research and Development Agreement and/or as agreed by both parties in connection with the Research and Development.Article 15 (Public Announcement of the Results of the Research and Development)15.1 __________________ may not publicly announce the results of any Research andDevelopment, unless it receives written permission from Shinshu and notifies Shinshu in writing of the contents and the timing and nature of such announcement and receives specific permission from Shinshu approving the announcement.Article 16 (Ownership of the Results of the Research and Development)16.1 The results of the Research and Development shall be jointly owned by Shinshu and__________________, except for the following;(a) the results considered as either Shinshu's or __________________ exclusive propertyunder Article 17 of this Agreement.(b) the results which either Shinshu or __________________ acknowledges in writing tobe the other party's exclusive property.© 2007 Masuda, Funai, Eifert & Mitchell, Ltd. All rights reserved.DRAFT(c) any results with respect to which one party disclaims in writing rights or interests, butonly with respect to those specific rights or interests so disclaimed, and any rights,improvements or interests derived therefrom.Article 17 (Right to Receive the Intellectual Property Rights and Ownership of the Intellectual Property Rights)17.1 A right to receive a patent, a utility model, a design patent, copyright, mask right or any otherintellectual property right, or to file an application for, or register the same based on the results of the Research and Development (hereinafter referred to as "the right to receive the IntellectualProperty Rights") and ownership of any such Intellectual Property Right shall, subject to Article 17.2, below, be jointly and equally owned or filed by both parties.17.2 However, the following cases shall not be deemed as joint ownership.(a) The right to receive the Intellectual Property Rights for any invention, plan, design orconcept in connection with a structure of a Product, Process or design which wassolely (as between Shinshu and __________________) conceived and developed by__________________ and which does not include Shinshu’s Designated Information,and such Intellectual Property Rights, shall be __________________’s sole andexclusive property, as between Shinshu and _________________.(b) The right to receive the Intellectual Property Rights for any invention, plan, product,process, concept or design which was solely (as between Shinshu and__________________) conceived and developed by Shinshu and which does notinclude __________________’s Designated Information, and such IntellectualProperty Rights, shall be Shinshu's sole and exclusive property, as between Shinshuand __________________.17.3 Notwithstanding any ownership rights of __________________ under this Agreementor otherwise, with respect to intellectual property rights technology related to Productsor the design or manufacture of Products, or Processes involving any Intellectual © 2007 Masuda, Funai, Eifert & Mitchell, Ltd. All rights reserved.DRAFT Property Rights which under the provisions of this Agreement are, as between Shinshuand ________, owned solely by _________, __________________ hereby grants toShinshu a non-exclusive, royalty free, perpetual, worldwide right and license to make,have made, import, use, sell, lease or offer to sell or lease, , license and/or sublicenseintellectual property rights and/or any process, equipment or Product utilizing orincorporating such Intellectual Property Rights or such technology in or as acomponent part of any Product manufactured by or on behalf of, or sold by, or Processused by, Shinshu or any or affiliate or licensee of Shinshu.Article 18 (Application for Intellectual Property Rights)18.1 With respect to any application with respect to national and/or international protectioninvolving joint ownership rights, each party shall have an agreement from the other party prior to filing an application for the Intellectual Property Rights.18.2 Any costs required for such application, registration, maintenance and control of theIntellectual Property Rights shall be paid by a party who is an exclusive owner of the property or shall be equally shared by Shinshu and __________________ if such Rights are to be jointly owned, as per Article 17, above.Article 19 (Inventors/Assignment of Rights From Inventors)19.1 Shinshu and __________________, as the case may be, shall have the obligation to, and shallundertake to, obtain the right to receive any intellectual property rights transferred from an employee, employee inventor, a planner, a consultant contractor, designer or any other creator of the results of the Research and Development who is an employee, agent or contractor of either party (hereinafter referred to as a “Creator of the Research and Development”) and make it possible for Shinshu and/or ___________, as the case may be, to file an application or applications for national and/or international protection for the Intellectual Property Rights based on the results of the Research and Development.© 2007 Masuda, Funai, Eifert & Mitchell, Ltd. All rights reserved.DRAFT 19.2 Each party who employs or engages such a Creator of the Research and Development shall,prior to, or as a condition of the continuation of, such employment or engagement, first obtain awritten agreement from such Creator to assign to the party or parties, as the case may be, all Intellectual Property Rights based on, related to, or arising out of, such Research and Development.19.3 Each party who employs or engages such a Creator of the Research and Development shall beresponsible for any consideration and compensation to be paid to such Creator for transferringto the party or parties, as the case may be, the right to receive, file applications for, own, andexploit the Intellectual Property Rights.Article 20 (Absence of Joint Application)20.1 In each instance where and when the results of the Research and Development are jointlyowned by Shinshu and __________________ and, if both parties do not agree on the necessityor desirability for the filing a joint or combined application for a patent with respect to such Intellectual Property Rights, unless the dissenting party desires to reasonably rely on trade secret protection, the party who recognizes the necessity or desirability for such a patent or other intellectual property right filing may start procedures for such application(s) and/or registration(s) at its own expense. In this case, the other party who does not recognize such necessity or desirability shall assign and transfer, without any charge, its share of the right toreceive and own the Intellectual Property Rights to the party which requires filing.20.2 In the above situation, the party who transferred to the other party its rights without any chargeshall receive from the other party, without any cost, a non-exclusive, perpetual, worldwide license (and, in the case of _____________, such license to ________________, shall be without right to sublicense, except to an affiliated parent or subsidiaries of _____________________) for such Intellectual Property Right.Article 21 (Protection of Intellectual Property Rights)© 2007 Masuda, Funai, Eifert & Mitchell, Ltd. All rights reserved.DRAFT 21.1 In case any dispute arises with a third party regarding the validity in obtaining and maintainingthe jointly owned Intellectual Property Rights of the results of the Research and Development, or otherwise, under this Agreement, Shinshu and __________________ shall cooperate with each other in order to obtain, defend and maintain in force such jointly owned Intellectual Property Rights.21.2 In case any dispute arises with a third party regarding the validity or infringement of the jointlyowned Intellectual Property Rights of the results of the Research and Development, or otherwise, under this Agreement, Shinshu and __________________ shall equally share the expenses required to defend and protect such Intellectual Property Rights or claims with respect thereto.21.3 Upon Shinshu’s request, with respect to Intellectual Property Rights owned solely by Shinshu,________________ shall provide, but at Shinshu’s expense, assistance to enable Shinshu to defend and/or protect such Intellectual Property Rights, or claims with respect thereto.Article 22 (Protection for Infringement of the Intellectual Property Rights by a Third Party) 22.1 If any third party infringes on the results of the Research and Development or the IntellectualProperty Rights of a party arising out of, or under, this Agreement, Shinshu and __________________ shall cooperate with each other to eliminate such infringement.22.2 Shinshu and __________________ shall determine, upon discussion, and based upon theirrespective harm, the amount of expenses to be paid by each party to eliminate the infringement by the third party.Article 23 (Treatment and Licensing of the Intellectual Property Rights)23.1 Unless otherwise agreed between the parties in writing, __________________ may not assignto a third person or entity, or offer as collateral, any rights or equity owned by either party in the© 2007 Masuda, Funai, Eifert & Mitchell, Ltd. All rights reserved.DRAFT results of the Research and Development, the right to receive any Intellectual Property Rights, or any jointly owned Intellectual Property Rights arising out of, or under, this Agreement.23.2 Unless otherwise agreed between the parties in writing, __________________ may not offer athird person or entity any license in connection with the results of the Research and Development or any of the Intellectual Property Rights arising out of, or under, this Agreement, where such rights are jointly owned by Shinshu and __________________.23.3 If __________________ becomes a sole owner (as between Shinshu and _________) ofIntellectual Property Rights obtained from the results of the Research and Development, __________________ shall grant to Shinshu a non-exclusive, royalty free, perpetual worldwide license of such Intellectual Property Rights, including the right to sublicense as provided in Article 17.3, above. However, unless provided for otherwise in this Agreement, the other terms of any such license shall be decided by both parties upon discussion.23.4 The party who has granted such a sublicense to any affiliated parent or subsidiaries, to theextent permitted under the above provisions, shall be also responsible for complying with the terms determined under the above provisions.SECTION 5TERMINATION OF THIS AGREEMENTArticle 24 (Termination of this Agreement)24.1 In this Agreement, any one of the following shall be deemed as a termination of thisAgreement.(a) Expiration of the term of this Agreement as provided under Article 25.(b) Early termination of the Research and Development, as provided under Article 26.(c) Termination of this Agreement, as provided under Article 28.© 2007 Masuda, Funai, Eifert & Mitchell, Ltd. However, if both Shinshu and __________________ agree in writing at least three (3) months prior to the initial expiration date of this Agreement, the initial term shall be renewed for an additional year, and may thereafter be renewed for one or more additional one (1) year terms through a similar procedure of three (3) months’ agreement prior to the expiration of the additional renewed term.25.2 This Agreement shall be completed upon expiration of the initial term, unless the term isextended as provided above, in which event, completion shall be upon the expiration without further renewal, or termination of any such additional term.25.3 Both parties shall produce a research and development plan based on the completion of theResearch and Development suitable for limited production of Products (and/or the use of one or more Process(es)) by ____________, ______, with full production of Products (and/or use of one or more Process(es)) by ____________, ______. Both parties shall use their best effortsto avoid delays in the Research and Development. Failure to have the Research and Development completed and Products (and/or Process(es)) in limited production (or use) by ____________, ______, unless as a result of a documented fault of Shinshu which has not beencured upon notice to Shinshu, shall be treated as a breach of this Agreement by __________________.Article 26 (Early Termination of the Research and Development)26.1 If any of the following events arises during the Research and Development, the Research andDevelopment shall be terminated.(a) Each of Shinshu and __________________ has a different understanding regardingpossibility for completing the Research and Development during the term of thisAgreement and they are unable to resolve such difference to their mutual satisfaction. © 2007 Masuda, Funai, Eifert & Mitchell, Ltd. Joint Research and Project Development for Radiation Detectors, High Energy X-Ray and Gamma Rays Sources and Neutron Sources Focused at Homeland Security and withApplications to Fundamental Physics Research in Nuclear and Particle Physics.Jean Paul Allain, Assistant Professor Nuclear EngineeringAhmed Hassanein, Professor of Nuclear EngineeringIgor Jovanovic, Assistant Professor Nuclear EngineeringDavid Koltick, Professor of PhysicsYeong Kim, Professor of PhysicsApplied Physics Laboratory, 740 Navco Drive, Lafayette, IndianaDecember 14, 2007IntroductionA significant group of physicist and engineers has formed to study both science and engineering problems focused on the development of radiation detectors, laser driven charge particle acceleration, plasma physics, particle sources and novel particle accelerators, and the facilities at the Applied Physics Laboratory, with the goal of developing significant proposals in the area of homeland security and fundamental physics. The group intends to study both applied problems and fundamental problems in engineering and physics and form larger collaborative efforts outside Purdue with colleagues at Argonne National Laboratory, Lawrence Livermore National Laboratory, Oak Ridge National Laboratory as well as others. Targeted agencies will include, DARPA, DTRA, DOE, DOD, NSF and others having a strong interest in advanced technology development. In addition the laboratory is a well suited teaching environment to develop laboratory skill both in engineering and science students both at the graduate and undergraduate level. For example each of the past four years, a 5 day a week, 8 week long laboratory course has been taught by the laboratory for those student associated with the laboratory typically 6 student each session. This course will be opened up to all students on campus. Likewise the engineer faculty associated with the initiative will develop laboratory training focused on the unique resources presently available at APL and will become available at APL as the joint initiative progresses. A total funding request of $125k will allow APL to remain open for a period from 12 to 18 months starting January 1, 2008 over which time the group will development research proposal that will allow the laboratory to become self sustaining. We are requesting funding for the initiative be shared by The Dean of the College of Science, The Dean of the College of Engineering and the Vice President of Research. Opportunities for advanced plasma and materials research in national securityThere are numerous opportunities for advanced plasma and materials research with applications to national security that can be collaboratively investigated at Purdue’s Applied Physics Laboratory. Strategically, there are several university-guided calls that encourage collaborations between universities and national laboratories.One particular opportunity is with the Office of National Security headed by Alan Foley at Argonne National Laboratory. Prof. J.P. Allain formerly headed research at Argonne in the area of compact, high-intensity plasma sources that would one day be capable of providing hybrid technologies such as combining compact high-intensity neutron and hard X-ray sources for through-barrier detection. He is still a visiting faculty staff at Argonne and envisions close collaboration with the national security detections group. This close collaboration with Argonne addresses the new vision by President Córdova for the Office of the Vice President for Research of establishing close ties with national laboratories, among other federal agencies and foundations. Allain served on the research board for “Through-Barrier Technologies” workshop headed by the Defense Intelligence Agency and will play a key role in establishing close ties with national security federal sponsors in collaboration with Argonne. The facilities at the Applied Physics Laboratory will be an invaluable asset to Purdue’s effort in seeking new strategic funding in national security.Additional areas of research include advanced materials for detection. This is a focus area for agencies such as the NNSA. This will be an effort between the Schools of Nuclear Engineering and Materials Engineering with opportunities for testing protocols at the Applied Physics Laboratory.Opportunities in Detector Development for Chemical and Biological DefenseJoint Program Executive Office for Chemical and Biological Defense has supported research at APL in detector development for Chemical Agents in sealed containers. Many opportunities for advanced detector development and for detector characterization exist in this important area for homeland defense and for protection of military personnel in theater. A major area of research is in the development of calibration standards for chemical detection system both in military and civilian applications. Because of the great need in the area of homeland defense for sensors in the area of Chemical, Biological, Radiological, Nuclear, Explosive detection (CBRNE) presently equipment is deployed who sensitivity is not known accurately. The initiative in this area will be for the develop unique calibration solutions for instrumentation through innovative research and development based on real world needs. The resulting research ensures accurate, precise, reliable metrology and calibration with strong consideration for cost effectiveness and commercialization. This work will improve the false-negative alarm rate, and build confidence in the user community for the use of these advanced detection systems. Joint proposals will be developed through Naval Surface Warfare Centers, Crane and Corona.Opportunities at the Spallation Neutron Source (SNS) at Oak Ridge National Laboratory The SNS is an important facility that allows for the study of materials as well as fundamental research in nuclear physics. The joint nuclear engineering and physics collaboration will give Purdue an advantage in developing unique proposals at the laboratory. Dr. Kim and Koltick presently have a proposal under consideration at NSF to do a fundamental physics experiment to search from power law fall-off in the momentum distribution of protons in metal hydrides at temperature up to 1000o K. The required sensitivity of the experiment is1 part in 1010. The experiment involves the development of a special target capable of storing hydrogen at hightemperatures, heated by convective heating with high temperature hydrogen gas.
