Simple Refund Agreement
This Simple Refund Agreement (the "Agreement") is entered
into this ____ day of ____, 20__, by and between [Seller's Name], a [Seller's Entity Type] with its principal place of business at [Seller's Address] ("Seller"), and [Buyer's Name], a [Buyer's Entity Type] with its principal place of business
at [Buyer's Address] ("Buyer").
WHEREAS, Seller has sold certain goods (the "Goods") to Buyer, and Buyer has paid for the Goods in accordance with the terms of their purchase agreement dated ____, 20__ (the "Purchase Agreement");
WHEREAS, Buyer has requested a refund for the Goods, and
Seller has agreed to provide a refund under the terms and conditions set forth in this Agreement;
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are
hereby acknowledged, the parties agree as follows:
1. Refund Amount: Seller agrees to refund to Buyer the sum of $______ (the "Refund Amount"), which represents the total amount paid by Buyer for the Goods.
2. Refund Process: The Refund Amount shall be refunded to Buyer by [method of refund, e.g., check, bank transfer,
credit card refund] within [number of days] days of the date of this Agreement.
3. Return of Goods: Buyer agrees to return the Goods to
Seller in the same condition as received, at Buyer's expense, within [number of days] days of the date of this Agreement. Upon receipt of the returned Goods in satisfactory condition, Seller will process the refund as described in Section 2.
4. Cancellation of Purchase Agreement: Upon the issuance of the refund and the return of the Goods, the Purchase Agreement shall be deemed cancelled, and neither party shall have any further obligations thereunder.
5. No Other Remedies: This Agreement constitutes the entire understanding between the parties concerning the refund of the Goods. Except as expressly provided in this Agreement, no other remedies, including any right to specific performance, shall be available to either party.
6. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of [State Name], without regard to its conflict of laws provisions.
7. Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior and contemporaneous agreements, understandings, and communications, whether written or oral, relating to the subject matter hereof.
