智慧现代农业发展合作协议书

Wisdom of modern agricultural development cooperation agreement

迈拓斯国际集团有限公司（简称甲方），（简称乙方）Maxtor international group co., LTD. (hereinafter referred to as party a), (hereinafter referred to as party b)

为发展现代农业和高效农业，加大新产品、新技术的示范推广力度，着力打造以生态农业园区为主的现代农业和生态旅游平台建设，经甲乙双方友好协商，达成如下框架协议：

For the development of modern agriculture and efficient agriculture, increasing demonstration to promote new products, new technologies, and strive to build in a park of modern agriculture and ecological agriculture eco-tourism platform construction, through friendly consultation between both parties, reach a framework agreement on the following:

一、项目概况与要素A, project overview and elements

1、项目名称：非洲智慧农业

3、本项目一期占地约300亩（以实测面积为准）

5考察流程在本协议签署之后的非洲邀请函为标准执行。

二、本项目内容Second, the content of the project

新建智慧超新型，现代旅游观光农业，展示农产品的新品种和新技术实业与产业的国际化绿色新农梦幻之都。

New wisdom ultra new, modern tourism agriculture, new varieties of agricultural products and new technology industry and industry of the international green new farming of dream.

三、本项目负责承担3, responsible for this project

甲方负责提供非洲智慧农业的项目用地与智慧农业的科学技术与专家协作，并全方位配合乙方发展与开拓经贸。

Party a is responsible for providing wisdom of agricultural land in Africa and intelligence of agricultural science and technology and the expert collaboration, and all-round development and cooperate with party b to develop economic and trade.

乙方负责在非洲智慧农业项目的后续一切劳动作业管理劳动人员与执行发展科技方案的统一战略布局。解决项目所需一切设备的引进与招商引资以及拓展合作团队与企业商家的任务以乙方为主，甲方为辅助。

Party b is responsible for the intelligent agricultural projects in Africa all subsequent job management labor personnel and implement the unification of the development of science and technology plan strategic layout. Solve all equipment needed for projects and investment promotion and capital introduction and development of cooperative team and the task of enterprise business is given priority to with party b, party a to assist.

四、本项目合作时间Fourth, the project cooperation time

甲、乙双方合作期限暂定为5年，即从2017年2月20日--2022

年2月19日止，合作期满后，乙方在同等条件下具有优先续签权。Both parties cooperation term provisionally for 5 years, namely from February 20, 2017 - February 19, 2022, after the expiry of the cooperation, party b shall, under the same condition has the priority right of renewal.

五、项目合作Five, the project cooperation

本项目先期由乙方租赁发展现代农业，涉及具体的运营方式、合作及管理模式待智慧非洲农业科技示范基地的机制后再具体研究。

The project early by the development of modern agriculture, the party b agrees to lease involves specific operations, cooperation and management mode for the wisdom of the African agricultural technology demonstration base again after the mechanism of the concrete research.

六、其他Sixth, other

1、乙方在合作期内，除技术含量较高的工种外，同等条件下优先使用非洲当地的劳动力。

2、项目实施地区域内的建筑物采用招商方案来解决

3、本协议未尽事宜由甲乙双方友好协商可增减补充。

七、协议效力Seven, protocol

本协议壹式五份包含各种附件与后续的各项计划与方案以及相关的各项文件为一套整体合同不可分割。甲乙双方各执壹份，非洲与中国府备案壹份，联合国教科文监理会备案壹份。每份均在国际权威司法
