CHARTERPARTY AGREEMENT
This Charterparty Agreement ("Agreement") is made and entered into as of the __________ day of __________, 20__, by and between __________ ("Charterer"), with its principal place of business at __________, and __________ ("Owner"), with its principal place of business at __________.
WHEREAS, the Owner is the registered owner of the vessel described herein and is willing to charter the same to the Charterer; and
WHEREAS, the Charterer desires to charter the vessel for the purposes described herein.
NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:
1. Vessel Description:
The vessel to be chartered is the __________, Official Number __________, Gross Registered Tonnage __________, Net Registered Tonnage __________, built in __________, with a carrying capacity of __________ metric tons.
2. Charter Period:
The Charterer shall have the use of the vessel for a period commencing on __________ and ending on __________, subject to
the terms and conditions of this Agreement.
3. Charter Rate:
The Charterer shall pay to the Owner a charter rate of
__________ per __________ for the use of the vessel, payable in advance on the __________ day of each __________.
4. Vessel Condition:
At the commencement of the charter period, the Owner shall deliver the vessel in a seaworthy and clean condition, with all necessary documents and certificates in order.
5. Use of Vessel:
The Charterer shall use the vessel solely for the lawful and proper purpose of __________, and shall not use the vessel
for any illegal or improper purposes.
6. Maintenance and Repairs:
The Owner shall be responsible for the maintenance and repair of the vessel, except for any damage caused by the
Charterer's misuse or negligence.
7. Insurance:
The Owner shall maintain insurance coverage for the vessel in accordance with industry standards, and the Charterer shall be named as an additional insured where appropriate.
8. Indemnification:
The Charterer shall indemnify and hold harmless the Owner from and against any and all claims, damages, liabilities, costs, and expenses arising out of or in connection with the
Charterer's use of the vessel, except to the extent caused by the Owner's gross negligence or willful misconduct.
9. Termination:
This Agreement may be terminated by either party upon
__________ days' written notice if the other party breaches any material term or condition of this Agreement and fails to cure such breach within __________ days after receipt of written notice thereof.
10. Governing Law and Dispute Resolution:
This Agreement shall be governed by and construed in accordance with the laws of the __________. Any disputes arising out of or in connection with this Agreement shall be resolved by arbitration in accordance with the rules of the

11. Entire Agreement:

The Charterer shall not assign its rights or delegate its obligations under this Agreement without the prior written consent of the Owner.
14. Notices:
All notices required or permitted under this Agreement shall be in writing and shall be deemed given when delivered personally or by overnight courier or mailed by registered or certified mail, postage prepaid, to the addresses set forth above or to such other address as either party may designate in writing.
