二、熟悉以下英文合同中经常出现的程式化语言及其汉语译文。

1.Arbitration: All disputes arising in connection with this Sales Contract or the excution thereof shall be settled by way of amicable negotiations. In case no settlement can be reached, the case at issue shall then be submitted for arbitration to the China International Economic and Trade Arbitration commission in accordance with the provisions of said Commision. The award by said Commission shall be deemed as final and binding upon both parties. The fee shall be born by the losing party.
译文：凡因执行本合同所发生或与本合同有关的一切争议，应由双方通过友好协商加以解决；如协商不能解决，则将分歧提交中国国际贸易促进委员会按有关仲裁程序进行仲裁，其裁决应对双方具有最终的约束力。

2.The contract shall be valid for 10 years from the effective date of the contract, on the expiry of the validity term of contract, the contract shall automatically become null and void.

3.This contract is made by and between the buyers and the sellers, whereby the buyers agree to buy and the sellers agree to sell the under-mentioned commodity according to the terms and conditions stipulated below.

4.Should either of the parties to the contract be prevented from executing the contract by force majeure, such as earthquake, typhoon, flood, fire, war or other unforeseen events, and their occurrence and consequences are unpreventable and unavoidable, the prevented party shall notify the other party by telegram without any delay, and within 15 days thereafter provide detailed information of the events and a valid document for evidence issued by the relevant public notary organization explaining the reason of its inability to execute or delay the execution of all or part of the contract.
译文：在合作期间，由于地震、台风、水灾、火灾、战争或其他不可预见并且对其发生和后果不能防止和避免的不可抗力事故，致使直接影响合同的履行或者不能按约定的条件履行时，遇有上述不可抗力的一方，应立即将事故情况电报通知对方，并应在15天内提供事故的详细情况及合同不能履行，或者部分不能履行，或者需要延期履行的理由的有效证明文件。

此项证明文件应由事故发生地区的有权证明的机构出具。

5.In case of losses caused by a breach of contract，the financial responsibility shall be borne by the party who has breached the contract.

6.The agreement became null and void owing to Party B’s failure to fulfill their obligations.
