FOB術語也就是我們通常所說的"離岸價格"。

按《1990年通則》,在FOB術語下,買賣雙方的主要義務如下:(一)賣方的主要義務:1.負責在合同規定的日期或期間內,在指定裝運港,將符合合同的貨物按港口慣常方式交至買方指定的船上,並給予買方充分的通知;2.負責辦理貨物出口手續,取得出口許可證或其他核准書;3.負擔貨物在裝運港越過船舷為止的一切費用和風險;4.負責提供商業發票和證明貨物已交至船上的通常單據。

如果買賣雙方約定採用電子通信,則所有單據均可被具有同等效力的電子資料交換資訊(EDI message)所替代。

(二)買方的主要義務:1.負責按合同規定支付價款;2.負責租船或訂艙,支付運費,並給予賣方關於船名、裝船地點和要求交貨時間的充分的通知;3.自負風險和費用取得進口許可證或其他核准書,並辦理貨物進口以及必要時經由另一國過境運輸的一切海關手續;4.負擔貨物在裝運港越過船舷後的一切費用和風險;5.收取賣方按合同規定交付的貨物,接受與合同相符的單據。

採用FOB術語,需注意以下幾點:1.買方應及時租船訂艙,並將船名、裝船地點和時間及時通知賣方,以便賣方及時備貨,安排裝船。

否則將構成買方違約。

從而有可能導致賣方要求解除合同及/或要求損害賠償。

2.裝船費用負擔情況,一船採用FOB術語變形來表示。

常見的有:FOB班輪條件(FOB liner terms),指裝船費用如同以班輪裝運那樣由支付運費的一方(即買方)負擔;FOB釣鉤下交貨(FOB under tackle),指賣方將貨物置於輪船吊鉤可及之處,從貨物起吊開始的裝船費用由買方負擔;FOB包括理艙(FOB stowed, FOBS),指賣方負擔將貨物裝入船艙並支付包括理艙費在內的裝船費用;FOB包括平艙(FOB trimmed, FOBT),指賣方負擔將貨物裝入船艙並支付包括平艙費在內的裝船費用。

1.⼯⼚交货(......指定地点):本术语以EXW(nmed place)表⽰卖⽅在其商品的产地或储存地将货物交由买⽅处置,即完成了交货义务、买⽅则负责⾃⾏将货物装运,并承担其间的全部风险、责任和费⽤。

包括货物出⼊境⼿续和费⽤。

这个术语是卖⽅承担义务最少的贸易术语,如买⽅⽆法直接或间接办理货物出境⼿续时,则不宜采⽤这⼀⽅式。

2.船边交货(指定装运港):本术语以FAS( named port of hipment)表⽰卖⽅负责将货物交⾄装运港买⽅指定的船边,若买⽅所派船只不能靠岸,卖⽅应负责⽤驳船把货物运⾄船边,卖⽅在船边完成交货义务。

装船,出⼝结关的⼿续和费⽤,均由买⽅承担。

如买⽅⽆法直接或间接办理出⼝⼿续,则不宜采⽤这⼀⽅式。

3.边境交货(......指定地点):本术语以DAF(d place)表⽰卖⽅负责办理货物的出⼝结关⼿续,将货物运⾄边境的指定交货地点(出⼝国或进⼝国的边境),将货物交由买⽅处置,即完成交货义务。

这⼀术语主要适⽤于毗邻国家之间的陆路运输交易。

但术语本⾝对运输⽅式来加限制。

DES和CIF在主要价格构成上有相同之处,即货价中都包含运费和保险费。

DAP是什么意思DAP是指目的地交货至指定地点,不含卸货,不含进口清关费用。

DAP类似于取代了的DAF、DES和DDU三个术语。

《2010年国际贸易术语解释通则》删去了《2000年国际贸易术语解释通则》4个术语:DAF (Delivered at Frontier)边境交货、DES (Delivered Ex Ship) 目的港船上交货、DEQ (Delivered Ex Quay)目的港码头交货、DDU (Delivered Duty Unpaid)未完税交货,新增了2个术语:DAT(delivered at terminal)在指定目的地或目的港的集散站交货、DAP(delivered at place)在指定目的地交货。

即用DAP取代了DAF、DES和DDU三个术语。

DAP是目的地交货,指卖方在指定的目的地交货,不含卸货,不含进口清关费用。

我们都知道,在外贸业务中需要掌握一定的外贸术语,因为这些贸易术语都是外贸工作中需要用到的知识。

而DAP作为经常用到的贸易术语,对于从事贸易业务的工作者来说,特别是在eBay跨国贸易平台上做外贸销售的人而言需要理解这种贸易术语。

据业内人士称,DAT和DAP两个新术语有助船舶管理公司弄清码头处理费(THC)的责任方。

现时常有买方在货物到港后,投诉被要求双重缴付码头处理费,一是来自卖方,一是来自船公司,而通则明确了货物买卖方支付码头处理费的责任。

此外,目的地交货DAP,取代了2000年版《通则》中的DAF、DES、DEQ和DDU 。

需要注意的是,DAP位于新通则的第一组,即适用于任何运输方式,在该术语下,运输工具仍然可以是船舶,指定的目的地可以是港口。

可见,新的DAP术语完全可以取代之前的DES术语。

类似的,在DAP术语下,卖方承担货物运至指定目的地的一切费用和风险。

最后值得提醒的是,贸易双方在使用贸易术语的时候,应该注明使用的是哪个版本的,避免不必要的误会而导致贸易纠纷。
