Patent License Agreement
This Patent License Agreement (the "Agreement") is made and entered into as of [Effective Date] (the "Effective Date"), and between:
Licensor: [Licensor's Name], a [Licensor's Entity Type] organized and existing under the laws of [Licensor's Jurisdiction], with its principal place of business at [Licensor's Address] (hereinafter referred to as "Licensor");
and
Licensee: [Licensee's Name], a [Licensee's Entity Type] organized and existing under the laws of [Licensee's Jurisdiction], with its principal place of business at [Licensee's Address] (hereinafter referred to as "Licensee").
WHEREAS, Licensor is the owner of certn patent rights (the "Patents") described in Appendix A attached hereto;
WHEREAS, Licensee desires to obtn a license under the Patents for the purposes and on the terms and conditions set forth herein;
NOW, THEREFORE, in consideration of the mutual covenants and agreements contned herein, the parties hereto agree as follows:
1. Grant of License
Licensor here grants to Licensee a non-exclusive, non-transferable license to make, have made, use, sell, offer for sale, and import products and/or services covered the Patents (the "Licensed Products/Services") in the [License Territory] during the term of this Agreement.
2. License Fee
Licensee shall pay to Licensor a license fee as set forth in Appendix B attached hereto.
3. Royalties
Licensee shall pay to Licensor royalties on the net sales of the Licensed Products/Services in accordance with the terms and conditions set forth in Appendix C attached hereto.
4. Reports and Payments
Licensee shall furnish to Licensor, within [Reporting Period] after the end of each calendar quarter, a written report showing the net sales of the Licensed Products/Services during such quarter and the amount of royalties due. Royalties shall be pd within [Payment Period] after the submission of each report.
5. Patent Mntenance
Licensor shall be responsible for mntning the Patents in force during the term of this Agreement at its own expense.
6. Improvements
Any improvements or modifications to the Patents made Licensee during the term of this Agreement shall belong to Licensee, but Licensee shall grant to Licensor a non-exclusive, royalty-free license to use such improvements or modifications.
7. Confidentiality
The parties agree to keep confidential all information disclosed one party to the other in connection with this Agreement, except as may be required law or as necessary for the performance of this Agreement.
8. Term and Termination
This Agreement shall mence on the Effective Date and shall continue for a term of [License Term] years, unless earlier terminated as provided herein. This Agreement may be terminated either party upon the breach of any material term or condition hereof the other party, provided that the breaching party is given written notice of the breach and a reasonable opportunity to cure.
9. Dispute Resolution
Any dispute arising out of or in connection with this Agreement shall be resolved through amicable negotiations. If the parties fl to reach an agreement within [Negotiation Period], the dispute shall be submitted to arbitration in accordance with the rules of [Arbitration Institution].
10. Governing Law

11. Entire Agreement
