4.2 如果因为中国政府或建筑技术的要求与扩初设计的图示相比较,甲方对出租房屋的建筑和/或对最后竣工的出租房屋作了改变,只要这些变更不改变按本合同规定的出租房屋的用途,提供了相应的装修和设备,而且只要这类改变对实际的使用面积不作大的变化的话,双方同意这些更改。
在这种情况下双方应继续受本合同的所有条款的约束,而且乙方同意不应对这些更改提出任何索赔或其他要求。
4.3 出租房屋的建筑的内外装修应根据甲方和出租房屋建筑的承包商之间的施工协议的标准说明(附件c),由甲方自费设计和实施。
乙方要求对附件c作出的任何改变应得到甲方的书面同意。
由此而产生的任何费用由乙方承担。
第5条5.1 双方希望出租房屋所在的建筑的建造将以正常的建造速度进行,以便在____年___月___日或者由甲方在缔结中心建筑合同后___个工作日内通知的其他日期竣工并交付使用。
甲方应提前___个月以书面形式通知乙方出租房屋的租赁(以及第9条中规定的义务)应根据本合同的条款开始生效的日子(以下称为“开张日期”),但在开张日之前出租房屋应已由甲方从承包商手中接收过来“开张日期”不应比____年___月___日或前面所说的甲方通知乙方的其他日期早于或晚于____个工作日。
如果开张日期”超过____年___月___日或上述其他所定日期__个工作日,甲方应向乙方补偿由于这种逾期而引起的任何合理的实际费用。
出租房屋在建筑物基本竣工时便应认为可交付使用。
5.2 在“开张日期”的___天后,甲乙双方应签订一个移交议定书,确认出租房屋的正常移交,井指明哪些被发现的(如果有的话)应由甲方负责的缺陷。
5.3 当出租房屋已适合于为本5.3条款规定的目的而进入时,乙方在“开张日期”之前的___个工作日之内为安排可移动设备或其他必要物件的安装事宜,有权进入出租房屋的任何部分,但条件是:(1)乙方事先向甲方送交一份认可书,确认全面接受乙方认为完好并满意的出租房屋的这一部分;该认可书对乙方应有约束力;(2)甲乙双方应对由他们各自的行为或疏忽或各自代理人,承包人或雇员的这类行为造成的所有损害或损失或人身伤害负完全责任。
第三章合同双方的责任第6条甲方应负责:6.1 按以下规定,建造并完成出租房屋的建造:建造并完成出租房屋的建筑物的结构;根据附件c中规定的标准说明书,安装内外装修和设备,包括一套预制的可进入式的两种温度的冷库。
安装必要的给排水、煤气、电、供暖、空调、电梯、自动扶梯、自动灭火、电讯的设施,以及闭路电视和计算机系统的空管,建筑物的管理系统和有关办公室的必要安装。
这类建筑和安装的所有费用和开支均由甲方承担。
6.2 提供乙方在安装出租房屋防盗系统时所产生的合理费用。
条件是这种提供的费用只能根据乙方递交的这类开支的合法的发票支付,而且甲方这种支付总额不超过人民币_____。
乙方有权安装防盗系统.条件是这类安装不影响出租房屋的结构。
6.3 根据附件c中的规定为出租房屋安装水、电、煤气、供暖和空调的设施及提供电讯设施。
6.4 维修出租房屋的供暖和空调系统,电梯,自动扶梯,火警,防火系统的机械装置。
甲方承担这类维修的费用,甲方具有自己实施这类维修工作的专有权力,亦有委托信誉良好的分包商进行这类维修的权力,无论以何种方式,因为这类维修而引起的所有费用和开支应由甲方承担。
6.5 保持出租房屋建筑物和结构及首层的公用区域和出租房屋的地下室处于良好维修状态,允许乙方的顾客使用露天停车场。
6.6 向乙方收取租金、诚意抵押金及保证抵押金和根据本合同乙方应支付的其他费用。
6.7 保证不在建筑物内经营也不允许任何第三者经营与乙方性质相类似的商店。
6.8 根据双方同意的条件,在乙方提出与租赁房屋相关的要求时提供其他帮助。
第7条乙方应负责:7.1 根据本合同履行其全部义务,包括按期向甲方缴纳诚意抵押金、保证抵押金和租金以及有关出租房屋的供热和空调的费用。
同时直接向有关部门支付水、电、煤气费,如果不行,则仍应向甲方支付这类费用。
7.2 支付自己的垃圾清理费和其他有关费用以及其他中国政府可能征收的与出租房屋相关的公共服务费用(如有的话)。
7.3 根据本合同的条款在租赁期内出租房屋应对公众开放,允许中外宾客作为顾客进入出租房屋,采用国际先进的服务方式,把出租房屋经营成为一个具备一流服务标准的购物中心。
7.4 布置安装各种可移动的设备和家具,所有由乙方购买的这类设备和家具应属于乙方所有,乙方应自费安排相应的保险。
7.5 保护出租房屋,包括建筑物和设备在良好维护和清洁的条件下正常运转,维护出租房屋的卫生条件,消除扰人的噪音,并修复由乙方的代理人,雇员、顾客、客人或供货者或承包商所造成的任何损坏。
7.6 未经与甲方建筑师商议后作出书面同意,不得在出租房屋外部的任何部分张贴、刻画或涂写任何记号,设置灯箱或刊登广告。
但乙方的店名和店徽则无需征得事先的书面同意,不过它们的规格和安放位置应与出租房屋的建筑师协商。
7.7 不得以任何方式对出租房屋或建筑物的任何部分作拆移或毁坏或损坏。
未经甲方的书面同意,不得对出租房屋作任何改变、增设或改进。
到租赁结束时乙方应将出租房屋恢复至开张日期的原状。
7.8 未经甲方事先的书面同意,不得把任何爆炸品和易燃或有毒的物品带入或存放在出租房屋里。
7.9 不得安装任何可能产生超过有关环保法规规定限制标准的震动或噪音,或超过与此出租房屋相关的设计荷载或使出租房屋易于招致火灾或增加建筑物失火的危险,或改变此建筑物保险率的仪器、机器或设备,或安装任何其他对出租房屋有危害或影响其安全的物品。
7.10 不得使用任何负荷超过现有管线的煤气和电器用具。
7.11 不对建筑中的不属于本合同规定的出租房屋的其他任何部门的使用、经营、管理或出租,提出任何反对意见或干预。
7.12 在出租房屋内安排井实施防火和安全保卫措施。
7.13 如出租房屋建筑物发生火灾事故或任何其他紧急情况,或在出租房屋,或其任何固定装置和设备发现有缺陷时,立即通知甲方。
7.14 遇到甲方提出与出租房屋相关的请求,按双方同意的条件提供帮助。
第四章租赁期限、租金、押金和其他服务费用第8条8.1 租赁期从“开张日期”起算为___年。
经双方协商达成书面协议,则租赁期限可以延长。
希望延长租赁期限的任何一方必须以书面形式通知另一方其希望延长期限的意向。
8.2 开张日期___年后,一方在接到另一方提前一个月的书面通知时,双方同意对本合同的条款和执行情况以及租赁情况作出评价和讨论。

根据9.3条和9.4条规定支付的诚意抵押金和保证抵押金的支付也以相同的方法计算和支付。
9.2 合同中的租金应按附件d中规定的比率调整和增加。
9.3 另外,乙方应向甲方支付总颇为____个月租金的诚意抵押金,该笔抵押金按年分期支付,第一笔于开张日期前___个月时支付,以后每 ___月支付一笔。
这笔诚意抵押金在本合同租赁期终止或解除时甲方应退还给乙方。
9.4 另外,乙方还应付给甲方总额为____月租金的保证抵押金。
按____年分期支付,第一笔于开张日期前___个月时支付,以后每___个月支付一笔。
保证抵押金在整个租赁期保持不动,乙方不得将该押金用作月租金或作扣除。
本合同的租赁期终止或解除时保证抵押金应由甲方退还给乙方,如根据本合同乙方在本合同中的义务对甲方有债务时,可从中扣除实际欠款额。
9.5 所有根据本合同应支付的款项均由乙方直接转账付给甲方告知的甲方在北京的开户银行。
除租金、诚意抵押金和保证抵押金外,乙方根据本合同负责向甲方支付或偿还的款项或费用应以甲方作这类支付或花费时所用的相应币种支付。
甲方得知乙方违反了本合同的规定或未尽到本合同或本合同的一部分中所规定的义务时,仍接受乙方缴纳的租金或其他付款不可认为是放弃丁对这种违约追究的权利。
9.6 根据这个第9条或本合同规定所有应由乙方付给甲方的款项应如数支付,不应有任何性质的扣除。
9.7 双方各自承担各自的税务。
第10条10.1 第7.1条中所规定的供暖和空调费用将由甲方向乙方按成本价格收取,方式为购入价+损耗率+劳务费+其他费用。
10.2 第7.1条中提及的每个月发生的费用,由乙方在下个月的___个工作日内向甲方支付。
10.3 双方同意,如果因为对任何装置或仪器进行必要的修理和维护。
而影响到在第10条中前面提到的任何服务时(应事先通知乙方)或如果因为火灾、水灾或其他不可抗力,甲方无法控制的原因或其他险恶条件或由于甲方无法控制的不可避免的燃料、材料、水、气、电、劳动力的短缺(应尽快通知乙方),或任何因乙方的任何顾客、服务员、门卫或其他服务人员的行为,失职或疏忽大意而引起的损坏或毁坏,甲方不对乙方负有任何责任;乙方亦不应追究甲方责任。
第五章使用、转租、权利转移第11条11.1 除综合经营商场和批发部外,乙方不能把出租房屋用作其他任何目的,未经甲方事先的书面许可,乙方不得把出租房屋的部分或全部转为或改变他用,双方明确同意在租赁期间如果未经甲方的事先书面许可,出租房屋被全部或部分地作为他用,甲方有权立即提高租金或迫使乙方终止这类未经授权的使用。
