”（二）仲裁协议的特征1、仲裁协议只能由具有利害关系的合同当事人或其合格的代理人订立，否则就不可能在有关合同发生争议时约束双方当事人。
如果有关当事人在仲裁程序开始时提出证据，证明他不是包含有关仲裁条款的合同的当事人，或证明他订立仲裁协议时没有权利能力或行为能力，则有关的仲裁协议就不是一个有效的仲裁协议。
2、仲裁协议必须是双方当事人愿意将有关争议提交仲裁解决的共同意思的表示，必须是真正建立在自愿、协商、平等的基础之上的。
