1CONFIDENTIALITY AGREEMENT

保密协议

is a party to a confidentiality agreement with [Customer] dated ("Agreement").

2POSITION

Information for the Purpose.

1.3I have read and understood the Agreement and will observe it as if I was a party to it

4CONFIDENTIALITY

I will keep the Confidential Information in strict confidence, and will not (except as expressly provided by the Agreement) without the prior written consent of [Customer]:

本人将对保密信息严格保密，且未经[客户]事先书面许可，本人将不会（除非本协议有明确规定）：

(a)disclose the Confidential Information to any person;

向任何人士披露保密信息；

(b)use the Confidential Information, or any other knowledge or information which I may acquire

as a result of receiving the Confidential Information, for any purpose whatsoever other than

the Purpose; or

出于协议目的以外的任何目的而使用保密信息或本人因收到保密信息而获得的任何其

他知识或信息；或

(c)copy, reproduce or transmit (by any means) the Confidential Information, or knowingly

permit such copying, reproduction or transmission to occur.

复印、复制或传送（以任何方式）保密信息，或故意许可该等复印、复制或传送的发

生。

5OWNERSHIP AND IP RIGHTS

所有权及知识产权

The Confidential Information and all Intellectual Property Rights arising from or relating to the Confidential Information are and will remain at all times the absolute property of [Customer].

保密信息及所有因保密信息而产生或与保密信息相关的知识产权是并将一直是[客户]的绝对财产。

1.5I acknowledge and agree that:

1.6本人确认并同意：

(a)I have no right or entitlement of any nature in the Confidential Information or any Intellectual

Property Rights; and

本人对保密信息或任何知识产权不具有任何性质的任何权利；且

(b)any development, modification or improvement arising out of or in consequence of the use or

disclosure of the Confidential Information and any Intellectual Property Right will be

[Customer] property, except to the extent agreed otherwise in writing.

在使用或披露保密信息及任何知识产权中产生或因之产生的任何开发、修改或改进将

为[客户]的财产，另有书面约定的除外。
