二、航运术语解说1. 全程包租：船东将船舶整个航程出租给租船方，租船方负责全部费用和运营管理。
2. 船东：船舶的拥有者或者经营者，负责船舶的运营和管理。
3. 预付租金：租船方在租船合同签订前向船东支付的租金。
4. 押金：租船方向船东支付的保证金，用于解决租船期间可能发生的纠纷或者违约行为。
5. 租金计算规则：租船方向船东支付的租金计算方式，常见的有每日租金、租船期内总租金等。
三、租船术语解说1. 租船期限：租船合同中规定的租船起止时间，通常以天或者月为单位。

交船，是指定期租船合同中船东在规定的地点、时间将船舶交给租船 人的义务。交船时，船舶应符合租船合同规定的适航要求，船上剩油最也 应在合同约定的数量范围内。许多合同范本内还订有交船检验、检验时间 和费用的划分之类的条款。为防止交船地点纠纷，还应规定港口内的某一 精确地点。例如，“到达港口引航站交船进港引水员下船交船”等。交船 时间应在合同约定的交船期限内。

来回航次租船(Round Voyages Charter)，又称“往返航次租 船”(Return Trip Charter)指的是出租人向承租人提供同一艘船舶装载 货物从原装货港运至卸货港，再从该卸货港或附近港口装载回程货物运回 原装货港或其附近港口，而由承租人支付一定运费的一种船舶营运方式。

定期租船，是指船舶所有人将配备船员的船舶出租给租船人使用一定 时期的租船方式。租约期可约定一段期间或以完成一个航次为限，后者亦 称航次期租。租船人在租期内按照约定的用途使用船舶，并支付租金。船 舶所有人一般负责船员工资、船员伙食、船舶维修保养、船舶保险费、物 料、供应品、船舶折旧费、部分货损货差索赔等，而租船人一般则负责燃 油费、港口使费、扫舱洗舱费、垫舱物料费等，并负责部分货损货差索赔。
包运合同租船是指船东在约定的期限内，派若干条船，按照同样的租 船条件，将一大批货物由一个港口运到另一个港口，航程次数不作具体规 定，合同针对待运的货物。

租船用语通俗谈（1）(2007-01-10 09:08:37)分类：船舶租赁六、受载期(LAYDAY、LAYDAYS) 多数的专业字典与书藉将此用语译为装卸日期或装卸天数，有的还解释为“租船合同中规定的装货和卸货天数”。
我对这种翻译与解释不持任何反对意见，但觉得至少在程租中应译作“受载期”为宜，因为期租合同中已有交船还船的规定与条款，在此期内装卸货日期与船东无甚关系。
反之，程租合同中没有交船还船的说法，因此开始受载相当于程租的实际运作业已开始。
例如某船的受载期为2月5日至10日，即该船2月5日至10日这一期内的任一时刻到达指定地点且作好一切受载准备，程租人则有义务接受此船。
若将LAYDAY(S)在程租中视作装货或卸货日期或天数，则会被人误解为2月5日是装货必须开始的日期，2月10日是装货必须终止的时间。
实际上根本不是这回事，即使2月10日也可开始装货, 至于装货规定在何日结束则是另一回事。
所以LAYDAY(S) 宜译为受载期，即2月5日至10日期间内(包括5日与10日当天)，皆可受载，船东有义务把船在此期内赶到指定地点且作妥一切受载准备，而程租人有义务在此期内给船受载。
所以早期丁．贝斯著的《租船与航运用语》 (1960年英文版)中认为LAYDAY一词有装卸天数与受载期的双重用途。
七、装卸时间(LAYTIME) LAYTIME与LAYDAY(S)应有不同，LAY-DAY 是受载期，LAYTIME才是装货或卸货的时间，而且LAYTIME不是指日期上的限制(如2月5日至10日)，而在某些场合下LAYTIME是指时间上的限制(如5天或120小时)，所以LAYTIME宜称为装卸时间。
八、合同解除日期(CANCELLING DATE) 租家与船东所订的日期, 即船未能在规定的期内抵达指定地点或未能作妥受载准备，租家即可在合同解除日期的那天取消合同。
此用语多出现在期租中，因为程租另有一用语“LAYCAN”替代。
九、受载期与合同解除日期 (LAYDAY AND CANCELLING DATE，简称为LAYCAN) 此用语多出现在程租中，以一段日期作为受载期，过此期限，程租人有权决定是否解除合同。
如LAYCAN 2月5日至10日，即2月5日为程租人必须开始受载的第一天(若船按时按条件抵达) ，10日为最后一天，过了10日，程租人有权决定是否解除合同。
有人将LAYCAN 解释为 FIRSTLAYDAY LAST CANCELLING DAY，我认为不妥，因为可能有人误会上例中的2月10日即可解除合同。
LAYCAN这一用语的中文译名太长且难简化，而LAYCAN一词很普及，几乎将成为我国航运业中的外来语。
无论对LAY-CAN或对CANCELLING DATE在理解与应用上皆须注意以下几点：(1)早到并不一定对船东有利，除非租约上有所规定。
例如程租中LAY- CAN为2月5日至10日，若船在2月1日到即早到四天，程租人可不给此船装货直至2月5日(一般为上午8点)，但双方可协商，此时程租人可能会提出：在2月5日之前所用的时间按装货所用时间的一定的百分比，举例为50%计算，因此船东浪费了二天，当然要比浪费四天为好。
因此应事先计划妥时间，既不要过拖迟到达指定地点，也不要过早到达, 上例中最好能在5日或6日到。
若时间过分充实就宜节油降速航行, 除非程租人事先允许提早给予受载。
(2) 船迟到对船东的损失极大。
在期租或程租中如船在2月11日到，即迟到一天，租家即有权取消合同，船东就会蒙巨大损失。
一般租家在程租运价(或期租租金)下跌又附近有合适的他船提供运力时就会提出解除合同，或者与船东重订租约而降低程租运价或期租租金。
反之，当程租运价或期租租金上涨，附近又无合适的他船提供运力时，就不会提出解除合同，但租家有可能佯称欲解除合同，以乘机刹价，故船东宜早对市场行情作详细了解，才能从容对付。
(3)明知船会迟到而船东仍有义务驶至指定地点，因为租家有权利在船抵达后的一段合理时间内才提出取消。
因此船东在订立租约时应先订明：当船东提出船无法按最后日期赶到时，租家应在此后的48小时内表示解除或不解除合同，如此船东可在中途作罢而减少损失。
(4)租家只有权对迟到船解除合同而无权对船东索赔其损失，除非由于船东违约而使船迟到。
杨良宜先生列举了多项租家可能会提出的证明船东违约而使船迟到的事项, 如(1)不合理绕航； (2)准许上一租家多走一个不合法的航次；(3)不必要的修理；(4)在租约中不予免责的错误。
十、佣金(COMMISSION)(1)洽租佣金或称委托佣金，即ADDRESS COMMISSION，此项佣金应由船东支付给租家，实际上就是租金 (对期租、光租) 或运费(对程租)的回扣。
租金或运费是租家付给船东的，而此项佣金又是船东回归给租家的，其中的原因很多，例如租金与运价不宜多变化，要作小的变化就在此项佣金上升降，但这仅仅是原因之一。
因此在期租或光租中，正规的作法是不许租家在预付的租金中先扣除此项佣金，除非在租约中有所规定。
在程租中，有的租约规定此项佣金在签署提单时即从运费中扣出来。
目前出现一种不给此项佣金的做法，当然在运费上会有相应的调整。
这种做法称为“免付洽租佣金即FREE OF ADDRESS”。
(2) 经纪人佣金即BROKERAGE 此项佣金应由船东支付给经纪人，以酬报他为洽谈撮合的努力。
此项佣金在期租或光租中应以船东实赚的租金为基数再乘以租约规定的百分率，所谓的实赚的租金是指船东实际收到的租金，例如中途终止了租约，甚至租约签订后因船未在规定时间赶到规定地点而被取消租约，船东未收到租金或运费，经纪人当然也收不到佣金。
在程租中若未在租约中规定“在货物装船时”支付此项佣金，也未规定计算佣金的基数 (除了运费外是否包括空舱费、延滞费) ，则此项佣金以船东实收的运费为基数。
(3)过手佣金即COMMISSION PAST US 受船东委托的经纪人在租船市场上开价出租时可能提出若干百分率的过手佣金。
此项佣金与上述两项佣金在支付办法上有所不同，此项佣金不是由船东支付给他，而是通过租家一方的经纪人之手而取得的，即船东不付两家经纪人的佣金，由一家领取两家分，以免日后发生纠纷。
这种佣金的称呼较少听到，因它不出现在租约上。
在租约上可能出现双方经纪人的名字与佣金率，或者由一家收取佣金后再作分摊。
十一、租金(RATE)程租人付给船东的是运费，而期租人付给船东的是租金。
租金不宜按月计而宜按日计，因月份中有天数的差别。
(1)如期支付租金租家须在租约规定的时间内支付租金。
目前流行的条款是在若干天前预付一期 (若干天) 的租金，若租约签订得很局促，而无法按规定时间内支付第一期租金，则可另行作出规定。
不如期支付将有不良的后果 (见后) ，故租家应谨慎对待，尤其在市场上租金上涨时，要考虑到银行停止办公的节假日、两地的时差、银行的业务水平，而应适当地提前汇出。
(2)如数支付租金租家须将租约规定的租金全数地支付，若未全数支付其后果与未如期支付等同。
(3)扣付租金租家不得随意扣付租金，即使受船东委托而垫付的与理该船东付的也不得从租金中扣除，除非租约上规定这些项目可在租金中扣除，例如规定洽租佣金、受船东委托而垫付的船舶港口使费、停租的租金等项目可在租金中扣除。
停租的租金在租约上规定停租(如入坞、搁浅、机械故障等)的租金，在二种情况下可扣除，一是由于船方原因而影响租家使用该船的时间，二是由于船东违约而影响租家使用该船的时间。
此二者须有据可查才能扣除租金，而且要确实影响租家使用该船的时间。
例如在航行中或开航时主机故障达三小时即应扣除三小时的租金，若在装货停泊的三十小时中主机故障三个小时而未影响开航就不得扣除租金。
(4)索赔租金如租约没有规定租家未如期如数付租金而船东有权撤船，则船东只能通过仲裁或向法院起诉索赔。
因此租约上应订明船东有此撤船权利，如NYPE(纽约土产交易所期租合同)第五条即有此规定。
但撤船也是有条件的，而有一点应提醒租家，即当市场租金下跌时，船东若一时收不到租金可能还会耐心等待，当市场租金上扬幅度很大时，船东可能会抓住租家支付租金上一点小毛病而要求撤船，此时租家更应小心对待。
(5)船东、租家为支付、收取租金的保护措施对于船东来说可以做到：①在租约上规定若租家不如期如数付租金则船东有权撤船，否则只能索赔；②撤船前请自己的银行再三查清租家是否如期如数付了租金，并以电传、传真方式从银行中取得书面证据；③若决定撤船应在合理时间内撤船，否则会失去此权利。
对于租家来说可以做到：①如期如数支付租金，尤在租金上涨时，要考虑时差、银行工作效率等，必要时提前汇出。
②在租约上规定哪些项目可在租金中扣除。
③在租约上规定有警告期，即船东若未如期如数收到租金，应向租家发出警告，并给予几天宽容期。
④在租约上规定船东收到租金95%以上时即无权撤船而只需租家在下一期租金中补入。
上述①、②项一般皆能办到，而③、④项有时船东不一定同意。
程租中租家付给船东的是运费而不是租金。
程租租约中一般只讲运价即每吨多少钱，而船东收到的运费乃是运价与货量的乘积，货量少一倍，船东的收入也几乎少一倍，因为一船满载货物与半载货物的运输成本(除装卸费外)几乎相同。
所以在程租租约上除了运价外，还要重视货量，除非租约中已有包干运费的条款。
十二、MOLOO(MORE OR LESS IN OWNER'S OPTION)即船东在规定的货量范围内作选择例如10000吨水泥 MOLOO 5%，即船东有权在950010500吨之间作选择, 但一旦他宣布了此项选择的货量，就有义务全数装下；而租家也有义务全数提供船东选择的货量。
在此条款下船东方应考虑：(1)此船夏季载重量扣去所需或所存 (取其大者) 的燃油量、所需的淡水量、物料(常数)及未能抽出的压载水等重量后还剩下多少载重量可用于装货。
(2)考虑在装卸两港此船的夏季载重线在此时此地是否继续适用，若须使用冬季载重线，则较夏季载重量为少。
(3)考虑装卸两港有无吃水限制而影响其载重量利用率。
(4)大吨位船(如10万吨级)在接近满载时船体轻轻出现中垂(如10厘米), 使船提前到达满载吃水而损失了一小部分载重量(例如约250吨)。
上述四种情况使载货量达不到规定的最低数(上例中为9500吨)，则须修改此条款。
一般船东不会作上述如此细心的计算，但为了避免以后的纠纷与争取最多的运费，尤其是陌生的港口，所以还得算一算。
(5)是否货舱容积能容纳得下，一般1-1.5万吨级杂货船可能容纳得下积载系数为每吨55立方英尺即1.55立方米的货物直至满载吃水。
若容纳不下则须修改此条款。
上述的货物积载系数是包括亏舱在内的，这个数据可从有关资料、本船记录、有经验的船长、大副及装卸工领班与当地船代中找到。
