5.3.1 前述协议包括但不限于有关购房贷款（含担保）、培训服务期限（含出国培训）、保守商业秘密、竞业避止等的协议。
5.3.2 前述协议，不得与中华人民共和国的法律、法规、规章相冲突，也不得与本合同或者《劳动合同》相冲突。
5.4乙方有权根据中华人民共和国的法律、法规自行制定并公布各类规章制度，包括但不限于工时制度、加班制度、休假制度、工资制度、（年终）奖金制度等；但该规章制度不得与中华人民共和国的法律、法规相冲突，而且应该向中国员工公示。
第六条甲方履行的义务6.1 甲方应与乙方聘用的中国员工依法办理相关手续。
6.2甲方应根据本合同和附件的约定，向乙方提供各类由乙方选定的服务。
6.3甲方应教育中国员工自觉遵守中华人民共和国的法律、法规和乙方的规章制度。
6.4 甲方应按照双方确定的标准为乙方聘用的中国员工缴纳社会保险和住房公积金。
6.5 甲方协助中国员工办理出国（境）手续。
6.6 甲方协助中国员工办理担任乙方的（首席）代表的手续。
6.7甲方为符合规定的中国员工办理职称评定。
6.8 甲方应乙方的要求，协助乙方对中国员工造成乙方的经济损失进行追索。
第七条乙方履行的义务7.1 乙方应根据本合同和附件的约定，按月向甲方足额支付管理费。
7.2 乙方应根据中华人民共和国的法律、法规和上海市的有关规定，承担中国员工的社会保险和住房公积金的责任。
7.3 乙方应尊重中国员工的民族习惯和宗教信仰，严禁种族歧视和性别歧视。
7.4 乙方应向中国员工提供符合中华人民共和国法律、法规、规章规定的劳动保护和劳动条件，提供符合国家规定的工作条件、工作场所等。
并应承担中国员工工伤的责任。
7.5乙方应根据中华人民共和国法律、法规和上海市的规定依法执行工时制度以及加班制度。
7.6 乙方应根据中华人民共和国法律、法规和上海市的规定给予中国员工休息和休假。
7.6.1 一般为聘用的中国员工安排每一公历年十五天的带薪年休假；7.6.2初次聘用的中国员工，当年未工作满一公历年的，可以按实际聘用时间，每满一个月，给予一天的带薪年休假；7.6.3 乙方另有规定，或者与中国员工另有书面约定的，应当按该规定或约定执行。
可以不履行本条7.6.1和7.6.2的约定。
7.7乙方聘用中国员工每满一公历年的，年终由乙方向甲方加付一个月的管理费作为中国员工的年终双薪。
7.7.1 初次聘用的中国员工，当年未工作满一公历年的，可以按实际聘用时间，每满一个月，年终由乙方向甲方加付一个月管理费的十二分之一。
7.7.2 乙方另有规定，或者与中国员工另有书面约定的，应当按该规定或约定执行。
可以不履行本条7.7和7.7.1的约定。
7.8 乙方应根据中华人民共和国的法律、法规和上海市的规定给予女性的中国员工特殊劳动保护，保障其在孕期、产期和哺乳期的合法权益。
7.9乙方应依法代扣代缴中国员工的个人所得税。
7.10 因乙方与中国员工发生聘用争议而引起甲方与中国员工发生劳动争议仲裁或诉讼的，乙方应作为甲方的代理人或者证人参加仲裁和诉讼。
第八条双方共同享有的权利和履行的义务8.1 本合同以及与之相关的一切文件，包括但不限于合同的草稿、附件、报价、往来传真信函等，均为甲、乙双方之商业秘密，任何一方均不得以任何形式向第三方泄露，否则应承担相应之违约责任和经济责任。
8.2 任何一方有权对另一方违反本合同的行为进行交涉并提出整改意见和要求，违约方有义务赔偿因此造成的一切损失。
8.3任何一方有权要求另一方根据中华人民共和国制定的法律、法规、规章执行并变更本合同的相应条款：另一方应当执行。

第三章中国员工的聘用、解聘第九条中国员工的聘用9.1 乙方聘用中国员工，应向甲方提供能证明乙方合法身份的文件。
乙方应对前述文件的真实性和有效性负责。
9.2中国员工的聘用期期限以附件约定为准，一般为一年。
9.3 乙方应于每月十五日前，书面通知甲方其聘用中国员工的变更情况。
9.4 乙方对于其首次聘用的中国员工，可以约定最长不超过三个月的试用期。
第十条中国员工的解聘10.1中国员工有下列情形之一的，乙方可以解聘雇佣关系，但应书面通知甲方：10.1.1在试用期内被证明不符合录用条件的。
10.1.2 严重违反劳动纪律或者乙方规章制度的。
10.1.3 严重失职、营私舞弊、对乙方利益造成重大损害的。
10.1.4 被依法追究刑事责任或者劳动教养的。
10.2 除本条10.1约定的情形外，中国员工有下列情形之一的，乙方不得解除聘用关系：10.2.1 患职业病或者因工负伤并经劳动鉴定委员会为丧失或者部分丧失劳动能力的。
10.2.2 患病或者负伤，在规定的医疗期内的。
10.2.3 女员工在孕期、产期、哺乳期内的。
10.2.4 在乙方工作满十年，距法定退休年龄三年以内的。
10.2.5 法律、法规、规章规定的其他情形。
10.3 聘用的顺延聘用期满，中国员工有本条10.2的情形之一，同时不属于本条10.1的情形，乙方应顺延其聘用关系直至本条10.2的情形消失。
10.4 除本条10.1和10.2约定的情形外，乙方要解除与中国员工的聘用关系，应当提前三十天以书面形式通知中国员工和甲方。
10.5甲方可以按照劳动法规与中国员工解除或终止劳动合同关系。
第十一条解聘的经济补偿11.1 乙方根据本合同10.4的约定，解聘中国员工的，应根据中国员工在乙方工作年限每满一年支付相当于中国员工一个月报酬的标准，向甲方支付解聘中国员工的经济补偿金。
在乙方工作年限未满一年的，按一年标准支付补偿金。
11.2 乙方因为中国员工患病或非因工负伤，医疗期满后不能从事由乙方另行安排的适当工作而解除聘用关系的，除按本条11.1的约定支付经济补偿金外，还需按不低于中国员工六个月报酬的标准，向甲方支付中国员工的医疗补助费。
第十二条聘用关系的协商解除经乙方与中国协商一致，乙方与中国员工的聘用关系可以解除。
同时，乙方应按照本合同11.1的标准，向甲方支付解聘中国员工的经济补偿金。
第十三条中国员工解除聘用关系13.1有下列情形之一的，中国员工可以通知乙方解除聘用关系：13.1.1 在试用期内的。
13.1.2乙方以暴力、威胁或者非法限制人身自由的手段强迫劳动的。
13.1.3 乙方未按照规定支付报酬或者提供劳动条件的。
13.1.4除符合本条前项之外，中国员工解除与乙方的聘用关系，应当提前三十日以书面形式通知乙方和甲方。
13.2中国员工解除聘用关系的经济补偿中国员工依据本条13..1.2、13.1.3的约定解除聘用关系的，乙方应按照本合同11.1的标准，向甲方支付解聘中国员工的经济补偿金。
第十四条经济补偿金的计算标准本章中经济补偿金以及医疗补助费的计算标准按中国员工解除聘用关系前十二个月的月平均报酬；不足十二个月的，按实际月数取月平均报酬为准。
第四章费用及结算第十五条管理费的确定15.1 管理费根据双方协商，确定本合同附件一，并以每月二十日前甲方的《付款通知书》为当月管理费的结算依据。
乙方如有变动情况，应于当月十五日前书面通知甲方，否则应承担相应之责任。
15.2管理费可以人民币或者等值于人民币的外币报价核算。
汇率按中国人民银行当月十五日公布的汇率的中间价为准。
15.3双方应根据政府相关规定，自每年四月一日起相应地调整社会保险费用：自每年一日起相应地调整住房公积金费用：并根据政府的需要随时进行其他必要的调整。
前述的调整，不应影响聘用期限。
第十六条管理费的支付每月月底前，乙方应根据本合同及附件约定的金额向甲方支付当月的管理费，具体支付方式为以下四种：16.1 现金。
16.2 支票。
16.3贷记凭证。
16.4电汇。
第十七条经济补偿及医疗补助费的支付：根据本合同第三章的约定，乙方应向甲方支付解聘中国员工的经济补偿金和医疗补助费的，应自乙方解除中国员工聘用关系之日起三十天内向甲方支付。
甲方收款后，按政府规定和劳动合同的约定向中国员工支付。
第五章违约责任第十八条一般违约责任：本合同的任何一方违反本合同的约定，都应承担由此给对方造成的经济损失。
第十九条管理费迟延支付的违约责任：乙方未按本合同第四章的约定按时支付管理费的，除应足额支付外，还应自应付款之日起，至实际支付之日止，每日支付应付款金额2‰的滞纳金给甲方。
第二十条经济补偿金和医疗补助费迟延支付的违约责任：乙方未按本合同第三章和第四章的约定按时足额支付解聘中国员工的经济补偿金或（和）医疗补助费的，除应足额支付外，还应按应付金额的50%支付甲方额外经济补偿金。
