E. 保密义务E.1 保密义务本合同订立前以及在本合同期限内，一方（"披露方"）曾经或者可能不时向另一方（"接受方"）披露该方的保密资料。
在本合同期限内以及随后[・]年间，接受方必须：(a) 对保密资料进行保密；(b) 不为除合同明确规定的目的之外的其他目的使用保密资料；(c) 除为履行其职责而确有必要知悉保密资料的该方或其关联机构雇员、该方律师、会计师或其他顾问外，不向其他任何人披露，且上述人员须已签署书面保密协议，其中条款的严格程度不得低于本第E 条的规定(合称"允许披露方"）。

E.3 规章制度每一方应制订相应的规章制度，告知该方（以及该方的关联机构）董事、高级职员以及其他雇员本第E 条规定的保密义务。

G.2 不可抗力的后果(a) 如果发生不可抗力事件，一方在本合同项下受不可抗力影响的义务在不可抗力造成的延误期间自动中止，并且其履行期限应自动延长，延长期间为中止的期间，该方无须为此遭受惩罚或承担责任。
(b) 提出受不可抗力影响的一方应及时书面通知另一方，并且在随后的[十五（15）]日内向另一方提供不可抗力发生以及持续期间的充分证据。

(b) 仲裁庭应由三名仲裁员组成，其中双方各指定一名，如果任何一方不能在仲裁规则具体规定的时间内指定一名仲裁员，贸仲会主任将参考本合同第H.2 条载明的标准指定仲裁员。
(c) 第三名仲裁员（"首席仲裁员"）应由双方协议指定，且如双方在仲裁规则规定的具体时间内仍未能达成该协议确定第三名仲裁员，则贸仲会主任应参考本合同第H.2条载明的标准指定该仲裁员。
(d) 任何一名仲裁员都不应具有(i)具有中华人民共和国国籍；或(ii)[乙方所在国国籍](e) 首席仲裁员（及其继任者或任何代替原先指定担任首席仲裁员的人选）应具有以下任一国籍：(i) 澳大利亚(ii) 比利时(iii) 加拿大(iv) 新西兰(v) 瑞典(vi) 瑞士(vii) 荷兰(viii) 英国(f) 仲裁程序应当以英语进行。
(g) 所有仲裁费用（包括但不限于仲裁费、仲裁员费用和法定费用和支出）应由败诉方承担，除非仲裁庭另有决定。
(h) 无论赔偿请求是否总计达人民币500，000，贸仲会仲裁规则第三章条款（关于简易程序）在尽可能允许范围内排除适用。

贸仲会仲裁规则第7 条规定变更仲裁规则应获得仲裁委员会的同意。
][选择（2）新加坡国际仲裁中心仲裁(a) 如果某一争议未在一方首次书面提出进行协商之日后[六十(60)]日内通过友好协商解决，则任何一方可将该争议提交新加坡国际仲裁中心("仲裁中心")在[新加坡]按照当时有效的仲裁中心仲裁程序规则（并根据本第H.2 条作出修订）("仲裁规则")进行仲裁。
