2．订立合同(1)订立合同的过程合同的订立是当事人各方通过平等协商就合同条款达成意思表示一致的过程。
任何一份合同，无论采取何种形式，都离不开提出条件和接受条件的过程。
这个过程称为要约与承诺。
有时一份合同要经历反反复复的协商才最终得以成立。
①要约是希望和他人订立合同的意思表示。
在一项要约中，发出要约的一方为要约人，接受要约的一方为受要约人或者受约人。
②要约到达对方后，就可以进入合同订立的第二个阶段——承诺。
承诺是受要约人同意要约的一种意思表示，应该由受约人在要约确定的期限内及时向要约人作出，其内容必须与要约的内容一致。

一、违反合同要担责知识梳理1.违约及其类型(1)违约：因一些主客观原因导致一方当事人不履行合同义务，或者履行合同义务不符合约定，这就构成了违约。
(2)违约类型：违约分为预期违约与实际违约。
实践中常见的是实际违约，具体包括：不能履行、迟延履行、不完全履行、拒绝履行。
2.违约行为的免责(1)含义：是指在一定条件下，尽管当事人不履行合同，法律也不追究其违约责任，甚至可以免除其合同履行义务。
(2)免责情形①法定免责情形a.最常见的就是不可抗力，即当客观上已经发生不可抗力，而且合同的当事人未能按照约定履行合同义务是由这一不可抗力导致时，当事人的违约行为可以免责。
b.不可抗力：是指不能预见、不能避免并不能克服的客观情况，如地震、洪水、火灾、战争等情况。
②约定免责：是指双方在订立合同时经协商达成一致的免责情形，但这种约定不得违反法律的强制性规定。

二、违约责任的承担方式知识梳理1.违约责任和违约承担方式违约责任是违约一方应当承担的法律责任。
违约责任既是不履行合同义务者应该付出的代价，也是法律对权益受损的一方给予的救济。
合同法规定了继续履行、赔偿损失、采取补救措施和支付违约金等违约责任的承担方式。
2.继续履行继续履行是当一方不履行合同义务时，如果另一方仍然认为有必要履行原合同义务，可以诉诸法院或者仲裁机构，只要该合同义务是可以强制履行的，则法院或仲裁机构可以判令、裁定违约方在一定期限内履行合同义务。
3.赔偿损失如果当事人一方不履行合同义务或者履行合同义务不符合约定而给对方造成损失，违约方应当赔偿损失。
赔偿损失的方式为违约方向守约方支付一定数额的赔偿金。
4.采取补救措施采取补救措施，包括修理、更换、重作、退货、减少价款或者报酬等。
如果一方履行的合同义务不符合约定的要求，另一方可以选择其中一种或几种补救措施，作为违约方承担违约责5.支付违约金违约金是当事人一方违约时，根据合同约定或法律规定向对方支付的一定数额的金钱。
违约金是最常见的违约责任承担方式，一般是补偿性质的，只起弥补受害人损失的作用。
6.定金当事人为了保证合同的履行，约定一方事先向另一方交纳一定数额的金钱，即定金。
如果交纳定金的一方违约，则无权要求对方返还定金；如果接受定金的一方违约，则应该双倍返还定金。
定金是一种担保方式。
请思考：违约金和定金是不是一回事？提示违约金不同于定金，定金是对合同关系的担保，违约金是合同关系中的责任方式。
定金必须先行交付，违约金不必先行交付。
定金除针对违约行为外还可针对其他行为，违约金只能针对违约行为。
重点突破1.全面理解采取补救措施(1)采取补救措施的适用以合同对质量不合格的违约责任没有约定或者约定不明确，而依合同法第61条仍不能确定违约责任为前提。
(2)应以标的物的性质和损失大小为依据，确定与之相适应的补救方式。
(3)受害方对补救措施享有选择权，但选定的方式应当合理。
