20.9 Assignability 20.9 可转让性This Contract may not be assigned in whole or in part by any Party without the prior written consent of the other Party hereto, provided that Seller may solely upon written notice to Buyer assign Seller's rights to receive payments and other benefits of this Contract to one or more financial institutions for purposes of arranging debt financing or similar financial arrangements, but in such event Seller shall remain fully liable for the performance of its obligations under this Contract. 未经另一方事先书面同意,任何一方不得部分或全部转让本合同。
