This Export-Import Trade Contract ("Contract") is entered into on [date] between [Exporter’s name] ("Exporter"), with a business address at [address], and [Importer’s name] ("Importer"), with a business address at [address].
ARTICLE 1. SCOPE OF CONTRACT The Exporter agrees to sell and deliver to the Importer, and the Importer agrees to purchase and receive from the Exporter, the products ("Products") as detailed in the attached purchase order.
ARTICLE 2. TERM OF CONTRACT This Contract becomes effective as of the date it is signed by both parties and shall continue in force until the obligations of the parties hereunder are fully performed.
ARTICLE 3. DELIVERY TERM The Products shall be delivered in accordance with the Incoterm [Incoterm] as stated in the attached purchase order.
ARTICLE 4. PRICE AND PAYMENT TERMS The purchase price for the Products is as specified in the attached purchase order. The payment terms are [payment terms]. Late payment will trigger a penalty interest of [penalty interest rate] per month.
ARTICLE 5. WARRANTIES The Exporter represents and warrants that:
(a) The Products are free from any defects in materials or workmanship;

ARTICLE 7. LIMITATION OF LIABILITY The Exporter's liability for any damages resulting from a breach of this Contract shall be limited to the purchase price of the Products.
ARTICLE 8. INTELLECTUAL PROPERTY RIGHTS The Exporter represents and warrants that the sale of the Products to the Importer shall not violate the intellectual property rights of any third party.
ARTICLE 9. GOVERNING LAW AND JURISDICTION This Contract, including all disputes arising out of or in connection with it, shall be governed by and construed in accordance with the laws of China. Any disputes arising out of or in connection with this Contract shall be finally settled by arbitration in accordance with the rules of the China International Economic and Trade Arbitration Commission.
ARTICLE 10. FORCE MAJEURE Neither party shall be liable for a delay or failure in performance of its obligations under this Contract due to events of force majeure such as natural disasters, wars, strikes, or government actions.
ARTICLE 11. NON-WAIVER No waiver by either party of any breach of this Contract shall be a waiver of any subsequent breach.
ARTICLE 12. ENTIRE AGREEMENT This Contract constitutes the entire agreement and understanding of the parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings, and agreements between the parties.
