The transaction is expected to be completed in the fourth quarter of 2020, and Baidu is expected to be a super majority shareholder.•Baidu completed a bond offering of US$950 million in October 2020, consisting of US$650 million of 1.720% notes due 2026 and US$300 million of 2.375% notes due 2030, theproceeds from which are expected to be used to repay certain existing indebtedness. •Baidu returned US$596 million to shareholders in the third quarter of 2020, bringing the cumulative share repurchase over the last two years to approximately US$2.0 billion.Mobile Ecosystem•Baidu App’s daily active users (“DAUs”) reach ed 206 million and its monthly active users (“MAUs”) reached 544 million in September 2020.•The massive reach of Baidu App, along with other products in the Company’s product portfolio, is attracting a wide range of knowledge and information-centric videos, including live and short videos. Topical live streaming, such as Wander Planet and Who to Support, grew eight folds sequentially.•Publishers are sharing more originals on Baijiahao (“BJH”) accounts, to take advantage of Baidu’s large scale and easy sharing of content across Baidu family of apps. BJH accounts reached 3.6 million, up 52% year over year, in September 2020.•App developers are adopting Baidu Smart Mini Programs (“SMP s”) to provide users with native-app like experience on Baidu, without having to download the host apps. Apollo Go rides may be ordered from Baidu Maps or Apollo Go app.•Baidu was granted China’s first driverless test permit in Changsha.iQIYI•iQIYI subscribers reached 104.8 million in September 2020, and membership revenue was up 7% y ear over year. iQIYI’s large subscriber base further strengthens iQIYI’s foundation to produce entertainment blockbuster originals.Third Quarter 2020 ResultsTotal revenues reached RMB 28.2 billion ($4.16 billion), increasing 1% year over year.Revenue from Baidu Core reached RMB 21.4 billion ($3.15 billion), increasing 2% year over year. Online marketing revenue from Baidu Core was RMB 18.4 billion ($2.72 billion), which was basically flat from last year. Non-online marketing revenue from Baidu Core reached 2.9 billion ($434 million), increasing 14% year over year, primarily driven by the growth of cloud services.Cost of revenues was RMB 12.8 billion ($1.89 billion), decreasing 22% year over year, primarily due to a decrease in content costs, traffic acquisition costs and costs of goods sold.Selling, general and administrative expenses were RMB 4.7 billion ($692 million), increasing 1% year over year.Research and development expenses were RMB 4.6 billion ($673 million), decreasing 3% year over year.Operating income was RMB 6.2 billion ($907 million) and operating margin was 22%. Baidu Core operating income was RMB 7.4 billion ($1.09 billion) and Baidu Core operating margin was 35%.Non-GAAP operating income was RMB 7.6 billion ($1.13 billion), and non-GAAP operating margin was 27%. Non-GAAP Baidu Core operating income was RMB 8.5 billion ($1.25 billion), and non-GAAP Baidu Core operating margin was 40%.Total other income was RMB 8.9 billion ($1.31 billion), compared to total other loss of RMB 9.5 billion in Q3 2019. Total other income in Q3 2020 included fair value gain of RMB 9.0 billion from long-term investments.Income tax expense was RMB 1.6 billion ($239 million), compared to RMB 934 million in Q3 2019.Net income attributable to Baidu was RMB 13.7 billion ($2.02 billion), and diluted earnings per ADS was RMB 39.79 ($5.86). Net income attributable to Baidu Core was RMB 14.4 billion ($2.12 billion).Non-GAAP net income attributable to Baidu was RMB 7.0 billion ($1.03 billion), and non-GAAP net margin was 25%. Non-GAAP diluted earnings per ADS amounted to RMB 20.35 ($3.00). Non-GAAP net income attributable to Baidu Core was RMB 7.5 billion ($1.10 billion), and non-GAAP net margin for Baidu Core was 35%.Adjusted EBITDA was RMB 9.1 billion ($1.34 billion) and adjusted EBITDA margin was 32%. Adjusted EBITDA for Baidu Core was RMB 9.8 billion ($1.45 billion) and adjusted EBITDA margin for Baidu Core was 46%.As of September 30, 2020, cash, cash equivalents, restricted cash and short-term investments were RMB 146.0 billion ($21.50 billion), and cash, cash equivalents, restricted cash and short-term investments excluding iQIYI were RMB 138.5 billion ($20.41 billion). 4月17日晚间,我国精密制造与智能制造领域头部企业,()(证券代码:002241.SZ)对外公布了2023年财报。
公告显示,报告期内,公司实现营业收入1049亿元,同比增加34.1%;归属于上市公司股东的净利润为17.49亿元。
值得一提的是,包含VR、AR等在内的智能硬件业务异军突起,营收由328亿元攀升至631亿元,增幅超92%,所占总体营收比重也由2023年的近42%升至2023年的超60%,正对外展现出该板块具有的强劲生命力。
有相关行业专业人士表示,2023年是充满不确定性的一年,全球宏观经济面临下行压力,加之通货膨胀、供应链等问题,包含歌尔股份在内的众多企业经营面临着巨大挑战。
然而,根据公司此前发布的公告来看,歌尔股份披露的2023年整体业绩情况尚在市场预期之内,且智能硬件业务显露出的成长性甚至可以说是令人惊喜的。

二、公司基本情况2.1主要财务数据1、报告期内(2020年1-9月)经营活动产生的现金流量净额较上年同期增长30.58%的主要原因为:本期地产板块经营活动产生的现金流量净额为172,477.02万元,较上年同期增加70,036.19万元,其中销售商品收到的现金为853,936.17万元,较上年同期增加183,274.89万元。
2、报告期内(2020年1-9月)归属于上市公司股东的净利润较上年同期增长81.48%的主要原因为:报告期内,公司累计出售宁波银行22,130.70万股,投资板块实现净利润355,598.64万元,较上年同期增长155.52%。
3、公司2019年回购计划,自2019年6月11日首次实施回购,截至2020年5月19日,已完成2019年回购计划,实际回购公司股份385,023,321股,已于2020年5月22日在中国证券登记结算有限责任公司注销。

首批三季报出炉三公司业绩大增来源上海证券报公告日期 2011-10-11作者 --今日,歌尔声学、华昌化工和乐视网三家公司一齐打响了三季报的“头炮”。
三家公司前三季度均实现了业绩同比大幅增长,最高增幅为成功扭亏的华昌化工,业绩同比上升191%,另两家同比增幅也均在70%以上。
尤其是两家中小板公司都对全年业绩做出了大幅增长的预测,其三季报披露“抢先”不无道理,但是,尽管两公司第三季度单季净利环比上升,但环比增速回落。
三家公司中,增幅最显著的为华昌化工,公司前三季度显示营业收入27亿元,归属于上市公司股东净利润5799万元,同比增长191%,基本每股收益0.22元,而上年同期公司亏损额达到6349万元,主要因行业经济回暖,公司联碱产品价格回升所致。
华昌化工还预计全年业绩增幅在630%至680%,上年同期净利润则为1038万元。
歌尔声学依靠募投项目达产及大客户战略的顺利实施实现了前三季度业绩增长。
前三季度营业收入、净利润分别为27.5亿元和3.5亿元,同比增长49%、82%,基本每股收益0.47元。
而作为首家发布三季报的创业板公司,乐视网的业绩增速也不低。
前三季度营业收入3.56亿,同比增106%,净利润为8740万元,同比增73%,基本每股收益0.4元。
值得注意的是,三家公司的单季度业绩环比增速出现下滑。
华昌化工、歌尔声学两家公司第三季度单季实现净利润分别为2975万元、1.7亿元,环比第二季度增长52.9%和41.7%,但其二季度业绩环比一季度增幅均超过1倍,可见第三季度内业绩增幅回落。
而乐视网三季度单季实现净利润2900万元,与第一、第二季度基本持平,变化不大。
今日还有佛塑科技、新兴铸管、乐山电力等公司发布业绩快报,三公司前三季度净利润同比增幅分别为21%、11.75%和31.6%,九龙电力预告1月至9月业绩则下滑36%。

筹资活动产生的现金流量净额年初至报告期末为292,299.71万元,净流入同比增加376,449.16万元,主要原因是:公司发行可转换公司债券,募集资金已到位。
二、重要事项进展情况及其影响和解决方案的分析说明√ 适用□ 不适用1、公司经中国证券监督管理委员会证监许可[2020]780号《关于核准歌尔股份有限公司公开发行可转换公司债券的批复》核准,于2020年6月12日向社会公开发行了4,000万张可转换公司债券(以下简称“可转债”),每张面值100元,发行总额400,000万元。
经深交所“深证上〔2020〕610号”文同意,公司400,000.00万元可转债已于2020年7月13日起在深交所挂牌交易,债券简称“歌尔转2”,债券代码“128112.SZ”。
具体进展情况参见本节、五、募集资金投资项目进展情况。
2、公司于2019年10月18日召开第四届董事会第二十四次会议,会议审议通过了《关于回购公司股份方案的议案》。
公司拟回购公司部分股份用作员工持股计划或股权激励计划。
截至2020年4月27日,公司回购计划已实施完毕。
3、2017年12月26日,经第四届董事会第十二次会议审议通过了《关于审议<歌尔股份有限公司“家园3号”员工持股计划(草案)及其摘要>的议案》。
详细计划及进度请参考于2017年12月27日公告的《“家园3号”员工持股计划(草案)》、2018年2月9日公告的《关于实际控制人减持股份暨公司员工持股计划完成股票购买的公告》。
“家园3号”员工持股计划已于2019年2月9日锁定期满。
本报告期内,“家园3号”员工持股计划卖出股份12,165,701股。
报告期末,“家园3号”员工持股计划持有公司股份19,187,708股,占公司股份总数的0.59%。
2020年4月21日,经第五届董事会第五次会议审议通过了《关于审议<歌尔股份有限公司“家园4号”员工持股计划(草案)及其摘要>的议案》。
2020年7月1日,公司收到中国证券登记结算有限责任公司出具的《过户登记确认书》,公司回购专用证券账户中的49,270,100股公司股票已于2020年6月30日以零元每股非交易过户至公司“家园4号”员工持股计划相关账户。
截至报告期末,公司“家园4号”员工持股计划相关专户持有公司股份合计49,270,100股,占公司总股本的1.52%。
