摘要

随着我国经济的发展，非法经营同类营业罪的相关问题，也开始渐渐的被人们重视起来。在现实情况中，非法经营同类营业罪是97刑法规定的一项新型经济犯罪，之所以要制定这样的法律，主要就是希望能够在现实中对国有公司、企业中以董事、经理为代表的高级管理人员进行规制，避免他们经营禁止的业务、从而侵害公司、企业管理秩序等等。此外，非法经营同类营业罪的产生，这能够较好的“挽救”企业的经济利益行为。

由于经济的犯罪行为，首先必定是一种经济的行为，因此，对经济刑法的解释，就势必会与传统刑法的解释方式，存在着一定的差异，也就是说，即依靠常用刑法的同时，必须要对其方法进行解释，甚至还需要对经济的法规和经济生活领域的实景，有一个大体的准确把握，并努力的使之能够达到协调的状态。

据此，本文对非法经营同类营业罪进行了细致的分析。首先，对非法经营同类营业罪的立法过程进行了研究，从而解释本罪的立法背景。其次，笔者通过对本罪构成要件逐一分析，说明非法经营同类营业罪的具体特点，再次，本文主要分析了本罪目前存在的问题，而后，笔者对其进行了深入的细致研究，并对其进行了总结。力求能够为非法经营同类营业罪的完善，提供一定的理论依据。

Abstract

With the development of our national economy, related problems of the crime of illegal business operations, also began to gradually taken seriously by people. In reality, the crime of illegal business operations is a new type of economic crime, 97 criminal law, is to make these laws, mainly is the hope can in reality to the State-Owned pany, enterprise manager to director, as a representative of the senior management regulation, to avoid their illegal business prohibited business, to harm the order the pany, enterprise management. In addition, crime of illegally operating the same business, economic interests behavior which can better "save" enterprises.

Because the crime of economy, first of all must be an unlawful act, a kind of economy therefore, on the economic explanation of criminal law, it will with the traditional explanation of criminal law, there are some differences, that is to say, they depend on the mon criminal law at the same time, must be on the methods to explain, even need to economic regulations and economic life in the real field, a general grasp, and the efforts to enable it to achieve the coordination of the state.

Accordingly, this paper makes a detailed analysis of the crime of illegal business operations. First, of the legislative process of the crime of illegally operating the same business is studied, thus explaining the legislative background of the crime.
