独家经销协议

THIS AGREEMENT made and entered into this day of in the year of and between:

Whereas Clause

1.WHEREAS, Party A is desirous of exporting the products (stipulated in Article 3 hereof)

to the territory (stipulated in Article 4 hereof) and is willing to grant to Party B the

exclusive right to sell and distribute the said products in the said territory;

2.WHEREAS, Party B is desirous of purchasing and importing from Party A the said product

s for sale in the said territory and is also desirous of acting in an exclusive capacity as the Party B of the said products in the said territory; NOW, THEREFORE, in consideration of t he premises and the mutual covenants to be faithfully performed herein contained, Party

A and Party

B agree as follows:

1. 甲方欲出口指定产品（由本合约第三条中规定）到指定地区（由本合约第四条中规定）去并愿

意授予乙方在所述地区销售和经销所述产品的独家权利；

2. 乙方欲向甲方购买和进口所述产品以便在所述地区出售，并欲以独家权能担任所述产品在所述

地区的经销商；考虑到这些前提及本合约所包含的要忠实执行的相互契约，甲方和乙方兹协议如下：

Article 1. Appointment

1.During the effective period of this Agreement, Party A hereby grants to Party B the

exclusive right to sell Products in Territory;

2.Party B accepts and assumes such appointment for the sale and distribution of

Products in Territory.

3.Party B pays 100,000 RMB to Party A as a deposit. As well as Party B purchased

Products total amount not less than 750,000 USD from Party A in year 2015. Party A

shall refunds the 100,000 RMB deposit to Party B before January 15th 2016.

第一条．委任

1. 在本合约的有效期间，甲方兹授予乙方在所定“地区”销售所定“产品”的独家权利；

2. 乙方接受和承担在所定地区销售和经销该产品的这种任命。

3. 乙方于合约签订时交付甲方十万人民币保证金,2015年內乙方达成向甲方的订货量达到七十

五万美元后, 甲方于2016年1月15日前退还乙方前述之保证金。

Article 2. Privity

1.The relationship hereby established between Party A and Party B, during the

effective period of this Agreement, shall be solely that of Seller and Buyer;

2.Party B shall under no circumstances be considered to be the agent or legal represe

ntative of Party A for any purpose whatsoever and shall have no right or authority to create or assume any obligation or responsibility of any kind, expressed or implied,

in the name of or on behalf of Party A.

第二条、相互关系

1.由此甲方和乙方之间在本合约的有效期内建立的关系，只是卖家和买家之间的关系；

2.乙方决不应该被看成是甲方达到任何目的的代理人或合法代表，而且绝没有任何资格或权利，

不论明显地还是含蓄地，以甲方的名义或代表甲方招致或承担任何一种义务或责任。

Article 3. Products

The products covered under this Agreement shall expressly be confined to Digitizer handwriting Display Monitor sold and exported by Party A with its registered trademark “_________________” (hereinafter referred to as Products).

第三条．产品

十分明显，本合约下所包含的产品只限于甲方所销售和出口的以“_____________”为注册商标的电磁式手写显示器系列产品（下称"产品"）。
