前程无忧猎头框架合同

甲方 Party A ：

乙方 Party B ：上海网聚人才咨询有限公司北京分公司

甲方委托乙方为其招聘员工，乙方为51job 集团内的公司。经友好协商，甲乙双方达成如下协议: Party A has engaged Party B to support its recruitment process. Party B is entity of the 51job Group. After discussion, the following agreement is reached ：

（二） 双方义务 Rights and Obligations :

1．依据本合同，乙方向甲方提供咨询猎头服务，每个职位的服务期限为签约日起六个月。服务期限结束

后，若甲方需要乙方继续提供服务，乙方也同意的基础上，或者甲方仍在对候选人进行筛选录用，则甲方需继续履行本合同的所有条款。如出现以下第2条中乙方需要提供替代候选人的情况，服务期限相应延长3个月。服务期限的结束并不影响甲方在以下第3条中的费用承诺。

According to this contract, Party B jointly provides executive search service to Party A. The service period for each position is 6 months from the date of signing of the corresponding supplementary contract. After the service period, if Party B chooses to continue to provide services according to Party A's request, or Party A is still in the progress of selection or employment of candidates, then Party A shall continue to adhere to all the terms of this contract. If Party B is required to provide replacement candidate service under the conditions in Item 2 below, then the service period shall be extended for 3 additional months accordingly. The expiration of the service period shall not affect the obligations of Party A as listed in Item 3 below.

2．甲方录用的乙方所荐之候选人，若在入职日起计三个月内自行离职，或被甲方终止聘用，乙方在服务

期限内，负责为甲方免费提供该岗位的替代候选人；如甲方通过其它渠道找到候选人、或单方面更改委托职位要求、或取消所委托职位，则该职位合作终止；服务费用不予退还。此条款仅适用于甲方已按时支付了乙方的服务费用。

If the candidate placed by Party B resigns or is terminated by Party A within 3 month from the date of employment, Party B shall find a replacement candidate without additional charges. The obligation on Party

B to find replacement candidate is released at the end of the service period. If Party A fills the position through other channels or means, or changes the search assignment without consent from Party B, or cancels the search assignment, then this service contract is terminated accordingly. All service fees paid are not refundable. The search for replacement candidates only applies if Party A has paid all the outstanding

invoices for service fees.

3．乙方提供给甲方的所有候选人自提供之日起的十二个月内都将视为乙方所推荐的候选人。在此期间内，如甲方或甲方介绍的第三方雇用该候选人，本合同之收费条款同样适用。

All candidates introduced by Party B will be deemed to be candidates for a period of twelve months from the date of introduction. If Party A, or a third party introduced by Party A, employs those candidates during this period, then Party A shall be liable for service fees and payments as indicated in this contract.

4．乙方通过广泛调研和专业经验为甲方提供候选人和评估意见，但最终的录用和薪酬安排，应由甲方作出最终决定，乙方对候选人入职后的表现和行为等，不负责赔偿和其他责任。

Party B recommends candidates and provides assessment advice to Party A based on extensive research and professional experience. Nevertheless, Party A makes the final decision on employment and compensation arrangements. Party B does not take any financial nor other responsibilities on the performance and behavior of the placed candidate(s) after employment.

5．本合同中之信息，仅限于甲、乙双方之间使用，各方承诺把所有信息保密。

All information contained in this contract shall be kept confidential by Party A and Party B.

6．双方如果在合同履行中出现争议，协商解决，不成，向北京仲裁委员会申请仲裁。

Disputes, unresolved by negotiation, should be referred to the Beijing Arbitration Commission.
