Trademark Transfer Agreement

This Trademark Transfer Agreement (the "Agreement") is entered into as of [Date], by and between [Transferor Name], with a principal place of business at [Address] (the "Transferor"), and [Transferee Name], with a principal

place of business at [Address] (the "Transferee").

WHEREAS, the Transferor is the owner of the trademark(s) listed in Exhibit A (the "Trademark") and desires to

transfer all rights, title, and interest in the Trademark

to the Transferee; and

WHEREAS, the Transferee desires to acquire all rights, title, and interest in the Trademark and agrees to be bound by the terms and conditions of this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties

agree as follows:

1. Transfer of Trademark: The Transferor hereby transfers and assigns to the Transferee all rights, title, and interest in and to the Trademark, including all associated goodwill.

2. Consideration: In consideration for the transfer of the Trademark, the Transferee agrees to pay the Transferor the sum of [Amount] on or before [Date].

3. Representations and Warranties: The Transferor represents and warrants that it is the sole owner of the Trademark, and has the full right, power, and authority to transfer the Trademark to the Transferee. The Transferor further represents and warrants that the Trademark is free and clear of any liens, encumbrances, or claims of third parties.

4. Further Assurances: The Transferor agrees to execute any additional documents and take any further actions reasonably necessary to effect the transfer of the

Trademark to the Transferee.

5. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of

6. Entire Agreement: This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, and negotiations, whether written or oral.
