Exclusive Agency Agreement
This Exclusive Agency Agreement (the “Agreement”) is entered into on [Date] by and between [Name of company or person] (“Agency”), with its principal place of business at [Address], and [Name of client] (“Client”), with its principal place of business at [Address].
1. Appointment and Authorization1.1. The Client hereby appoints the Agency as its exclusive agent to act as its agent for the purposes set forth in this Agreement, and the Agency hereby accepts such appointment.1.
2. The Agency is authorized to market and promote the Client’s products and/or services (the “Products”) in accordance with the terms of this Agreement.
2. Term and Termination2.1. This Agreement shall commence on the date of execution and shall remain in effect for a period of [Duration].2.2. Either party may terminate this Agreement at any time upon [Notice period] days written notice to the other party.

8. Entire AgreementThis Agreement sets forth the entire agreement between the parties and supersedes all prior negotiations, understandings and agreements between the parties, whether oral or written.
9. CounterpartsThis Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
